thereof and immediately report the results to the Executive Committee, the Board of Directors, and the branches. MEETINGS Procedure- Discussion - Quorum - Voting 8. There are two kinds of meetings of the Federation: regular and special. Regular meetings are those prescribed in these By-Laws: Conventions, meetings of the Board of Directors, meetings of the Executive Committee, and branch meetings. Special meetings are called pursuant to the appropriate provisions of these By-Laws. 9. The Char of the Board of Directors will preside at the Convention, Board of Directors meetings, and Executive Committee meetings. The President of the branch shall preside at branch meetings The Presiding Officer may vote only in the event of a tie vote, or when his vote may have an effect upon the outcome of the motion. It is the duty of the Presiding Officer to order a secret bal lot if ten percent (10%) of the members present request it. A member may speak only once on a question. The Presiding Officer may grant him the right to speak a second time only if he has been pasonály challenged. The maker of the motion shall have the right of the cl osi ng remarks i n the di scussi on. 10. The Convention, the Board of Directors, the Executive Committee or branches have the right to act only if the following quorum of the respective membership is present: a) Fifty percent (50%) of the members of the Convention; b) Sxty-five percent (65%) of the members of the Board of Directors; c) All membersof the Executive Committee; d) At least five (5) voting members at the annuá and regular meeti ngs of the branch; e) Five percent (5%) of the voti ng membershi p at any speci á meeting. If the quorum i s not present at the f i rst meeti ng of a branch for the election of delegates to the Convention, a second meeting shál automáicály be cáled one week láer á the same location and time. Those present, regardless of number, shál constitute a quorum. 11. Thecáculáion and tály of any votes taken á any meeting, or in accordance with the provisions of Section 12 herén, shál be based upon the actual number of legal votes cast. Abstentions, blank bálots, unreturned bálots, illegal bálots and/or illegible bálots shall not be deemed to be legá votes, and shall not be taken into consideráion in determining the totá number of votes cast, nor the number constituting a majority (or, where applicable, a two-thi rds count) of the votes cast. 12. Nothing contáned within the By-Laws shál prohibit or preclude the Board of Directors and /or the Executive Committee from meeti ng via means of táephone and/or video conference and taking voice votes á such meetings, and/or voting via mái and/or facsimile transmission without meeting, or use of such táecommunicáion technology in connection therewith as may now exist or shál bedeváoped in the future. The decision to use any such áternáe mode of meeting and/or voting shál be made on a case-by-case basis as deemed appropriáe by the Executive Committee, with the concurrence of the Board of Directors. Standards and procedures for the use of such áternáe modes of meeting and/or voting shall be promulgáed from time to time by the Board of Directors in conformity with the provisions of these By-Laws and the laws of the United Stáes of America and of the various Stáes in which the Federáion is authorized to conduct business. Nothing contáned in this provision shál be deemed to controvert the requirement of in-person regular meetings of the Board of Directors pursuant to Section 31 heran. THE CONVENTION Time - Place-Aim - Membership 13. The Federái on shal I hoi d a Conventi on every four (4) years i n September and/or October. The time and place shál be designáed by the Board of Directors. The Convention shall receive reports of the preceding four (4) years, shall decide upon actions for the future, and shál encourage and foster fráernáism. In order to postpone a Convention, the consent of sixty-five percent (65%) of the members of the Convention is required. 14. The membership of the Convention is constituted of the regular members of the Board of Directors and the elected delegáes of the branches. The elected delegáes shall constitute no I ess than two-thi rds of the voti ng members of the Convention. Each member of the Convention is entitled to one vote. 15. The Board of Directors shál dáermine and designáe the number of guests and other persons to átend the Convention. Election of Delegates 16. Each branch having a minimum voting insurance membership of 225 shál send one dáegáe to the Convention. Branches having more thai 225 members shál send one additioná dáegáe for each multiple of 225 members. Branches having less than 225 members will be grouped in units of not less than 225 and not more than 300 members, and may jointly send one dáegáe. a) The grouping of these units shál be arranged by the President of the Federáion, with the concurrence of the Executive Committee and in consultáion with the Boad of Directors. Priority in grouping shál be given to geographical locáion. The groupings shál be published in the Fraternity- Testveriseg during the first quarter of the Convention year. b) Fol I owi ng the announcement of the meeti ng dáe of the Convention by the President, as directed by the Boad of Directors, in the officiá publicáion, dáegáes and altanáé dáegáes shál be áected by each branch á a special meáing to be hád during the months of April or May. Election of dáegáes and al tanáé dáegáes shál be by plurality vote on sepaáe bálots. The names of those áected shál be certified to the President of the Fedaáion by the branch president and secráary, and an officiá obsava designáed by the Executive Committee within two (2) weeks áta the áection. Each certificáion shál be accompanied by a copy of the minutes of the said meáing, the names and certificáe numbas of the membas present á the meáings, and thár signáures. In case of a tie vote in a dáegáe áection of a grouping of branches, the Boad of Directors shál decide by lot. c) Altanáe dáegáes áeáed shál fill vacancies of áected dáegáes in the orda of the numba of votes recá ved. d) Branches formed within one (1) yea prior to the Convention shál not be entitled to representáion, By-Laws2004 Edition Page 2
