and the Board accepted the Minutes of the Executive Committee Meetings dated January 8, January 9, March 5 and March 6, 1 980 in its entirety. The Board ratified the actions taken by the Executive Committee. 21) The Board referred the matter of monetary allotment to Branches which honor 50 year meiTibers back to the Executive Committee for review and further recommendation. 22) It was moved, seconded and adopted by the Board that the Association's retention limit with the Lincoln National Life Reinsurance Company be increased subject to the approval of the Actuary. 23) It was moved, seconded and the Board of Directors adopted the following resolution pertaining to life, health and accident and annuity policies. RESOLUTION Resolved by the Board of Directors, in regular quarterly meeting assembled in Pittsburgh, Pennsylvania. That in order for the Association to provide the best forms of life insurance, annuity, A&H and Disability Income Plans to its members the present plans be brought up to date to meet the modern demands of the market place and devise new plans where needed. Be it further resolved that the A&H plans approved earlier and which have been in the planning stage for some time by Mr. Jim Ballew now be prepared to be submitted to the various jurisdictions for approval. 24) The Board of Directors adopted the following Resolution: RESOLUTION Having heard the Report of National President Elmer Charles covering the Hungarian Reformed Federa tion of America, the Board of Directors unanimously resolves that in principle it supports the consolidation of William Penn Association and Hungarian Reformed Federation of America, and in order to facilitate this program it is further resolved that both actuaries, their four National Officers meet in an agreed upon place to work out details of such consolidation for the purpose of forming a new Hungarian Fraternal Society in the U.S.A, under a revised charter, new by-laws, and a new corporate name which will identify us as Hungarians, and report back to their respective Boards at the June 1980 Board meeting. thereby paving the way for this matter to be placed on the Hungarian Reformed Federation of America June Convention agenda and the William Penn Association delegates for final approval. Adopted this 18th day of March, 1980. 25) The Board of Directors adopted the following Resolution pertaining to the merger of the American Hungarian Catholic Society. RESOLUTION RESOLVED THAT, WHEREAS, the respective Presidents of the William Penn Association and the American Hungarian Catholic Society have conducted negotiations to establish a basis for merger, and WHEREAS, a proposal for merger has been presented to the Directors and Officers of William Penn Association, and WHEREAS, after due discussion of said proposal the terms and conditions thereof have been accepted, NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by the Board of Directors of William Penn Association in regular meeting assembled in Pittsburgh, Pennsylvania this 18th day of March, 1 980 that the Merger Agreement as read at this meeting be and the same is hereby unanimously approved and adopted on roll call vote. BE IT FURTHER RESOLVED that the Merger Agreement be published in the Spring issue of William Penn Life, the Association's Official Publication, and submitted to referendum vote of the 29th General Convention delegates for approval. BE IT FURTHER RESOLVED that the Officers be and are hereby authorized to execute all certificates and documents required to consummate and effectuate the merger and to perform each and every act needed, necessary or required to fulfill the terms of the merger agreement. 26) The Convention recommended to the Board that some consideration be given to increase Branch Manager Service Fees. After reviewing present scale, it was moved, seconded and authorized by the Board that retroactive to January 1, 1980, the Branch Managers service fees be increased 25%. 27) It was moved, seconded and unanimously authorized that salary increases be granted as proposed by President Charles to take effect January 1, 1980 for Officers and April 1, 1980 for Home Office Employees. 28) The Board of Directors received a demonstration of the On- Line method of entry into the computer directly from the Home Office. 29) President Charles read a letter received from the Hungarian Reformed Federation of America extending a cordial invitation for Mr. Charles to attend their Board of Directors meeting on March 24, 1 980. The Board acknowledged this letter with sincere thanks and appreciation. 30) The Board of Directors approved the following Resolution pertaining to dividends for 1980. RESOLUTION Be it resolved by the Board of Directors in regular quarterly meeting assembled this 18th day of March, 1980, that dividends for the calendar year 1980 be declared on those certificates only which are based on the following Mortality Tables: THE BOARD OF DIRECTORS of the WILLIAM PENN ASSOCIATION announces with profound sorrow the death of ALBERTIBOS Treasurer Branch 48, New York, N.Y. and former National Director of the Association an ILLUSTRIOUS MEMBER of this Association. The Board of Directors in paying final tribute to the memory of our ILLUSTRIOUS MEMBER, conveys on behalf of the membership of the Association, its deepest sympathy to the bereaved family. 19 i
