(2) The Committee appreciates your concern, particularly as pertaining to age limitation for Officers and Board members and the unanimous recom­mendation that National Officers be elected by the Board of Directors and not by the General Convention. The By-Law Revision Committee concurs with these two recommendations. (3) There was a suggestion that in Chapter II, Section 1, delete the provi­sion that Area Delegate District shall cast their vote by mail and instead return to Area District Delegate Meeting where the delegate must cast a vote in person. The Committee feels that with the by-law amendments allowing a small branch to be included in a Delegate District, this matter is resolved. The Committee does not feel that we should create additional ex­penses because of Area delegate District representatives traveling to a central meeting place. The mail voting in 1975 was very successful at a minimum cost, and should be retained. (4) It was also recommended that a new paragraph be added to CHAPTER IV, Section 1: to provide for first two alternate Directors to at­tend each Board meeting with right to voice but no vote. The Committee feels that this would create an increase in cost of Directors meetings, therefore does not recom­mend its acceptance. This report is submitted for your consideration. (Continued Jrom Page 15) Dissolution of Branch 613, 614 and 617 These Branches were so-called ad­ministrative branches of the Associa­tion and it was decided to dissolve these Branches and transfer the members to various branches in the area. All members belonging to these branches in the past will continue to mail their premiums to the Home Of­fice as in the past and all servicing of the membership needs will be through the Home Office. PROPOSED AMENDMENT TO BY-LAWS BY BOARD OF DIRECTORS AT DECEMBER 12, 1978 MEETING RESOLUTION Whereas, the present by-laws pro­vide in Chapter II, Section 1, Subsec­tion 2, Page 9, that 600 adult cer­tificates entitles a Delegate District or Area Delegate District to one delegate to the General Convention, and Whereas, certificate count by Branches as of September 1, 1978 pro­jected about 76 delegates to be elected, and Whereas, there are 22 delegates who will attend the convention by virtue of their office, and Whereas, this comes perilously close to the 1/3 statutory limit of non­­elected delegates, and Whereas, the Board of Directors is desirous of having as many elected representatives at the 1979 General Convention as possible, and Whereas, in order to achieve this goal it necessitates amending certain sections of the by-laws, Branch 730 Orange, Conn. We wish to officially inform all members of Branch 730, that effective December 1, 1978 Branch 730 was dissolved by the Board of Directors and the members transferred to Branch 1, Bridgeport, Connecticut. This notice is in lieu of any other notice to the members of this Branch. Members are requested to continue mailing their payments to the Home Office together with the payment due notices as they are mailed to you. Now, therefore, be and it is hereby resolved by the Board of Directors in regular quarterly meeting assembled in Pittsburgh, Pa. this 12th day of December, 1978 that in accordance with Chapter XV of the by-laws en­titled AMENDMENTS TO THE BY­LAWS, that the by-laws be amended as follows, effective immediately: CHAPTER II—DELEGATES TO THE GENERAL CONVENTION Section 1, Subsection 1, Page 8: delete “by geographical” and on top of Page 9 “boundaries”. Subsection 2, Page 9: delete “in a geographical area”, change “600” to “500”. In third line, delete: “within each geographical area” and add the following: “or the Board of Directors may assign such Branch or Branches to a Delegate District for representation purposes”. Subsection 4, 2nd Paragraph, Line 2: Change “600” to “500”. Subsection 5, Page 9, Line 7: delete "the boundaries”. Section I), Page 12: Delete in Line 2 and 3 “in which he resides. Excep­tion:” and replace with: “to which he is assigned". 18) The Board commenced to review Proposed Amendments to the By-Laws to be presented to the General Convention September, 1979. Follow­ing a discussion of each amendment, it was moved, seconded and unani­mously adopted by the Board to pro­pose the following By-Law changes to the forthcoming General Convention. CHAPTER I—ASSOCIATION Page 3, Section 2 Governing Body— Paragraph 4 to read as follows: “The Officers of the Association shall be: Chairman of the Board, National President, two National Vice Presidents, National Secretary and Na­tional Treasurer. The National Of­ficers shall be elected by the Board of Directors as provided in the hy-laws. One or more of the above offices may be held by the same person.” 19) Page 4, Section 4 Home Of­fice—In line two delete “Pittsburgh”, and insert instead: “The State of Penn­sylvania”. 20) Page 5, Section 6 Maintenance of Solvency. Line 8 delete: “five per­cent per annum compounded semi­annually” and insert instead: “NOT TO EXCEED STATUTORY LIMITS”. 21) Page 6, Section 7 Taxes—In lines 6 and 7 delete: “thereon at five percent per annum compounded an­nually” and insert instead: “NOT TO EXCEED STATUTORY LIMITS”.
