MINUTES . . . After the brief ceremony the Board returned to the Holiday Inn to continue its meeting. 18) Chairman of the Board Elmer Charles reconvened the meeting at 10:00 A.M. and same are present. 19) Director Sabo, speaking in behalf of the Board of Directors and National Officers, expressed sincere thanks and appreciation to Branch 1, Bridgeport, Connecticut for hosting the Official Family, their wives and guests at a re­ception and dinner Monday evening. The hospitality and fellowship extended made for a most enjoyable evening. Director Sabo requested that letters of thanks and appreciation be forwarded to Branch 1, Bridgeport, Connecticut; Rev. Dr. Bu­­tosi, Bishop of Calvin Synod, United Church of Christ; Rev. Emil Nagy, Pas­tor, First Hungarian Reformed Church; Rev. Fr. Mészáros and Rev. Fr. Nemeth of St. Emery’s R. C. Church, Fairfield, Connecticut, for the services they ren­dered during this -Board meeting in Bridgeport, Connecticut. 20) The Board of Directors adopted the following resolution by unanimous vote pertaining to the formation of the William Penn Plaza Corporation. RESOLUTION RESOLVED, by the Board in regular meeting assembled at Bridgeport, Con­necticut, that WHEREAS, the Board has authorized the General Counsel to study and recom­mend the most favorable corporate tax structure in relation to William Penn Association operations for our new building at Pittsburgh, Pa., and WHEREAS, the General Counsel has made a report to the Board and the Board desires to implement that report, NOW, THEREFORE, BE IT RE­SOLVED by the Board, that the General Counsel be and is hereby authorized to charter a wholly owned corporation for profit under the name William Penn Plaza Corporation whose purpose shall be as follows: To hold title to property, collect in­come therefrom, and turn over the en­tire amount thereof, less expenses, to a lawful organization described in Section 501(c)(3) of the Internal Revenue Code of 1954-26 USCA.501 and which itself is exempt from taxation under said Section 501. which section enumerates the vari­ous categories of organizations which are specifically exempt from income taxes. BE IT FURTHER RESOLVED that the incorporators shall be Elmer Charles, National President, Louis L. Varga, Na­tional Vice President, John P. Balia, National Vice President and Albert J. Stelkovics, National Secretary-Treasurer. ADOPTED THIS 13th day of Septem­ber, 1977. 21) Discussion ensued by the Board of Directors on the development of pro­perty known as Block C, also known as Court House Square. Moved, seconded and the Board unanimously authorized the Executive Committee and National Officers to proceed with the finalization of the development of Court House Square. 22) The Board of Directors had in­structed the Executive Committee to bring forth recommendations for holding Board Meetings in different cities for the purpose of creating closer relation­ships with our membership. The Execu­tive Committee will come forth with recommendations after it has had an opportunity to evaluate the results of the September 12-14 meeting in Bridge­port, Connecticut. 23) The Board referred the matter of our Official Publication back to the Executive Committee for its recommend­ation to the Board of Directors at its next meeting. 24) The Board of Directors agreed that steps should be taken to create the posi­tion of Assistant Secretary for the pur­pose of training someone to eventually assume the office of National Secretary. The Board authorized the Executive Committee and National Officers to es­tablish what the qualifications for this position shall be and invite anyone in­terested either from within the official family or from the membership at large to apply for the position. 25) Moved, seconded and the Board accepted the Minutes of the Executive Committee and also ratified the actions of the Executive Committee. 26) National Secretary Albert J. Stel­kovics, Vice Presidents Gus G. Nagy and Stephen T. Szilagyi each submitted a verbal report on the 1977 Tour to Hungary. There were 152 persons who went on the tour and everyone had a most enjoyable and pleasant trip. It was another successful fraternal activity sponsored by the Association. The Board of Directors and National Officers ex­tended its sincere thanks and apprecia­tion to the two Vice Presidents for their participation in this pilgrimage, and to the members who made ths trip. 27) The Board approved the follow­ing resolution pertaining to Children’s Christmas Parties. RESOLUTION RESOLVED that the Association in 1977 financially assist, in the same amount as was provided in 1976, those Branches w'hich will hold Children’s Christmas Parties, with the proviso that where warranted the National Officers increase these sums on an equitable basis in accordance with Board Resolu­tion of the March 15, 1977 Meeting. BE IT FURTHER RESOLVED that each Branch shall file with the Home Office the prescribed financial report regarding the Christmas Party. 28) Moved, seconded and the Board accepted the following resolution per­taining to Scholarship Foundation dona­tion. RESOLUTION WHEREAS, the William Penn Fra­ternal Association Scholarship Founda­tion, Inc. Awards Committee awarded $10,000.00 in scholarship grants, and WHEREAS, the Scholarship Founda­tion had available only $8,345.32 for scholarship grants, and WHEREAS, the William Penn Asso­ciation Board of Directors requested the Scholarship Foundation Board to in­crease scholarship grants from $150.00 per student to $200.00 per student, and WHEREAS, the William Penn Board desires to continue its support of the Foundation, NOW, THEREFORE, BE AND IT IS HEREBY UNANIMOUSLY RESOLVED by the Board of Directors in regular meeting assembled in Bridgeport, Con­necticut this 13th day of September, 1977, that $1,654.68 be donated by the William Penn Association to the William Penn Fraternal Association Scholarship Foundation, Inc., this donation to be in addition to any other donation hereto­­for made to the Foundation by the As­sociation. 29) Letter is read from Mr. Stephen J. Petruska, Manager, Branch 8, Johns­town, Pennsylvania describing the flood damage to the two Hungarian Churches in Johnstown. Moved, seconded and the Board authorized a donation of $1,000.00 each to two Hungarian churches in Johnstown, Pennsylvania which were severely damaged as a result of recent flooding. The churches are St. Emerich’s Hungarian Roman Catholic Church and 19
