(8) After the date of this merger, every former member of St. George shall have equal rights with all William Penn members subject to the terms of his or her certificate, and subject to the terms of this Agreement, the William Penn By-Laws and any amendments thereto. (9) The parties hereto agree, that the William Penn shall issue an assumption certificate or rider to each member of St. George in good standing, acknowledging membership in the William Penn together with all rights and privileges incident thereto, and all certificate benefits to which such member or his lawful beneficiary is entitled as provided herein. (10) All subordinate branches of the St. George Catholic Union shall be merged into one branch, assigned a William Penn branch number, and all servicing shall be through that branch with a temporary office being maintained at the present St. George Catholic Union Home Office location. (11) The parties further agree that all application forms, medical examination forms, warranties, reinstatements, waivers, books of accounts, records, contracts and certificates pertaining to the members shall continue in effect. (12) Present full and part-time Officers, Directors and Auditors of St. George Catholic Union will constitute an Advisory Committee of William Penn for a four year period. The President of St. George Catholic Union will become an Advisory Board Member of the William Penn Board with the same honorarium, per diem, and travel expenses as provided for William Penn Directors. (13) On the effective date of the merger, excess surplus of St. George Catholic Union not needed as a margin of safety will be credited to St. George Catholic Union members proportionately, not in cash, but in paid-up death benefits of the same type provided by their insurance certificates, however the cash surrender value of these paid-up benefits will not be available for two years following the effective date of the merger. (14) Commencing with the date of merger, dividends will be accumulated for St. George Catholic Union members and credited on each certificate anniversary date. (15) It is agreed that all reasonable and proper expenses directly or indirectly incurred in furtherance of effectuating this merger shall be payable out of the merged assets of the societies, including, but not limited to the expenses of the Advisory Committee, Officers, Board Meetings, Actuarial and Legal. (16) It is agreed by and between the parties that the laws of the Commonwealth of Pennsylvania shall apply to the construction of every part of this Agreement, and the meaning of the words and phrases herein whether this Agreement was executed within the Commonwealth of Pennsylvania or any other jurisdiction. (17) The Officers and Board of Directors are authorized and directed to make any changes in form or subject matter not substantive in nature to comply with recommendations or directives made by the Insurance Commissioners of either state. IN WITNESS WHEREOF, the WILLIAM PENN ASSOCIATION and the ST. GEORGE CATHOLIC UNION of Perth Amboy, New Jersey, pursuant to resolutions duly adopted, authorized, empowered and directed, the National President, the National Secretary, the Supreme President, and Supreme Secretary-Treasurer, respectively, to execute this Agreement and affix the seals of the societies hereto, do hereby execute this Agreement and affix the seals of said societies this day of ,1975, intending to be legally bound hereby. GEORGE CATHOLIC UNION ATTEST: Supreme Secretary-Treasurer Supreme President Notice To All Members The amended By-Laws as adopted by the 28th General Convention in September 1975 are now being printed in booklet form. As soon as these are ready, a supply will be sent to each Branch. Those desiring to have a copy of the By-Laws, please contact your Branch Manager at the February 1976 Branch Meeting. We also wish to call attention to point 24 of the Board Minutes published elsewhere in this issue. In accordance with the Board’s Resolution the Home Office will no longer provide advance payors with postage paid envelopes. Since the inception of the direct premium billing program, in July 1966, the Association has provided advance payors with postage free envelopes. With the most recent postal rate increase, however, it would now cost the Association 15 cents for each prepaid envelope furnished to the members. Other businesses can absorb such increases by merely raising the price of their product, we in the William Penn Association, however, can not increase the premium to offset this increased mail cost, therefore, the Board had no alternative but to discontinue use of postage free envelopes. We would like to remind families who pay on several policies that you can pay on one check all payments due that month and send in one envelope. The important thing to remember is that it is necessary to include all payment due notices with the one check in the one envelope. In addition to this, all members, who can afford to do so, should pay their premiums annually. If you are not already an annual payor, the payment notice shows how much your annual premium is. To become an annual payor, all you need do is, mail in the annual premium when mailing next payment. ATTENTION HIGH SCHOOL SENIORS The Pennsylvania Fraternal Congress is sponsoring an Essay Contest for High School Seniors who have been accepted to or have applied for admission to an accredited College or University for the 1976 Fall Academic Year. This is a fine opportunity for William Penn Members to enter this Essay Contest. RULES FOR PARTICIPATION ARE: 1. SUBJECT OF ESSAY: What the Bicentennial Means to Me. 2. NUMBER OF WORDS: 500 Minimum. 3. ELIGIBILITY: All high school seniors scheduled to graduate in May or June 1976, who have been admitted to or have ap­plied for admission to college in the Fall of 1976, except children of Officers or Members of the Execu­tive Committee of the Pennsylvania Fraternal Comgress. 4. DEADLINE FOR SUBMISSION: June 30,1976. 5. MEMBERSHIP: Student must be a member of Wil­liam Penn Association 6. SELECTION: Winners will be selected by a panel of three (3) impartial judges. 7. PREPARATION: Essay must be typewritten and dou­ble spaced. 8.
