Branches may be organized in localities where the Association has not less than fifty (50) adult benefit members,, The affairs of the branches shall be conducted in a manner which is in accordance with provisions prescribed by the Board of Directors« SECTION 3. Regular meetings of the branch shall be held monthly« The following order of business shall be a guideline for the presiding officer: ORDER OF BUSINESS 1. Opening by the President« 2. Roll Call. 3. Minutes of Previous Meeting« 4. Reports of Officers« 5. Reports of Committees. 6. Initiation of New Members« 7. Unfinished Business. 8. New Business. 9. Nomination of Candidates« 10. Election of Officers« 1 1. Appointment of Committees. 12. Good and Welfare of the Association« 13. Adjournment« SECTION 4. Special meetings may be called by the Branch Presid ent at any time he deems it necessary, or upon the request of majority of adult benefit members« Members shall be notified of a special meeting, and no business shall be transacted at such meeting other than that for which the meeting shall have been called. SECTION 5. ELECTIONS. At the regular October meeting a Nominating Comm- i ttee shall be appointed by the President. The report of the Nominating Committee shall be submitted to the annual meeting in December. Candidates may also be nominated from the floor. SECTION 6. The election of officers shall be held at the annual meeting in December. Elections shall be by secret ballot« Each member in good standing shall have one vote for each officer« Elections shall be by majority vote of those present at the annual meeting. Officers elected at the annual meeting shall be installed immediately« SECTION 7. The Officers of the branch shall be: President, Vice President, Secretary, Treasurer, at least two auditors and such other officers as the branch membership deems necessary« The offices of Secretary and Treasurer may, at the discretion of the branch, be held by one person« No member may be an Officer unless he has a right to vote. It shall be the duty of the branch officers to be present at all meetings of the branch. Any officer failing to attend three successive meetings without good excuse shall be considered as having vacated his office« The branch shall decide upon the validity of such excuse. It shall also be the duty of the branch officers to cooperate with and aid the authorized members of the Field Force to secure new insurance members for the Association« The National President may appoint a branch manager or special agent who, on a part time basis, will be authorized to enroll new insurance members. SECTION 8. The full term of office of all branch officers shall be for one (1) year beginning on January 1 and ending on December 31. Elections or appointments to vacancies in existing branches and terms of office in new branches shall expire on December 31 next following. All vacancies shall be filled as soon as practicable. SECTION 9. Except as restricted in these By-Laws, any adult benefit member in good standing shall be eligible to vote SECTION 2. and hold office« All branch officers shall be elected by ballot by the voting members of the branch who attend the meeting. A plurality of all votes cast shall be necessary for election. All elections and appointments of branch officers shal I be validated a nd a pproved by the Association. SECTION 10. Any branch officer shall at any time be subject to removal from office by the Board for incompetence, neglect of duty, or conflict of interest. In no event shall the officer so removed be re-elected or appointed to fill such vacancy. SECTION 11. The Branch President shall preside at all meetings and conduct them according to the prescribed rules« He shall, when necessary, have the deciding vote in case of a tie vote; shall appoint committees, and shall approve and sign orders drawn on the branch treasury for the payment of money. The Branch President shall have general supervision over the affairs of the branch. SECTION 12. In the absence of the Branch President, the Branch Vice President shall perform the duties of the President, and, in case of a vacancy in the office of President, he shall be the acting Branch President until a successor is elected. SECTION 13. The Branch Secretary shall keep a record of the proceedings of the branch and shall conduct correspondence on its behalf. He shall act as the fraternal director of the branch and all matters of business between the Home Office and the branch shall be conducted through him« He shall file annually with the Home Office a financ ia I and activity report covering the operations of the branch for the previous calendar year« He shall at all times work in harmony with the authorized field force representatives of the area. When the Branch Secretary has received notice from the Home Office that an applicant has been accepted, he shall so notify the branch, which then shall at its next regular or special meeting duly initiate the applicant into branch membership« The Branch Secretary shall cause meetings of the branch to be held regularly in conformity with theBy-Laws of the Association, and shall provide suitable social, educational and fraternal programs for all such meetings« He shall in event of the death of a benefit member of the branch immediately forward notice thereof to the Home Office« He shall notify the Home Office of all changes of address of members of the Branch that come to his attention. He shall assist members in transferring their membership from one branch to another. He shall assist members to properly present claims for benefits« SECTION 14. The Branch Treasurer shall have the custody of all money belonging to the branch, and shall give receipt therefore; he shall keep a correct account of all money received and paid out by him, and shall pay all orders drawn by the Branch Secretary and approved by the Branch President« SECTION 15. The Branch Auditors shall each quarter examine the financial records of the Treasurer and give a written report to the Branch meeting and one annually to the Home Office. SECTION 16. All assets of the branch are the legal property of the William Penn Association. The branches may create charity and entertainment funds, but they must be administered by the branches in accordance with rules prescribed by the Board of Directors, 17
