ROBERT’S RULES OF ORDER TO GOVERN Unless otherwise provided in the Articles of In­corporation or by By-Laws of William Penn Association, Robert’s Rules of Order shall govern the proceedings at all meetings» No vote by proxy shall be recognized in any meeting of the General Convention, Board of Direc­tors or Branch» CHAPTER XII CHAPTER XIII CONSTRUCTION Whenever the word ‘“liis** appears in the Articles of Incorporation or By-Laws, it shall be construed to mean “‘his*’ or ,0her” as the case may be» CHAPTER XIV AMENDMENTS TO BY-LAWS These By-Laws may be amended by an affirmative vote of the majority vote of all the delegates at any reg­ular or special meeting of the General Convention, or by an affirmative vote of not less than three-fourths of all the members of the Board of Directors at any regular or special meeting of the Board of Directors» In order to be considered by the General Convention, any proposed amendment to the By-Laws must be signed b y at least fifteen (15) certified delegates to such Con­vention and filed with the National Secretary at the Home Office at least thirty (30) days prior to such meeting» A copy of the proposed amendment shall be forwarded by the National Secretary to the Resolutions Committee of the General Convention» Any member of the Board of Directors must file a p ro posed a mend ment with t he N ati ona I Secretaryof William Penn Association at the Home Office twenty (20) days prior to a regular or special meeting of the Board of Di­rectors in order to have the same considered by the Board of Directors» Amendments may also be proposed by written re­quest of fifteen (15) delegates at the General Convention and approved by majority vote» Honorarium cannot be changed by the Board of Directors» CHAPTER XV THE PROPERTY OF THE ASSOCIATION All real and personal property and other assets, whether administered by the Home Office Treasury or branch treasuries, which are derived from the payment of membership dues, investment income, bequests, volun­tary donations, revenue profits of performances and en­tertainments, or from any other source by the Home Office Treasury or the branches, shall constitute the property of the As soc iat i on» All property of the Association shall be administer­ed in the name of the William Penn Association, both at the Home Office and at the branches» The property of the Association and all receipts and disbursements of the Home Office Treasury shall be ad­ministered as follows: 1. Life Benefit Department (includ- i ng Juvenile Section without separate accounting)» 2. Accident and Health Department» 3. Employees Pen­sion Plan« All monies held by the Association but not con­stituting the property of the Association, such as monies held for minors or for unknown beneficiaries, etc», shall be handled in the Trust Account of the Life Benefit De­partment» The Association shall pay interest at the rate of three per cent per anum compounded semi-annually on all such Trust Accounts» Deposits handled for minors in the Trust Account, if not claimed within six years after the minor has reach­ed majority, shall revert to the Association» Deposits held for unknown beneficiaries, if not claimed and proof of the rightful beneficiary is not made within six years after the death of the member, shall also revert to the Association» Trust Accounts shall be handled by the National Secretary» Minutes of the Board of Directors Quarterly Meeting EXCERPTS OF MINUTES 1. The Board of Directors Meeting was opened at 10:00 A.M. by National Presi­dent. Elmer Charles. He extended cordial greetings to the Board Members and the National Officers for this second quarterly meeting of 1971. As he opened the first quarterly meeting in March on a patriotic note, he once again welcomed each and everyone in a patriotic spirit since today is Flag Day. President Charles relates how National Flag Day originated in this coun­try and how it ties in with our fraternal spirit. The President also informed the mem­bers that the National Fraternal Congress of America designated the week of June 8 to June 14 as National Fraternal Week. Their theme for 1971 is “Fraternals Care”. Many of our people proved their fraternal interest when branches throughout the country held their pre-convention district meetings or are about to hold same for the purpose of electing delegates to the forth­coming convention. He is also mindful of the forces who have been working behind the scenes against fraternalism and he call­ed upon each and everyone to dedicate themselves to the theme that “Fraternals Care” and promote the best interest of our Association. President Charles informed the Board and National Officers that the Agenda is prepared. As previously decided by the Board of Directors, there will be no stat­istical reports submitted at the second quarterly meeting. Many serious and im­portant matters will be discussed and del­iberated, and he requested the members to give serious dedicated attention to these matters. He offered congratulations to those who celebrated birthdays recently and also of­fered best wishes to those who graduated from various Schools of Learning. President Charles also extended greet­ings to Director Rev. Jacobs who had been ill and was happy to see him present for the meeting. He apologized to Director Rev. Jacobs that the official family had no knowledge of his illness, and requested the members that in the future, illness of official family members should be report­ed to the Home Office. He extended congratulations to Director and Mrs. Stephen Danko upon the mar­riage of their daughter. Darlene, and wish­ed the young couple a long, healthy and happy life together. National President Charles also extend­ed the best wishes of the Board of Direr tors to Mr. and Mrs. Andrew Balogh up­on the marriage of their daughter Gloria. He also welcomed back General Coun­sel, Gay B. Banes, who recently returned from a Scandinavian trip. Mr. Chari es thanked each and every­one who attended the 85th Anniversary Banquet here in Pittsburgh. It demonstrat­ed complete unity of our Association. He 18
