riders or endorsements attached thereto, the application for membership, the declaration of insurability, if any, signed by the applicant, the Articles of Incorporation and By-Laws and all amendments to each thereof, shall constitute the entire contract as of the date of issuance» Any changes, additions or amendments to the Articles of Incorporation or By-Laws duly made or enacted subsequent to the issuance of the certificate shall bind the benefit member and the beneficiaries, and shall govern and control the certificate in all respects, except that no such change, addition or amendments shall diminish benefits which the Association contracted to give as of the date of issuance., 2. Application for benefit membership shall be accompanied by evidence of insurability acceptable to the Association under such rules, regulations, and restrictions as the Board of Directors may d irecto 3. Certificates to benefit members shall be issued with such benefits, premiums and provisions as the Board of Directors may d irecto 4. Juvenile certificates shall be under the control of the applicant for the period provided in the certificate» The Association shall have the right if it deems it for the best interest of the juvenile to divest any applicant of control of a juvenile certificate, and in such event of the death of an applicant, such control shall be vested in the legally appointed guardian of the juvenile, if any, or in some other person who shall appear to the Association to be equitably entitled thereto by reason of being responsible for the support and maintenance of such juvenile, or by reason of relationship,, CHAPTER II DELEGATES TO THE GENERAL CONVENTION SECTION 1. 1 . The Board of Directors, by a majority voteof the entire Board, shall divide the membership of the Association into Delegate Districts by geographical boundaries, considering number of adult benefit certificates in force and any other factors that the Board of Directors may consider material,, 2. A branch in a geographical area having less than 500 adult benefit certificates in force shall comprise a Delegate District» 3. Branches in a geographical area having less than 500 adult benefit certificates in force, shall be grouped within each geographical area to form an Area Delegate District» 4. Each Delegate District shall be entitled to delegates based on the number of adult benefit certificates in force as of the certification date, which shall be December 31 of the year preceding the General Convention» As of the certification date the Board of Directors shall allot delegates to each Delegate District as fol lows: Each Delegate District shall be entitled to elect one delegate for each 500 adult benefit certificates in force in the Delegate District» In addition to the elected delegate each Delegate District shall elect an alternate for each delegate to act as delegate should one or more of the elected delegates die or resign before or during the regular meeting of the General Convention, or be declared by the Board of Directors not to be a delegate in good standing» 5. The Board of Directors shall cause to be published in the February issue of the Official Publication preceding the date of the regular meeting of the General Convention, the official certification of the number of delegates to which each Delegate District is entitled» In the same issue the Board of Directors shall direct the National Secretary to publish the boundaries, the number of delegates to be elected in the month of May, the name of the District Secretary for each Delegate District and manner of nominating and electing delegates and alternate delegates» Such publication shall be deemed sufficient notice to all members» 6. Delegates and alternates from the Delegate District shall be chosen and qualify in the following manner: 12 A» The Board of Directors shall appoint a District Secretary for each Delegate District, who along with any assistants that might be designated, shall carry out the following duties: a) The District Secretary shall appoint a District Nominating Committee made up of members residing within the Delegate District to nominate candidates for delegates and alternates» b) A register will be maintained of all members voting» c) The District Secretary will fix the date, place and time of .election in the month designated by the Board» d) T he District Secretary will, by certified mail, submit the election results and the registration list to the National Secretary within three (3) days of said election» B» The District Nominating Committee shall file its report in duplicate, one copy to the National Secretary and one copy with the District Secretary no later than thirty (30) days prior to the date set for the District Delegate election» Nominations for delegates and alternate delegates may also be made by a petition signed by not less than twenty-five adult benefit members residing in the Delegate District» The petition for nomination must be filed with the National Secretary and District Secretary in the same manner required of the District Nominating Committee» C» Any candidate for delegate or alternate delegate must be an adult benefit member residing within the Delegate District and a member in good standing» In order to be a member in good standing, the candidate or elected delegate or alternate: a) Must be an adult, attained Age 18, benefit member of the Association, for one full calendar year prior to the General Convention, and a citizen of the United States of America» b) Must not have business or personal interests which would constitute a conflict of interest in relation to the business operation of William Penn As soci ation» cjMust not be an Officer contracted or appointed by the Board of Directors, Home Office employee, District Office employee, General Agent, Agent under contract, or Independent Contractor, except Branch Managers and Special Agents appointed by the Association» d) Must not have any financial obligations to the Association as the result of previous empoyment, or have terminated employment less than one year prior to District Delegate Meeting» e) May not be a person who may directly or indirectly have caused to involve the Association in litigation, without first having his complaint heard by the Board of Directors» f) May not be a person who has discontinued premium payments and has exercised the non-forfeiture option of his certificate either in the form of Extended Insurance, Automatic Premium Loan or Reduced Paid-Up» The Board of Directors or its Executive Committee shall determine whether a delegate or a candidate for delegate is or is not in good standing, as follows: a) National Secretary to give written notice by certified mail, to said delegate or candidate for delegate of the charges specifying wherein he apparently fails to comply with Chapter II, Section 6 (C)» b) The challenged delegate or candidate for delegate shall be afforded the opportunity to appear personally before the Board of Directors, or its Executive Committee or to answer the charges in writing within ten (10) days» c) The decision of the Board of Directors or its Executive Committee as to whether or not the delegate or candidate for delegate is in good standing shall be final» D» The vote of a member must be cast in person at a designated location in the Delegate District in which he resides» Exception: The members in “Area Delegate Districts" shall cast their vote by mail» A member shall
