be entitled to but one vote regardless of the number of adult benefit certificates issued to him0 Eo The National Secretary shall certify the results of the District Elections.. The candidates receiving the highest number of votes shall be the duly elected delegate for the respective Delegate District, and the candidates for alternates receiving the highest number of votes shall be the alternate delegates for the respective Delegate District» In the event of a tie vote as to delegate or alternate, the election shall be decided by lot by the candidates involved, in the presence of the District Secretary» The names of the delegates and alternates so elected, together with the names of the ex-officio delegates shall be published in the Official Publication in the issue preceding the regular meeting of the General Convention» Such listing shall constitute an official list of delegates and alternates for the next regular meeting of the General Convention, and upon the election and qualification of delegates to the General Convention, the term of office of previously elected delegates shall cease» The aforesaid publication shall be deemed sufficient notice to all members and delegates» F» The National President, National Vice Presidents, National Secretary, National Treasurer, Auditing Committee Members and each Director of the William Penn Association who holds such office at the time of any regular or special meeting of the General Convention, shall be an ex-officio delegate to the General Convention, each entitled to one vote» Any person ceasing to hold one of the offices aforesaid shall cease to be a delegate» 7. The expenses of the District Secretary in connection with the delegate elections, and the expenses of delegates to any regular or special meeting of the General Convention shall be determined and fixed by the Board of Directors» CHAPTER III THE GENERAL CONVENTION SECTION 1. The supreme governing body of William Penn Association shall be the General Convention, composed of delegates elected as provided in Chapter II, and the National Officers, Auditing Committee Members and Directors of the William Penn Association, provided that the elected delegates shall have not less than two-thirds of the votes nor less than the number of votes necessary to amend the Articles of Incorporation or the By-Laws» The National President of William Penn Association shall preside at all meetings of the General Convention» |n the event that the National President is absent, the National Vice President or the Chairman of the Board of Directors shall preside» The Board Secretary shall be the Secretary of the Convention» SECTION 2. Regular meetings of the General Convention shall be held every fourth year at Pittsburgh, Pennsylvania, beginning on the second Monday of September» SECTION 3. The National President of William Penn Association shall propose a Nominating Committee prior to each regular General Convention to select nominees for National President, National Secretary, National Treasurer, Members of the Board of Directors and Auditing Committee Members to be elected» The Board of Directors shall confirm, or in the alternative, substitute, add to or delete names of those proposed by the National President and appoint the Nominating Committee» The appointed Nominating Committee shall make its report to the General Convention» In order to assure the preservation of the representative form of government, as provided in the fraternal laws of the Commonwealth of Pennsylvania, the other methods of making nominations for Directors to the General Convention shall be by filing with the Nominating Committee, at least twenty (20) days prior to the date of the General Convention, the name or names of the proposed nominee or nominees, such proposal of nominee or nominees to be signed and subscribed to by not less than ten per cent of the qualified delegatesto the Convention» Nominations may also be made from the floor of the General Convention» SECTION 4. The National President of William Penn Association shall, with approval of the Board of Directors prior to the General Convention, appoint a Credentials Committee, a Resolutions Committee, an Election Committee, and such other Committees as he may deem necessary for transacting the business of the General Convention» SECTION 5. Special meetings of the General Convention, to consist of the elected delegates certified to the last preceding regular General Convention together with exofficio delegates as provided in Chapter II may be called by the National President at the request of the majority of the Board of Directors or on petition s igned by notless than two-thirds of said delegates in good standing, as defined in Chapter II» If one or more of the said delegates ceases to be an adult benefit certificate holder in good standing, as provided for in Chapter II, with respect to the General Convention, such vacancy or vacancies shall be filled by the alternate or alternates respectively, and if any elected alternates shall fill such vacancies as defined herein, such alternates shall assume all of the obligations and responsibilities of the delegate he replaces» Any undertaking by the delegates or others to call a special meeting of the General Convention shall be governed by the following rules: a) Prior to or at any time of any solicitation by petition for a special meeting of the General Convention, the National Secretary shall be notified in writing by any delegate or group of delegates of the intention to seek a call of a special meeting of the General Convention» Such notice shall be filed with the National Secretary and shall specify the business to be considered at the special meeting of the General Convention» b) When the petitions are so filed with the National Secretary, such shall be deemed a final filing and no subsequent written requests nor amendments thereto concerning the same subject matter shall be accepted by the National Secretary» c) When the National Secretary has tabulated the petitioners requests and those revocations filed and bearing a date prior to the filing of the petition, and the number of petitions is insufficient to convene a special meeting of the General Convention, then no further petition shall be circulated or filed involving the same subject matter for one (1) year from the date of filing said petitions» If, in the discretion of the National Secretary, the petition is proper and complies with all legal requirements, he shall certify and file the petition with the Board of Directors» Thereupon, the Board of Directors shall forthwith set a date and place for such special meeting of the General Convention, which shall be not less than thirty (30) days nor more than ninety (90) days from the date of the receipt of certification from the National Secretary» If a special meeting of the General Convention is called by either the Board of Directors or by action of the delegates as prescribed herein, the National Secretary shall give to each delegate twenty (20) days written notice of such special meeting of business to be considered at such a special meeting of the General Convent ion» d) I f a matter arises between regular conventions that does not warrant the calling of a special convention, but is sufficiently important to require immed iate attention, the Board of Directors shall declare an emergency» The declaration of an emergency having been made, a vote by mail shall be taken» Each member of the General Convention shall be sent a Registered Letter which shall contain the matter to be voted on in the form of a Resolution, together with any necessary explanations» Each member is required to vote within thirty (30) days from the date of mailing such Registered Letter» A majority vote shall be sufficient to carry the Resolution and it shall have the same force and effect as though it had been carried at a General Convention» The Resolution is effective when the votes are tabulated and, if 13
