Official Notice To All Members of William Penn CERTIFICATE We do hereby certify that the Merger Agreement between the William Penn Fraternal Association, a Pennsylvania Corporation, and the American Life In­surance Association of Bridgeport, Con­necticut, was approved by a majority vote being in excess of two-thirds of the qualified delegates of the 1967 Conven­tion entitled to vote through adoption of a Resolution as provided under the By- Laws, the same constituting the supreme legislative or governing body of the Association with 114 delegates voting aye, 11 naye and 7 abstentions out of a total of 132 delegates eligible to vote, through a mail referendum, closed on November 2, 1970 as the same appears on the official records of the Association. The Resolution as adopted reads as follows: RESOLUTION RESOLVED THAT, WHEREAS, the respective Boards of Directors of the William Penn Fraternal Association and American Life conducted negotiations to establish a basis for merging the two societies, and WHEREAS, after numerous meetings they did establish terms and conditions under which a merger can be effectuated; and WHEREAS, the terms and conditions Election of District Session Representatives Section 31 (a) of the By-laws provides that representatives to the Convention Districts shall be elected at the December Branch meeting. This applies only to those smaller Branches which have less than 400 adult members in good standing. All members are urged to attend the December meeting of their Branch and exercise their membership right to vote. The properly elected District Session Representatives will then be notified in 1971 as to when and where their Districts will meet for the purpose of electing Convention Delegates. BE IT FURTHER RESOLVED that the results of the balloting shall be certi­fied and published in the next edition of the Official Publication and the Resolu­tion, if carried, -shall take effect as of the date of publication. AFFIDAVIT Commonwealth of Pennsylvania County of Allegheny ss: On this 2nd day of November, 1970, be­fore me, a Notary Public, in and for the State and County aforesaid, personally appeared Elmer Charles, National Presi­dent and Albert J. Stelkovics, National Secretary of the William Penn Fraternal Association, who after being duly sworn according to law, deposes and says that they are respectively the National Presi­dent and National Secretary of the Wil­liam Penn Fraternal Association, and further depose and say as follows: 1. That the foregoing Certificate show­ing the vote of the William Penn Con­vention Delegates in the matter of the merger between the William Penn Frater­nal Association and American Life In­surance Association is made in compli­ance with the Statutory requirements for Mergers. 2. That the mail referendum was con­ducted by mailing a copy of the explana­tory letter, copy of the Resolution and Ballot to each of the delegates entitled to vote by placing the same in the U. S. mails on October 1, 1970. 3. That notice was given to the mem­bers by publishing the full text of the Agreement in the official organ of the Association, which was mailed to the Continued on page 9
