Verhovay Journal PAGE 11 koczi or Verhovay relating thereto; such member of the Rákóczi and Ver­hovay shall thereupon be entitled to receive the sick benefits upon applica­tion prescribed by the by-laws of Rákóczi or Verhovay as may be in force on the effective date of this Agreement; provided, however, that any be­nefits previously withdrawn shall be deducted from said benefits. 21. All former members of the Rákóczi holding N.F.C. Certificates shall retain those benefits established by the Rákóczi By-Laws in effect on the effective date of this Agreement. All former Verhovay members shall also be guaranteed those benefits hereinbefore established by the Board of Directors in effect on the effective date of this Agreement. 22. All subordinate branches of the Rákóczi and Verhovay shall con­tinue as branches of the William Penn and all present officers of such branches of the Rákóczi and Verhovay shall continue until their successors shall have been duly elected and qualified, subject to the several provisions of the Charter and By-Laws. 23. The Field Staff of the William Penn will comprise all representa­tives Of the Field Departments of Rákóczi and Verhovay, including all branch managers, and will be granted commission contracts and appointments. 24. Notices to members of the merged society may be given by mailing such notices in the United States mail, with postage prepaid, to the last known post office addresses of the members as shown by the records of the society on the effective date of the merger and proof of mailing of any notice shall be conclusive notice of its receipt by the addressees. 25. The parties further agree that all medical examination forms, warranties, applications, reinstatements, waivers and books of account and records pertaining to the merged members shall continue in effect. 26. It is agreed by and between Verhovay and the Rákóczi that all reasonable and proper expenses directly or indirectly incurred in further­ance of effectuating this merger shall be payable out of the merged assets of the societies, including, but not limiting thereby, the expenses of com­mittees, officers, pensions, board meetings, actuarial, accounting, convention and legal. , 27. It is hereby recognized and agreed that in consideration of the re­spective surpluses and other factors, Rákóczi is contributing on a relative basis approximately $500,000 more surplus funds to the merged Society than is Verhovay. Therefore, the amount cf $500,000 shall be set aside and used to provide additional benefits to Rákóczi members in the form of additional paid-up insurance to be computed and allocated as recommended by the Actuaries of the two Societies but only with the approval as to the method of allocation of the Connecticut and Pennsylvania Insurance De­partments. 28. It is agreed by and between the parties that the laws of the Com­monwealth of Pennsylvania shall apply to the construction of every part of this Agreement and the meaning of words and phrases herein, whether this Agreement was executed with the Commonwealth of Pennsylvania or any other jurisdiction. 29. The Merger Committees and Boards of Directors are authorized and directed to make any changes in form or subject matter not substantive in nature to comply with recommendations or directives made by the In­surance Commissioners of either state. BE IT FURTHER RESOLVED that in event of approval of terms and conditions of said merger, as amended, by a two-thirds vote of the Rá­kóczi Convention and subsequent approval of the executed Merger Agree­ment by the respective Insurance Commissioners of the State of Connecticut and the Commonwealth of Pennsylvania, the terms of said Agreement shall be in full force and effect and the joint Board, created by the terms of the said Merger Agreement, convene as soon as practicable thereafter to consummate the merger. ADOPTED this 15th day of September, 1955. 116. After the Merger Agreement is approved, the members of the Convention rise and joyously sing both the American National Anthem and the Hungarian National Anthem. There is now a round of overwhelmingly triumphant applause and cheering — an expression of great jubilation that the Merger Agreement has been approved. 111, Now each National Officer, each Director and each member of the Auditing Committee gives an impressive and cordial speech to express the tremendous joy over the fact that, after decades of hoping, the merger will be a reality. Each speech is warmly applauded, cheered and happily acknowledged by the delegates rising to their feet. The speeches also con­tain messages of gratitude to the members of the Convention. 112. The Chairman adds his expressions of deep satisfaction and com­pliments the delegates on their splendid work. Robert E. Bruce, Verhovay Actuary, cordially greets tne Convention and expresses his own satisfaction that the hard work has won successful fulfillment. 113. ANDREW Secretary SZLADICS CONTINUED MINUTES taken on the fifth day of the XXIII National Convention of the Verhovay Fraternal Insurance Association, on Friday, September 16, 1955, in the i Urban Room of the William Penn Hotel, Pittsburgh, Pennsylvania. 114. Chairman Frank Radvany calls the meeting to order at 9:00 A.M. and requests the delegates to recite the Pledge to the Flag. 115. Convention Secretary Julius J. Lenart reads the roll. All the delegates are present. 116. The previous day’s minutes are read. The Chairman appoints de­legates Andrew Szladics and Frank J. Molnár, Sr. to follow the reading of a copy of the minutes as read by the Secretary, and to certify to its cor­rectness as read. In point 100, insert after Dr. Francis Ujlaky: President of the Hun­garian Reformed Federation. 117. After the above addition is made, the minutes are approved as read. 118. Chairman Radvany announces the presence at the Convention of Charles Brody, Legal Counselor, and Dr. Bela Mark, Delegate, representing the Rákóczi Aid Association. The Convention applauds them. In their speeches they ask that the Convention approve the bylaw amendments for detailed discussion. Since it is possible that the various points will need changing, it is suggested that a committee from each of the two societies be appointed to settle the differences, to bridge the difficulties and to reach a common understanding, then present the joint recommendations to the Convention for final approval. This method would save much time for each Convention. 119. The Convention approves the recommendation made in the above point. 120. The Chairman reads a letter of greeting from Joseph Derenak, Johnstown, Pa. The Chairman greets the visitors to the Convention. 121. Julius Danch makes a motion, which is duly seconded, that each morning a minister or priest open the meeting with a prayer. The motion ' is unanimously passed. 122. Stephen Matasy puts this question to the two societies’ counsel: “After the Merger Agreement has been signed, will this Agreement as a legal contract permit the making of any future necessary changes?” Legal Advisers Banes and Brody, Counsel for each society, answer affirmatively and that it will be a legal contract. 123. John J. Inglesby puts a question to the Chairman. He wishes to know whether the handbills of nominations for National Officers and Di­rectors, which were distributed in the hotel this morning, are official. The Chairman replies that these nominating handbills are not official. After a brief discussion, the question is tabled. 124. Vice President Macker makes a motion, which is duly seconded, that the Convention begin the discussion of the amending of the bylaws. The motion is unanimously approved. 125. Legal Adviser Banes explains that every change in the bylaws must be accepted on a tentative basis, pending submission of such changes to the Rákóczi, for action by their Convention, so as to reach mutual agree­ment. the Convention accepts his explanation. 126. Elmer Charles, Field Assistant to the National President, reads the results of the Delegates’ Membership Contest.
