Legal Adviser Banes reads a message from the Rákóczi Aid Association, in which it is requested that the Verhovay Convention rescind the action approved at the Tuesday session, which approved the resolution establishing a new National Officer’s position known as the National Field Manager and a second resolution which established another new National Officer’s position known as the National Investment Manager. 128. Director Falussy makes a motion, which is duly seconded, that in connection with the above request the Convention withdraw the resolutions pertaining to the two additional national officers. The motion is unanimously approved. Therefore, the resolutions are rescinded. 129. After a duly seconded motion, the Convention unanimously votes to create the position of Field Manager, which it shall fill. The jurisdiction of the Field Manager shall be: a. Directing the promotion of hew business. b. Selecting, training, directing and supervising the activities of all field men. c. The Field Manager .shall perform his duties under the jurisdiction of the Board af Directors. 130. After a duly seconded motion, the Convention unanimously votes to create the position of Investment Manager, which it shall fill. The jurisdiction of the Investment Manager shall be: a. Recommendations to the Board of Directors for investment programs of Association funds. b. The buying, selling, exchanging and management of all investments with the approval of the National Treasurer, National Secretary and National Auditor. c. The Investment Manager shall perform his duties under the jurisdiction of the Board of Directors. 131. Director Falussy makes a motion, which is duly seconded, that Elmer Charles be named Field Manager and Richard J. Phillips be named Investment Manager by the Convention, their terms running from January 1, 1956 to December 31, 1959; also that the Board of Directors be authorized to prepare a suitable contract for each with compensation comparable to the National Officers. The Convention approves by acclamation the above motion, 132. The Chairman orders the beginning of the point by point discussion of the modifications of the bylaws. Each recommended modification is to be read in Hungarian. In the discussion a number of delegates comment on the various paragraphs under discussion, in the first place to bring the recommendations of the districts they represent and in the second place to give their own personal opinions. On the attached report are listed the corrections, deletions and changes. PREAMBLE The Rákóczi Aid Association, founded April 13, 1888, in the City of Bridgeport. Connecticut, and the Verhovay Fraternal Insurance Association, founded February 21, 1880, in the City of Hazleton, Pennsylvania, have, under the terms of a merger agreement, united to form the William Penn Fraternal Association. This agreement incorporated by reference as though fully written herein specifically provides that members of this Association who were formerly members of the Rákóczi Aid Association or of the Verhovay Fraternal Insurance Association shall not by virtue of this agreement relinquish any rights or privileges they enjoyed as members of either association. BY-LAWS OF THE WILLIAM PENN FRATERNAL ASSOCIATION CHAPTER 1 Etc. etc. Section 4. MEMBERSHIP.— b) BENEFICIAL MEMBERS. REINSTATEMENT Old Text: A membership certificate may be reinstated at any time within three years from the date of default in monthly dues payment, by the Home Office, provided the former member produces evidence of insurability satisfactory to the Association, and provided that he pay all his back dues with interest at 4% per annum, in one sum. New Text: A membership certificate may be reinstated at any time within 3 years from the date of default in monthly dues payment, by the Home Office, provided the former member produces evidence of insurability satisfactory to the Association, and provided that 1 (he pays,) in one sum, all his back dues with interest at 4% per annum, if he is in arrears for 12 or more months. DELETE the old text and replace with: New Text: No legal action for recovery on a claim based upon any membership • or benefit certificate or rider issued by the Association shall be commenced until the Board of Directors hears the appeal of the party in interest ami has made a decision on the claim which it shall do at its next succeeding meeting. In the case of any disputed claim legal action must be brought within two years after the Board, has rendered its decision upon the same or within the period of the statute of limitations whichever is the sooner. However, if claim was. made to the Association within the period of the statute of limitations and the statutory period expires before a decision is rendered by the Board, legal action must be instituted within thirty days after the decision of the Board is rendered. Page 5. Section 21. FUNERAL EXPENSES. DELETE the word insurance from the second sentence, so that the NEW TEXT of said second sentence will read: — The sum of money advanced shall be in accordance with the laws of the state in which the deceased resided. JUVENILE DEPARTMENT Old Text: The Association maintains a juvenile department for the purpose of assuring benefits to juvenile members and also as a preparation for adult membership. Children may he admitted to the Juvenile department from birth until their sixteenth birthday. Their application for membership must be signed by a parent or guardian. New Text: Section 21. JUVENILE SECTION. The Association maintains a Juvenile Section in the Life Benefit Department for the purpose of assuring benefits to juvenile members and also as a preparation for adult membership. Children may be admitted to the Juvenile Section from birth until their sixteenth birthday. Their application for membership must be signed by a parent or guardian. Page 6. Section 28. BENEFICIARIES. Paragraph b) Precedent death of all beneficiaries. In the sentence beginning with “Such benefits will” — on the 8th line of this paragraph, the words “two years” are to be changed to “the statutory time limit,” so that the New Text of this sentence should read: New Text: Such benefits will only be paid, however, if the legitimate heirs prove their claim within the statutory time limit of the death of the member.
