Vice President of the Federation - Duties and Powers 40. Any of the Vice Presidents may perform the duties of the President in his absence from meetings, or at his request, and shall perform such duties which the President or the Board of Directors deems necessary. ADVISORS TO THE BOARD OF DIRECTORS Executive Director of the Bethlen Home 41. The Executive Director of the Bethlen Home shall present a written report to the regular meetings of the Board of Directors and a separate quadrennial report to the Convention. He may participate in the discussions of the Convention and the Board of Directors meetings in matters pertaining to the Bethlen Home. Medical Director 42. The Medical Director shall be appointed by and serve at the pleasure of the Board of Directors. He shall inspect the medical examiners’ reports presented for membership. He shall suggest to the appointed physician the rules and types of examinations for applicants. He shall give his opinion on medical questions when requested. He may participate in all discussions. He shall present a written report of his yearly activities to the first regular meeting of the Board of Directors and a separate quadrennial report to the Convention of his activities during the past term. His honorarium shall be determined by the Board of Directors. Financial Counselor 43. The Financial Counselor shall be a certified public accountant. He shall be appointed by and serve at the pleasure of the Board of Directors. Upon request, he shall render opinions in financial matters. He shall prepare the audited annual statements to the States where the Federation is licensed to conduct business. He shall submit an annual written report to the Board of Directors and a separate quadrennial report to the Convention. He may participate in all discussions. His honorarium shall be determined by the Board of Directors. Legal Counselor 44. The Legal Counselor shall be a duly licensed attorney-at-law. He shall be appointed by and serve at the pleasure of the Board of Directors. He shall give his opinion on all legal matters. He may participate in all discussions. He shall submit an annual written report to the Board of Directors and a separate quadrennial report to the Convention. His honorarium shall be determined by the Board of Directors. Actuary 45. The Actuary shall be a member of the American Academy of Actuaries. He shall be appointed by and serve at the pleasure of the Board of Directors. Upon request, he shall render opinions as to insurance policies and plans. He shall prepare the actuarial calculations necessary in the preparation of the annual and quarterly statements. His compensation shall be determined by the Board of Directors. ARTICLE IV - THE NATIONAL OFFICERS Term - Qualifications - Powers - Duties 46. All the affairs of the administration of the Federation are directed by the National Officers under the supervision of the President. The National Officers are: President, Secretary, and Treasurer, who are the heads of their respective offices. They function according to the directives of the Board of Directors and according to the provisions set forth in these By-Laws. The term of office is from December 1 st of the Convention year and is completed on December 31st, four (4) years hence. The outgoing officer remains in charge of his office until December 31st. National Officers may have no other paid employment during their office in the Federation. National Officers must maintain a residence in the Home Office domicile area. Their salaries are determined by the Convention. In the interim, between Conventions, the Board of Directors may adjust the officers’ salaries according to the National Consumers’ Price Index (all items) of the previous year as published by the Department of Labor, but this may not exceed ten percent (10%) yearly. The National Officers, while attending meetings or while on promotional and organizational trips or on any other authorized special mission away from home on behalf of the Federation, shall be entitled to travel expenses and per diem expenses as determined by the Board of Directors. 47. The National Officers shall be elected from a list of qualified applicants. Applicants must be at least thirty (30) years of age, a citizen of the United States, possess a high school diploma or the equivalent thereof, and be a member of the Federation for at least five (5) years. Public announcement shall be made in the official publication for applicants by June 1 of the Convention year. Applicants shall submit their qualifications for the particular office, together with proof of their educational background, to the President, by July 31 of the Convention year, who in turn submits them to the Executive Committee and to the Board of Directors. Applicants qualified by the Board of Directors shall be certified to the Nominating Committee, which shall present the nominees to the Convention. 48. The National Officers constitute the Executive Committee. They shall have the administrative power during the interim between the Board of Directors' meetings and shall pass on all investments of the Federation. In this committee, the President of the Federation shall having voting power. In the event of a tie or upon the Committee's own motion, any subject matter may be referred to the Board of Directors. 49. The National Officere shall be under bond in an amount determined by the Board of Directors and paid for by the Federation. OFFICE OF THE PRESIDENT 50. The President is the chief executive officer and official representative of the Federation. He shall preside over all the Conventions and meetings of the Board of Directors and the Executive Committee. His other official duties are as follows: a) As the supervisor of the Home Office and organizational departments and employees, he is responsible for the execution of both internal and external activities of the Federation and the rules of administration determined by the Board of Directors. b) He distributes all correspondence and communications to the respective National Officers. c) He handles all matters which by their nature are to be attended by the Home Office, but which are not specifically listed under the jurisdiction or duties of the respective offices. He arranges all substitutions for the National Officers in the manner prescribed in Paragraph 34 of these By-Laws. d) He controls the issuance of membership certificates and documents involving property rights, and validates them with his signature. e) He countersigns disbursements. f) He conducts and directs the nationwide organizational and promotional work for the purpose of securing new members. g) With the concurrence of the Executive Committee and the approval of the Board of Directors, he forms local and district areas for the purpose of effective organization. h) He appoints all committees. I) He provides direction for cultural, fraternal, and social activities prescribed by the Charter and By Laws. j) He prepares and calls the Convention; he attends to all matters pertaining to the election of delegates. k) He prepares and calls the meetings of the Executive Committee and the Board of Directors. l) He prepares the report for institution of necessary disciplinary procedure and its subject matter for discussion. m) He does all work arising in connection with the Charter of Incorporation and the licenses of the different States. He has all reports and necessary exhibits prepared for submission to the insurance departments in the respective States. n) He reports to the respective meetings on the functions of his office. He shall also submit a separate written report annually to the Board of Directors and quadrennially to the Convention. o) He is one of the guardians of the safety deposit boxes containing 4
