the securities. p) By virtue of his office, he shall serve as Chairman of the following bodies: Executive Committee of the Federation, Board of Directors of the Federation, Executive Committee of the Bethlen Home, Board of Directors of the Bethlen Home, and Board of Directors of the Student Aid and Loan Fund. q) He is the Editor in Chief of the official publication. r) He prepares, together with the Secretary and Treasurer, the annual budget for review and approval by the Board of Directors. OFFICE OF THE SECRETARY 51. The Secretary is the chief administrative officer of the Federation. His duties are as follows: a) He directs and supervises the underwriting process and signs membership certificates. b) He exercises the usual duties of a corporate secretarial nature. He is the guardian of the seal and the minutes of the various meetings of the Federation. c) He maintains complete individual records of the members and handles their transfers. He directs and supervises the tabulating operation and furnishes the Executive Committee with a monthly statistical report. d) He determines the validity of claims on the basis of submitted documents, examines their correctness as to legality and numerical accuracy. If, on preliminary examination, he denies validation, he must give his reason to the Executive Committee. The decision of the Executive Committee is final in all claim settlements. e) He initiates the appointment, employment, supervision, and/or dismissal of the field force members, in consultation with the Board of Directors and with the concurrence of the Executive Committee. f) He, together with the other National Officers, prepares the necessary amendments to the By-Laws. g) He sends out the reports of the National Officers to the members of the Board of Directors twenty (20) days before the meetings, as well as the minutes afterwards. h) He is one of the guardians of the safety deposit boxes containing the securities. I) He performs the duties of the President while he is absent or incapacitated. j) He prepares all vouchers and is authorized to sign checks in the absence of the Treasurer or the President. k) He is one of the associate editors of the official publication. l) He gives instructions pertaining to his office to the field force. m) He reports to the respective meetings on the functions of his office. He shall also submit a separate written report annually to the Board of Directors and quadrennially to the Convention. n) He maintains the Trust Fund of Unclaimed Benefits according to the rules and regulations of the insurance departments of the respective States. o) He is an ex-officio member of the Board of Directors and the Board of Managers of the Bethlen Home, and the Board of Directors of the Student Aid and Loan Fund. OFFICE OF THE TREASURER 52. The Treasurer is the chief financial and accounting officer of the Federation. His duties are as follows: a) He is the guardian of all property of the Federation. He shall receive all monies from various sources, deposit and receipt the same in the name of the Federation. b) He keeps records of all assets, including mortgage loans, purchase and sale of securities and properties, and presents for action of the Executive Committee all investment matters. He makes purchases and sales of securities and properties as directed by the Executive Committee. c) He issues all checks or disbursements on vouchers drawn and keeps accurate records of the same and transmits such checks. d) He controls and handles, in the presence of one of the other National Officers, the securities of the Federation. These securities shall be kept in safety deposit boxes. e) He oversees, supervises, and is responsible for systems and control procedures of dues collections from the branches, with the concurrence of the Executive Committee. f) He prepares and maintains payroll records, computes and submits payroll taxes and reports to the respective States. g) He prepares, in cooperation with the National Officers, the annual budget and submits reports concerning the limitation of expenses. h) He makes a report of the annual transactions and the financial condition of the Federation to the Board of Directors and the Convention. I) He gives instructions pertaining to his office to the field force. j) He is one of the associate editors of the official publication. k) He is an ex-officio member of the Board of Directors, the Board of Managers of the Bethlen Home, and the Board of Directors of the Student Aid and Loan Fund. ARTICLE V - INDEMNIFICATION OF DIRECTORS AND OFFICERS 53. Each director and officer of the Hungarian Reformed Federation of America now or hereafter serving as such, shall be indemnified by the Federation against any and all claims and liabilities to which said person has or shall become subject by reason of serving or having served as such director or officer, or by reason of any action alleged to have been taken, omitted, or neglected by him as such director or officer; and the Federation shall reimburse, to the extent permitted by law, each such person for all legal expenses reasonably incurred by him in connection with any such claim or liability, provided, however, that no such person shall be indemnified against, or be reimbursed for any expenses incurred in connection with any claim or liability arising out of his own willful misconduct or gross negligence. Such indemnification shall also extend to instances where, at the request of the Federation, the individual serves as a director or officer of another enterprise. The foregoing right of indemnification shall not be deemed exclusive of any other right to which such director or officer may be entitled. The amount paid to any director or officer by way of indemnification shall not exceed his actual, reasonable, and necessary expenses incurred in connection with the matter involved. ARTICLE VI - PERSONNEL Home Office 54. The employees of the Home Office do their work according to the instruction and control of the respective National Officers, and under the general supervision of the President. They shall be members of the Federation. Their salaries shall be determined by the Board of Directors. The President shall hire or discharge employees upon the recommendation of the respective officers and with the approval of the Executive Committee. Following a probationary period of three (3) months, all full and part- time employees must take the oath either in the presence of the Executive Committee or the Board of Directors. Field Force 55. The field force may consist of the following: director of sales, field representatives working under contract, and any other personnel appointed by the Board of Directors. 56. All compensation of the field force shall be determined by the Executive Committee, with the concurrence of the Board of Directors. ARTICLE VII - THE BRANCHES Organization - Administration - Meetings 57. At such places where the President desires to form new branches, they may be organized with not less than 25 new members, with the approval of the Executive Committee. Branches with less than 25 members may be merged into the nearest larger branch or their membership transferred to the Home Office branch. 5
