the UNION will be made as of the date of transfer of said assets. The FEDERATION agrees to make available to the DISTRICT, for the exclusive use of its membership to promote fraternal growth and increase membership, all funds after the equalization of solvency ratios of both societies as calculated by CPS Actuaries of Stamford, Connecticut.

16. The laws of the District of Columbia shall apply to the construction of every part of this Agreement, and the meaning of the words and phrases herein whether this was executed within the District of Columbia, State of New Jersey, or any other jurisdiction.

17. The officers of the Board of Directors of the FEDERATION and the UNION are authorized and directed to make any changes in form or subject matter not substantive in nature to comply with recommendations or directives made by the Superintendent of Insurance of the District of Columbia or the Commissioner of Insurance of the State of New Jersey.

18. All notices to members may be given by mailing such notices in the United States Postal Service with postage prepaid to the last known post office address of the member as shown by the records of the societies on the date of mailing or publication in the official publication, and proof of mailing of any notice shall be conclusive of its receipt by the addressee.

IN WITNESS WHEREOF, the FEDERATION and the UNION, pursuant to Resolutions approving this Agreement duly adopted, authorized, empowered and directed the National President, the National Secretary, the Supreme President and the Supreme Secretary respectively, to execute this Agreement and
