Alternate members: The Convention shall elect an alternate for each member of the Board of Directors, by separate ballot, who shall fill any vacancy created by death or resignation. Alternates shall receive no remuneration, except for services rendered. Alternative members elected shall fill vacancies of the elected Board of Directors in the order of the highest number of votes received. Standing Committees of the Board of Directors 35. The Committees of the Board of Directors which are composed of one Vice President and three members of Board, are: a) Executive and Organization Committee. b) Administrative Committee. c) Finance and Auditing Committee. 36. The Executive and Organization Committee examines the office of the President. The Administrative Committee examines the office of the Vice President-Secretary. The Finance and Auditing Committee examines the office of the Treasurer. 37. These examinations shall be made at the first regular meeting of the Board of Directors and the results reported to that meeting. Whenever it may be found necessary the Board may conduct examinations at any time. 38. The Executive and Organization Committee also acts in disciplinary cases. Vice Presidents of the Federation Duties and Powers 39. Any of the Vice Presidents may perform the duties of the President in his absence from meetings, or at his request, and shall perform such duties which the President or the Board of Directors deem necessary. ARTICLE IV THE NATIONAL OFFICERS Qualifications — Election — Powers — Duties 40. All the affairs of the administration of the Federation are directed by the National Officers under the supervision of the President. The National Officers are: President, Vice President- Secretary and Treasurer, who are the heads of their respective offices. They function according to the directives of the Board of Directors and according to the provisions set forth in these by-laws. The terms of their office is from December 1st of the Convention year and is completed on December 31st, four years hence. The outgoing officer remains in charge of his office until December 31 st. They may have no other paid employment than their office in the Federation. National officers must maintain a residence in the Home office domicile area. Their salaries are determined by the Convention. In the interim, between Conventions, the Board of Directors may adjust the officers salaries according to the consumers price index (all items) of the previous year as published by the Department of Labor but this may not exceed a yearly 10%. The National Officers, while attending meetings or while on promotional and organizational trips or on any other authorized special mission away from home on behalf of the F ederation, shall be entitled to travel expenses and per diem expenses as determined by the Board of Directors. 41. The election of the National Officers shall be from a list of qualified applicants. Public announcement shall be made for applicants at least two months prior to the Convention. The applicants shall submit their qualifications for the particular office together with proof of their educational background to the President who in turn submits them to the Executive Committee and to the Board of Directors. The age of the applicants shall not be over 66 as of December 31 of the Convention year. Applicants qualified by the Board of Directors shall be certified to the Committee on Nominations, who shall present the nominees to the Convention. 42. The National Officers constitute the Executive Committee. They shall have the administrative power during the interim between the Board of Directors meetings and shall pass on all investments of the Federation. In this committee, the President of the Federation shall have voting power. In the event of a tie vote or upon the Committee’s own motion, a subject matter may be referred to the Board of Directors. 43. The National Officers shall be under bond in the amount determined by the Board of Directors and paid for by the Federation. OFFICE OF THE PRESIDENT 44. The President is the chief executive officer and official representative of the Federation. He shall preside over all the conventions, the meetings of the Board of Directors and the Executive Committee. His other official duties are as follows: a) As the Supervisor of the Home Office and organizational departments and employees, he is responsible for the execution of both internal and external activities of the Federation and the rules of administration determined by the Board of Directors. b) He distributes all correspondence and communications to the respective National Officers. c) He handles all matters which by their nature are to be attended by the Home Office, but which are not specifically listed under the jurisdiction or duties of the respective offices. He arranges all substitutions for the National Officers in the manner prescribed in paragraph 33 of these by-laws. d) He controls issuance of membership certificates and documents involving property rights, and validates them with his signature. e) He countersigns disbursements. f) He conducts and directs the nationwide organizational and promotional work. In concurrence with the Executive Committee and with the approval of the Board of Directors, he forms local and district areas for the purpose of organization. He appoints, employs, controls and dismisses members of the field force after consultation with the member or members of the Board of Directors of the respective district and in concurrence with the Executive Committee. g) He provides direction for the cultural, fraternal and social activities prescribed by the charter and by-laws. h) He prepares and calls the Convention; he attends to all matters pertaining to the election of the delegates. i) He prepares and calls the meetings of the Executive Committee and the Board of Directors. j) He prepares the report for institution of necessary disciplinary procedure and its subject matter for discussion. k) He does all work arising in connection with the charter of incorporation and the licenses of the different states and Canada. He has reports and actuarial statements prepared for submission to the insurance departments in the United States and Canada. 1) He reports to the respective meetings on the functions of his office. m) He is one of the guardians of the safety deposit boxes containing the securities. n) He is ex-officio President of the Board of Directors and the Board of Managers of the Bethlen Home and the Board of Directors of the Student Aid and Loan Fund. o) He is the Editor-in-Chief of the official publication. OFFICE OF THE VICE PRESIDENTSECRETARY 45. The Vice President-Secretary is the chief administrative officer of the Federation. His duties are as follows: a) He directs and supervises the underwriting process and signs membership certificates. b) He exercises the usual duties of corporate secretarial nature. He is the guardian of the seal and the minutes of the various meetings of the Federation. c) He maintains complete individual records of the members and handles their transfers. He directs and supervises the tabulating operation and furnishes the National Officers with a monthly statistical report. d) He determines the validity of claims on the basis of submitted documents, examines their correctness as to legality and numerical accuracy. If, on preliminary examination, he finds payment on claims not permissible, he denies validation and gives his reason to the Executive Committee. The decision of the Executive Committee is final in all claim settlements. e) He, together with the other National Officers, prepares the necessary amendments to the bylaws. f) He sends out the reports of the National Officers to the Members of the Board of Directors twenty days before the meetings, as well as the minutes afterwards. He circulates official letters between them and the Home Office. g) He is one of the guardians of the safety deposit boxes containing the securities. h) He performs the duties of the President while he is absent or incapacitated. i) He shall prepare all vouchers, and is authorized to sign checks in the absence of the Treasurer or the President. j) He is one of the associate editors of the official publication. k) He shall give instructions pertaining to his office to the field force. l) He shall submit reports of his activities to the Board of Directors and the Convention. m) He maintains the Trust Fund of Unclaimed Benefits according to the rules and regulations of the Insurance Departments. n) He is ex-officio Vice President of the Board of Directors and the Board of Managers of the Bethlen Home and the Board of Directors of the Student Aid and Loan Fund. OFFICE OF THE TREASURER 46. The Treasurer is the chief financial and accounting officer of the Federation. His duties are as follows: a) He is the guardian of all property of the Federation. He shall receive all moneys from various sources, deposit and receipt the same in the name of the Federation.
