FRATERNITY Page 31 b) He shall keep records of all assets, including mortgage loans, purchase and sale of securi­ties and properties, and shall present for action of the Executive Committee all investment matters. He shall make purchases and sales of securities and properties as directed by the Executive Committee. c) He shall issue all checks or disbursements on vouchers drawn and shall keep accurate records of the same and shall transmit such checks. d) He shall control and handle, in the presence of one of the other National Officers the securities of the Federation kept in safety deposit boxes. e) He oversees, supervises and is responsible for systems and controls procedures of dues collections throughout the branches with concurrence of the Executive Committee. f) He prepares and maintains payroll records, computes and submits payroll taxes and reports to the respective states and provinces. g) He prepares, in cooperation with the National Officers, the annual budget and submits reports concerning the limitation of expenses. h) He shall make a report of the annual trans­actions and the financial condition of the Federation to the Board of Directors and the Convention. i) He shall give instructions pertaining to his office to the the field force. j) He is one of the associate editors of the official publication. k) He is ex-officio member of the Board of Directors and the Board of Managers of the Bethlen Home and the Board of Directors of the Student Aid and Loan Fund. ADVISORY MEMBERS The Administrator of the Bethlen Home 47. The Administrator shall present a written report to the regular meetings of the Board of Directors and to the Convention. He may partake in the discussion of the Convention and the Board of Directors meeting in matters pertaining to Bethlen Home. The Medical Director 48. The Medical Director shall be appointed by and serve at the pleasure of the Board of Directors. He shall inspect the medical examiners reports presented for membership. He shall suggest to the medical examiners rules and types of examinations of applicants. He gives his opinion on medical questions when requested. He shall have the right to partake in all discussions. He shall present a written report of his yearly activities to the first regular annual meeting of the Board of Directors and the Convention of his activities during the past term. His honorarium is determined by the Board of Directors. The Financial Counsellor 49. The Financial Counsellor shall be a certified public accountant. He shall be appointed by and serve at the pleasure of the Board of Directors. Upon request he shall render opinions in financial matters. He shall prepare the annual statements to the States and Provinces. He shall submit an annual written report to the Board of Directors and one to the Convention. He shall have the right to partake in all discussions. His honorarium shall be determined by the Board of Directors. Legal Counsellor 50. The Legal Counsellor shall be a duly licensed attorney-at-law. He shall be appointed by and serve at the pleasure of the Board of Directors He shall give his opinion on all legal matters. He shall have the right to partake in all discussions. He shall submit an annual written report to the Board of Directors and the Convention. His honorarium shall be determined by the Board of Directors. Actuary 51. The Actuary shall be a member of the American Academy of Actuaries. He shall be appointed by and serve at the pleasure of the Board of Directors. Upon request, he shall render opinions as to insurance policies and plans. He shall prepare the actuarial calculations necessary in the pre­paration of the annual statements. His compen­sation shall be determined by the Board of Directors. ARTICLE V PERSONNEL Home Office 52. The employees of the Home Office do their work according to the instruction and control of the respective National Officers, and under the general supervision of the President. They shall be members of the Federation with membership in the Home Office branch. Their salaries shall be determined by the Board of Directors. The President shall hire or discharge employees upon the recommendation of the respective Officers and with the approval of the Executive Committee. Following a probationary period of three months, all full and part time employees must take the oath either in the presence of the Executive Committee or the Board of Directors. Field Force 53. The field force may consist of the following: director of sales, field representatives working under contract and any other personnel appointed by the Board of Directors. The President shall recommend to the Executive Committee and Board of Directors the field force members to be invited to the Convention - based upon production, and administrative services during the four year period prior to the Convention. They have the right to participate in discussions and matters pertaining to promotional and organiza­tional work when called upon by the chairman. 54. Compensation of the field force shall be determined by the Board of Directors. ARTICLE VI THE BRANCHES Organization — Administration — Meetings 55. At such places where the President desires to form new branches, they may be organized with not less than 25 new members, with the approval of the Executive Committee. Branches with less than 25 members may be merged into the nearest larger branch or their membership transferred to the Home Office branch. Canadian members cannot be transferred to branches in the United States. 56. Each branch shall have self-governing powers in its own affairs and may adopt rules and regulations, provided they do not conflict with these by-laws. The affairs of the branch are controlled by its elected officials and the branch manager. 57. The business of the branches shall be trans­acted at their meetings. Each branch shall hold meetings regularly at a place ancf time set by the branch. One of the meetings shall be the regular annual meeting. All members of the adult insurance department of the Federation may be present at the meeting of the branch. A member in arrears in dues for 30 days shall not be entitled to vote. Branch Officers — Expenses 58. In order to transact its business, every branch shall elect officers from the adult members by a majority vote of the members present and voting at the annual meeting of the branch. These officers consist of a president, vice president, secretaiy, treasurer and controller. Persons who are officers or employees of other similar associations cannot be elected branch officers. 59. The president of the branch shall conduct its meetings. 60. In case of the absence of the president, his rights and duties shall be assumed by the vice president, or the secretary. 61. The secretary of the branch shall take the minutes of the meetings, preserve them in proper form, and submit them to the Vice President- Secretary of the Federation. Upon request he shall summon regular and special meetings. Upon the request of the President of the Branch, the secretary shall take care of all correspondence pertaining to the branch. He is the guardian of the seal of the branch. The branch manager may assume the duties of the secretary. 62. The treasurer of the Branch shall handle the money of the Branch and is responsible for it. He shall keep the customary form of records, showing income and expenses of the Branch. He is not to collect dues for certificates from HRFA members. He is to handle the monies of the Branch which may be acquired by donation from members and the proceeds from various social events the Branch may decide to have. He shall open a bank account which would be in the name of the Branch. Removal of money and checks issued would require the sign­ature of the Branch president and the treasurer. This money would be at the disposal of the Branch for fraternal and charitable activities. 63. It is the duty of the controller to audit the books, the accounts and the money handled by the treasurer. 64. The President of the Federation, with the approval of the Executive Committee, appoints the Branch Manager. His renumeration shall be determined by the Executive Committee. The Branch Manager shall make the collection of monthly dues required for the certificates issued by the HRFA. He shall transmit to the Home Office of the Federation all dues collected except permissible contracted deductions, not later than the 26th of each month. The Branch Manager shall submit the necessary signature cards for the local bank account to the National Treasurer and the Vice President - Secretary for their signatures. The Branch Manager shall assist the officers of the Branch in fraternal activities, conduct all business with the Home Office, shall cooperate with the authorized field representative in the area and record the names of new members in the Branch minutes. 65. Branch expenses, such as the rental of a meeting place, cost of official correspondence and expenses authorized by the Home Office will be reimbursed by the treasurer of the Federation.
