subject to the terms of this Agreement under the provision of the consolidated society By-Laws and any amendment thereto. It is hereby declared and represented by each of the societies that each has made to the other a full and complete disclosure of the extent of the assets and liabilities of each society as of the date of the execution of this Consolidation Agreement. 27. Every member of the consolidation society shall pay to it all assessments and premiums which shall become due and payable under his certificate or By-Laws and as pro­vided by this Agreement, subject to the provisions of the present certificate of each member and the guaranteed values contained in said certificate shall remain effective, and each member shall continue to pay branch dues as heretofore in their original organization. 28. Every social member in good standing on the effec­tive date of this Agreement shall be a social member of the consolidated society by making payment of such dues as are required by the By-Laws or branch rules. 29. Every member of the consolidated society who may be under suspension on the effective date of this Agreement shall have the privilege of re-instating his membership and benefit certificates subject to the provisions of this Agree­ment and the consolidated society’s By-Laws. 30. The parties hereto agree that the consolidated society shall issue a Certificate of Assumption to each member in good standing, acknowledging membership in the consolidated society, together with all rights and privileges incident thereto, and all certificate benefits to which such member or his lawful beneficiary is entitled as provided herein. 31. It is agreed that each member of the Federation and of the Association now a member of the sick benefit class shall hereafter pay to the consolidated society all sick benefit assessments and premiums which shall become due and payable under the sick benefit provisions or the By-Laws of the Federation and Association relating thereto: Each member of the Federation and Association shall thereupon be entitled to receive the sick benefits upon application under prescribed rules which may be in force on the effective date of this Agreement. 32. All subordinate branches of the Federation and Association shall continue as branches of the consolidated society and all present officers of such branches of the Federation and Association shall continue until their suc­cessors shall have been duly elected and qualified, subject to the several provisions of the charter and By-Laws. One or more branches in the same area are urged to consolidate under the direction of the National Officers by January 1, 1985. 33. All notices to members may be given by mailing such notices in the United States mail, with postage prepaid, to the last known post office addresses of the members as shown by the records of the society and on the effective date of the consolidation and proof of mailing of any notice shall be conclusive of its receipt by the addressee or by publishing any notices in the official publication. 34. The parties further agree that all medical examina­tion forms, warranties, applications, re-instatements, waivers and books of account and records pertaining to the consolidated members shall continue in effect and shall become the property of the consolidated society. 35. It is further agreed between the parties that the con­solidated Board of Directors will administer the William Penn Fraternal Association Scholarship Foundation and the Hungarian Reformed Federation of America Student Aid Loan Fund. 36. The Bethlen Home — The consolidated society shall annually contribute to the Bethlen Home, in Ligonier, Pennsylvania, a minimum sum of Twenty-Four ($24,000.00) thousand dollars, to assist in its operation. The affairs of the Bethlen Home shall continue to be conducted by a separate and legally distinct corporate Board of Directors and Board of Managers. Upon approval of this Consolidated Agreement, the Board of Directors of the Bethlen Home shall forthwith amend the By-Laws of the Bethlen Home to reflect composition of its Board of Managers to be as follows: a. The Administrator. b. Three National Officers of the former William Penn Association. c. Three National Officers of the former Hungarian Reformed Federation of America. d. Three denominational representatives as outlined in the current Bethlen Home By-Laws. Upon approval of this Consolidation Agreement, the Board of Directors of the Bethlen Home shall forthwith amend the By-Laws of the Bethlen Home to reflect composi­tions of its Board of Directors as follows: a. Eight Board members of the former William Penn Association. b. Eight Board members of the former Hungarian Re­formed Federation of America. c. The Administrator. d. Three members of the Board of Managers who are Church representatives. e. Church representatives as outlined in the current By-Laws. 37. It is agreed by and between the Association and the Federation that all reasonable and proper expenses directly or indirectly incurred in furtherance of effectuating this con­solidation shall be payable out of the funds of each society, including, but not limiting thereby, the expense of commit­tees, officers, pensions, board meetings, actuarial, account­ing, convention and legal. 38. It is agreed by and between the parties that the laws of the Commonwealth of Pennsylvania shall apply to the construction of every part of this Agreement and the mean­ing of words and phrases, herein, whether this Agreement was executed within the Commonwealth of Pennsylvania or any other jurisdiction. 39. The Board of Directors are authorized and directed to make any changes in form or subject matter not substan­tive in nature to comply with recommendations or directives by the Insurance Commissioner of Pennsylvania or the Superintendent of Insurance of the District of Columbia. IN WITNESS WHEREOF, THE HUNGARIAN REFORMED FEDERATION OF AMERICA AND THE WILLIAM PENN ASSOCIATION, pursuant to resolutions duly adopted, authorized and directed, their respective National President and National Secretary, to execute this Agreement and affix the seals of each society this ________day of___________, 198__
