1 ATTEST: (Corporate Seal) _____________________ Hungarian Reformed Federation of America Signature Name of Corporation National Secretary By: Title Signature National President Title ATTEST: (Corporate Seal) William Penn Association Signature Name of Corporation National Secretary By: Title Signature National President Title EXHIBIT (I) COMMONWEALTH OF PENNSYLVANIA DEPARTMENT OF INSURANCE ARTICLES OF CONSOLIDATION TO THE COMMISSIONER OF INSURANCE: In compliance with the requirements of Section 214 of the Fraternal Benefit Society Code, Act No. 38, approved July 29, 1977, PL 105 as amended (40 PS Sec 1141-214) providing for “Consolidations and Mergers” of a domestic Society with any other Society, the officers of the William Penn Association, a domestic Society and the Hungarian Reformed Federation of America, a qualified foreign fraternal association, domiciled in Washington, D.C., hereby certify that: 1. The name of the new domestic, consolidated, frater - benefit society is American-Hungarian Fraternal Association with its registered office at 100 Wood Street, Pittsburgh, Allegheny County, Pennsylvania, 15222. 2. The names and location of the registered offices of each of the parties to this plan of consolidation are as follows: a. William Penn Association 100 Wood Street, Pittsburgh, Pennsylvania 15222 b. Hungarian Reformed Federation of America 2025 Eye Street, N.W., Washington, D.C. 20006 3. The plan of consolidation will be in effect after issuance of a Certificate of Approval of the Consolidation by the Superintendent of Insurance for the District of Columbia and subsequent approval by the Insurance Commissioner of Pennsylvania. 4. The manner in which the plan of Consolidation as prescribed by Section 214, Act of July 29, 1977, PL 105, Act No. 3 was approved and adopted was as follows: (a) The parties negotiated, approved and executed a Consolidation Agreement containing in full the terms and conditions of the Consolidation. A certified copy is attached and marked Exhibit A. (b) Filing of a sworn statement by the President and Secretary of each Society showing the financial condition thereof as of December 31, 1981 with the Commissioner of Insurance of Pennsylvania and Superintendent of Insurance, Washington, D.C. (c) Filing of the Certificates by the Officers of each Society duly verified by their respective oaths with the Commissioner of Pennsylvania and Superintendent of Insurance, Washington, D.C., that the Consolidation has been approved by a two-thirds vote of the Convention being the supreme legislative body of each Society. (d) Filing of Certificates by the Officers of each Society with the Commissioner of Insurance of Pennsylvania and Superintendent of Insurance, Washington, D.C., that 60 days prior to the action of their Convention, the text of the Consolidation Agreement was furnished to their members by publication in full in their official Organs. (e) Filing a Certificate of Approval issued by the Superintendent of Insurance, Washington, D.C., that the Hungarian Reformed Federation of America has complied with all the laws of the District of Columbia relating to approval of this Consolidation. 5. The nature and purposes of the Consolidated Society shall be to provide death, disability, annuity and other benefits, rights and privileges to its members and their beneficiaries as authorized by these Articles and the By-Laws under the laws of Pennsylvania pertaining to benefit societies; to provide for other charitable, educational, religious and fraternal programs, through itself or wholly owned subsidiaries; foster, promote and support American- Hungarian culture and for these purposes, own or lease and maintain real and personal property, and to perform all other acts needed necessary or required, to carry out these purposes. 6. The supreme legislative or governing body of the Society shall be the General Convention. The corporate powers of the Consolidated Society shall be exercised through a Board of Directors, National Officers, Executive Committee and other committees and subordinate branches. 7. The National Officers, Directors or their successors and their Alternates, and Auditors, who shall serve until the General Convention in 1986 are as follows: a.
