WILLIAM PENN ASSOCIATION BY-LAWS 12. With the Chair of the Board, enable the Board to fulfill its governance functions. 13. Give direction and leadership toward the achievement of the Association's philosophy, mission, strategy, and annual goals and objectives. 14. Anticipate short and long-term competitive trends that may affect key strategies and programs of the Association. 15. Appoint the editorial staff for the Association's official publication. 16. Perform all other duties customarily performed by the President of a corporation. Section 404. OFFICE OF THE NATIONAL VICE PRESIDENT-SECRETARY - The National Vice President- Secretary is the Chief Administrative Officer and the Corporate Secretary of the Association and an official representative of the Association and shall perform the following duties: 1. Be responsible for and keep and maintain all the official records of the Association and its Affiliates, the Board, the Standing Committees of the Association, and all other committees provided herein, except such records as are specifically maintained by other officers of the Association. Be one of the guardians of the securities and other assets of the Association. Copies of said records shall also be on file at the National Vice President-Secretary's office. 2. Read, or cause that person appointed by the Chair of the Board to read, at all meetings of the Board and Standing Committees, all communications and all other documents and papers coming before the Board or Standing Committees, except reports of other committees which may be read by the Chair or any other member thereof. 3. Make full and complete reports, in the manner and time required by the state insurance departments and all other government agencies having jurisdiction over any of the affairs of the Association, together with the National Vice President-Treasurer. 4. Be custodian of the Official Seal of the Association and sign all official documents of the Association requiring his or her signature, affixing thereto the seal of the Association when necessary. He or she shall prepare and certify under the seal of the Association, all copies of books, records and all other documents of the Association, or portions thereof, which may be required for any purpose. 5. Recruit, train, direct and supervise the Underwriting and Annuity Departments, sign membership certificates and maintain complete individual records of Members and direct the preparation of statistical and membership data by the computer operations. 6. Determine the validity of claims. 7. Establish and maintain appropriate internal control safeguards. 8. Co-sign checks, provided that all checks shall also be co-signed by one of the following: the National President, the National Vice President-Treasurer (provided that such office is held by some person other than the National Vice President-Secretary), or another employee of the Association so authorized by the Board. 9. Perform all of the duties of the National President in his or her disability or inability to act, with the approval of the Board and until such time as the Board appoints a successor to such National President. The National Vice President-Secretary shall notify the Board within twentyfour (24) hours of the occurrence of any such disability or inability to act of the National President. 10. Anticipate short and long-term competitive trends that may affect key strategies and programs of the Association. 11. Develop and direct the implementation of strategic business and/or operational plans, projects, programs and systems of the Association. 12. Establish and implement short-range and longrange Departmental goals, objectives, policies and operating procedures established by the Association from time to time. 13. Perform all other duties customarily performed by the Secretary of a corporation and perform such other duties as may be assigned to him or her by the National President, the Board or Executive Committee, and all other duties imposed upon him or her elsewhere in these By- Laws. Section 405. OFFICE OF THE NATIONAL VICE PRESIDENT-TREASURER - The National Vice President- Treasurer is the Chief Financial Officer of the Association and an official representative of the Association. He or she shall perform the following duties: 1. Prepare, make and maintain such records and reports of the Association and its Affiliates as may be required of him or her by the Board. 2. Be the guardian of funds, securities and other assets of the Association. 3. Deposit, to the sole credit of the Association, all funds belonging to the Association in depositories approved by the Board. 4. Be the custodian of all the supplies, furniture, fixtures and other personal property belonging to the Association. 5. Make full and complete reports, in the manner and time required by the state insurance departments and all other government agencies having jurisdiction over any of the affairs of the Association, together with the National Vice President-Secretary. 6. Oversee the approval and processing of premium and investment income, expenditures, budgets, salary updates, ledger, and account maintenance. 7. Coordinate and approve the preparation of annual, quarterly and other financial statements, financial reports, special analyses, and information reports. 8. Develop and implement finance, accounting, billing and auditing procedures. 9. Establish and maintain appropriate internal control safeguards.
