2 - By-Laws of the Association good standing as follows: a. Attained age 18 and a benefit member of the Association for one full calendar year prior to his election as a Delegate or Alternate Delegate and a citizen of the United States of America. b. In the case of life family plans, only the certificate-holder who is the basic insured member, shall have the right and privilege to vote at Delegate District meetings at Branch meetings or hold office. c. Must not have business or personal interests which would constitute a conflict of interest in relation to the business operations of the Association. d. Must not be an Officer appointed by the Board of Directors, Home Office Employee, District Office Employee, General Agent, Agent under contract, or Independent Contractor, except part-time Branch Coordinators or Special Agents appointed by the National President. e. Must not have any financial obligations to the Association as the result of previous employment, or have terminated employment with the Association less than one year prior to a District Delegate Meeting. f. May not be a person who has exercised the nonforfeiture option of his certificate either in the form of Extended Insurance or Reduced Paid-Up life. g. May not be a person who is directly involved in litigation against the Association except for claims under the policy of insurance. h. Be a member of the branch for one year prior to the Delegate or Area Delegate District election, except as provided in Section 107(6) herein, and be present at the election meeting. 2. BOARD TO DETERMINE QUALIFICATIONS The Board of Directors shall determine whether a candidate for delegate or challenged delegate is in good standing as follows: a. Challenge of delegate elections must be filed with the National Secretary, by Certified Mail, within 10 days after the election and the National Secretary shall give written notice by Certified Mail within 5 days to said candidate for delegate or challenged delegate of the charges specified wherein he allegedly fails to comply with this Article. b. The candidate for delegate or challenged delegate shall be afforded the opportunity to appear personally, at his own expense, before the Board of Directors or answer the charges, in writing, by Certified Mail within 10 days, of receipt of notification of the challenge to his candidacy. c. The decision of the Board of Directors as to whether or not the candidate for delegate, or challenged delegate, is in good standing, shall be final. 3. DELEGATE DISTRICTS Based upon the membership of the Association, as of December 31 of the year prior to the General Convention, the Board shall establish the number of delegates to be certified as delegates in order to comply with the statutory provisions relating to the minimum number of elected and ex-officio delegates required to comprise a convention and establish delegate districts considering the number of adult life benefit members and any other factors that the Board of Directors may consider material. 4. DELEGATES/ALTERNATE DELEGATES a. Each Delegate District shall be entitled to elect one or more delegates for a 4 year term or until their successors are elected and certified by the National Secretary. b. In addition to the elected delegates, each Delegate District shall elect an equal number of alternate delegates to be certified. 5. NOTICE OF ELECTIONS Election of convention delegates must be held from May 1 to May 15. Notice of the meeting and place must appear in the Official William Penn Association Publication prior to the meeting. If the appointed District Chairman cannot perform the duties on the designated date, the National Secretary shall appoint another District Chairman. 6. DELEGATE DISTRICT ELECTIONS Delegate District elections will be conducted according to rules and procedures as follows: a. The Board of Directors shall appoint a District Chairman for each district from among the Delegate District members. b. The District Chairman will fix the date, place and time for the election as provided in the By-Laws. c. The Delegate District Meeting will be called to order by the District Chairman. He shall conduct the meeting and he shall appoint a Recording Secretary. d. Nominations for delegates or alternate delegates shall be made from the floor of the Delegate District Meeting of those in attendance. e. Nominees must be present at the meeting, and accept or decline the nomination. Proxy voting shall not be allowed, either as a vote, acceptance or declination of a nomination. f. A register will be maintained and signed by all members voting. g. The vote of a member must be cast in person at a designated location in the Delegate District to which he is assigned. h. The candidates receiving the highest number of votes shall be the duly elected delegates for the respective Delegate District and the candidates for Alternate Delegate receiving the highest number of votes shall be the Alternate Delegates for the respective Delegate District. In the event of a tie vote for Delegate or Alternate Delegate, the Election shall be decided by lot by the candidates involved, in the presence of the District Chairman. i. The District Chairman must, by certified mail, submit the election results, listing all candidates with the number of votes cast, Minutes of the meeting and registration list to the National Secretary within ten (10) days after said election. j. Branches which do not have the minimum number of adult members to elect a delegate shall become part of an Area Delegate District. 7. AREA DELEGATE DISTRICT ELECTION a. Representatives to the Area Delegate District Meeting shall be elected on the following basis: 1. A branch having at least fifty (50) to one hundred (100) adult benefit members is entitled to elect one (1) representative. 2. A branch having one hundred one (101) to two hundred (200) adult benefit members is entitled to elect two (2) representatives. 3. A branch having two hundred one (201) to four hundred (400) adult benefit members shall be entitled to elect three (3) representatives. b. Election of Area Delegate District Representatives. 1. Representatives to the Area Delegate District Meeting shall be elected at the March Branch Meeting preceding the General Convention. 2. Representatives shall be elected on the basis of number of adult benefit members as of December 31 of the year prior to the General Convention. 3. The names of the elected representatives shall be submitted to the National Secretary for certification. c. Qualifications. Area Delegate District Representatives are subject to Section 205 of these By-Laws. d. Area Delegate District Meeting. The Area Delegate District Meeting shall be convened at the time and in the place established by the Board of Directors. The meeting shall be convened by the board appointed Area Delegate District Chairman who will conduct the meeting. The District Chairman will appoint a Recording Secretary and submit the election results as provided in Section 205, 6 h of these By-Laws. 8. CERTIFICATION OF DELEGATES ELECTION AND PUBLICATION The names of the delegates and alternates elected, together with the names of the ex-officio delegates shall be published in the Official Publication in the issue preceding the regular meeting of the General Convention. Such listing shall constitute an official list of delegates and alternates for the next regular meeting of the General Convention, and upon the election and qualification of delegates to the General Convention, the term of office of previously elected delegates, shall cease. The aforesaid publication shall be deemed sufficient notice to all members and delegates. 9. EXPENSES OF DISTRICT CHAIRMAN The expense allowance of the District Chairman, in connection with the delegate elections, shall be determined and fixed by the Board of Directors and paid by the Home Office. 10. EX-OFFICIO DELEGATES a. The National President, National Vice President, National Secretary, National Treasurer, each Director, each Auditing Committee Member, and each surviving member of the Advisory Board who holds office at the time of any regular or special session of the General Convention, shall each be entitled to one vote. b. The National Secretary shall file with the Credentials Committee his certificate listing the names, offices held and addresses of all ex-officio delegates. 206 - POWERS OF THE GENERAL CONVENTION Powers of the General Convention shall include, but not be limited to: 1. Adoption of Agenda. 2. Establish honorarium, travel expense and per diem fees for delegates. 3. Adopt Charter or By-Law Amendments. 4. Elect: Board of Directors, Alternate Directors, Auditing Committee Members, and Alternate Auditing Committee Members. 5. Establish honorarium, travel expense and annuity benefits for the Board of Directors, Auditing Committee Members and Advisory Board Members for those who are on official business for the Association. No National Officer as an ex-officio member of the Board shall receive an honorarium or additional compensation as a Director. 6. Installation of elected Board of Directors and Auditing Committee Members. 207 - GENERAL CONVENTION PROCEDURES General Convention procedures shall be established by the Board of Directors. 208 - SPECIAL MEETING OF THE GENERAL CONVENTION 1. Special meeting of the General Convention shall consist of the elected delegates certified to the last preceding regular General Convention, together with ex-officio delegates as provided in Section 201.2. 2. A Special meeting of the General Convention shall be called by the National President, either at the request of the majority of the Board of Directors or on petition signed by not less than a majority of said delegates in good standing or at the written request of the majority of the branches. The call shall precede the opening of said Convention by at least 15 days. 3. The agenda of the Special meeting of the General Convention is limited to the business in the call notice. 209 - CONVENTION ACTION BY MAIL BALLOT If a matter arises between regular conventions that does not warrant the call of a Sepcial Convention, but is sufficiently important to require immediate attention,
