The duties of the Officers shall be determined, from time to time, by the Board of Directors.” Section 2—to be “CHAIRMAN OF THE BOARD”. Right of Action. No court action may be started for any claim arising out of a certificate of insurance, unless the action is started within (he time allowed by the laws of the jurisdiction in which the cause of action accrues. In the absence of any such laws, the court action must be started within three years from the date the claim arises. 11. Receipt of Payments not a Waiver. If the Association receives and temporarily holds a payment of premium, this shall not constitute a waiver of any of its defenses. If a certificate has lapsed or been forfeited, or if the Association has received a notice of cancellation, the payment of any premium for the certificate shall not revive or continue the certificate, whether made on notice of premium due or otherwise and the payment shall be returned to the member. 34) CHAPTER XI—BRANCHES Section 3, Page 29—Rewrite as follows: “Regular meetings of the Branch shall be held monthly, except that meetings may be dispensed with in the months of June, July and August, etc.” 35) Page 35—Insert the following new CHAPTER XV—INDEMNIFICATION The Association shall indemnify and hold harmless every person who is or was a director, officer, trustee, committee member or employee of this Association from any liability, loss or damage incurred by them, including counsel fees by reason of any act performed by them for and on behalf of the Association and in furtherance of its interest, except that the foregoing shall not relieve such persons of liability for gross negligence or willful malfeasance. 36) CHAPTER XV—AMENDMENTS TO BY-LAWS to become CHAPTER XVI. 37) CHAPTER XVI—AUTHORITY to become CHAPTER XVII with appropriate dates. 38) Chairman Charles called upon Vice President of Marketing Stephen T. Szilagyi to make a presentation on sales promotion. Mr. Szilagyi conducted a one hour seminar on various sales promotions including an elaboration of our Annuity program. 39) Moved, seconded and the Board unanimously approved the final Delegate District and Area Delegate Districts including naming of District Secretaries and number of delegates each district is entitled to based on September 31, 1978 computer run of eligible adult certificates. The Board further resolves that the National Officers be authorized to make whatever adjustments necessary may occur between now and December 31, 1979, in the certificate count. It is further resolved that the Delegate District and Area Delegate District listing be attached to and made a part of these Minutes. 40) It was moved, seconded and approved by the Board of Directors that in the event any mergers with other societies are finalized from this date on until the General Convention convenes in September 1979, the Executive Committee is empowered to allocate delegate representation from such merged societies to the General Convention. 41) It was moved, seconded and unanimously adopted by the Board of Directors that it be recommended to the Convention that the By-Laws, Chapter IV, Section 1, Page 17 be amended by changing the word “installed” in line 4 to “their installation,” and delete the remainder of the paragraph reading “with the proviso that the Board of Directors, in the event of merger may appoint (2) additional Directors to serve no less than a full term of four (4) years. The Board may then extend his term to the next Convention only.” 42) The Board discussed the new Annuity Plan now being offered by the Association. It was moved, seconded and authorized by the Board that the Executive Committee review this plan with special regard to registration fee and interest rate and submit its recommendation at the next Board meeting. 43) Vice President of Membership Services Gus G. Nagy informed the Board members that various travel agencies are offering trips to various locations at reasonable costs. He suggested that the Association take advantage of these offers so that our members may participate if they so desired. There would be no charge to the Association for these trips. It was moved, seconded and authorized by the Board that Mr. Nagy investigate these possibilities and wherever feasible he is to proceed with arranging for these trips for the benefit of our membership. The Board further emphasized that there is a continuously on going Membership Campaign, rules of which were published in previous William Penn Life issues and is published again. Members may accumulate points for any tour or event arranged for William Penn members. 44) The Board of Directors authorized the Association to commence arranging plans for a trip to Hungary in 1980, details to be worked out by the Executive Committee. 45) It was moved, seconded and authorized by the Board to present the Illustrious Citation to the following members: Alex Fabiankovitz, Branch Manager, Branch 336, Harrisburg, Pa. Louis Sipos, Branch 214, Flint, Michigan. Mr. Marton Nadase, Branch 214, Flint, Michigan. Mrs. Andrew Buck, -Auditor, Branch 226, McKeesport, Pennsylvania. 46) The Board of Directors acknowledged receipt of letters of thanks from the following: Miss Julia R. Orosz, Garden of Hungarian Song. Recipients of financial assistance of the Johnstown Flood victims: James Majchen, John Yuhasz and Family, Steve Otvos, Mr. and Mrs. Joseph Knecht, Michell George and Robert Burgo Family.
