Official Delegate District Elections for 1979 General Convention (Continued from Page 1) relation to the business operation of William Penn Association. c) Must not be an Officer contracted or appointed by the Board of Directors, Home Office employee, District Office employee. General Agent, Agent under con­tract, or Independent Contractor, ex­cept part-time Branch Managers and Special Agents appointed by the Association. d) Must not have any finan­cial obligation to the Association as the result of previous employment, or has terminated employment less than one year prior to district delegate meeting. e) May not be a person who may directly or indirectly have caused to involve the Association in litigation, without first having his complaint heard by the Board of Directors. f) May not be a person who has discontinued premium payments and has exercised the non forfeiture option of his certificate either in the form of Extended Insurance, Automatic Premium Loan or Re­duced Paid-Up. g) The Board of Directors or its Executive Committee shall deter­mine whether a candidate for delegate or alternate delegate is or is not a member in good standing. In preparation for the General Con­vention which is to convene Mon­day, September 10, 1979 it was deemed necessary by the By-Laws Revision Committee and concurred with by the Board of Directors that certain by-law amendments were necessary to be enacted by the Board of Directors to assure the maximum representation of delegates at the General Conven­tion. The amendments adopted which are now in effect can be found in the Excerpts from the Minutes of the Board of Directors found elsewhere in this issue. We publish herewith the new text of the amended sections of the William Penn Association By-Laws: Chapter II Delegates to the General Convention Section 1 (Pages 8-9) The decision of the Board of Directors or its Executive Commit­tee as to whether or not the can­didate is in good standing shall be final. 9. The vote of a member must be cast in person at the designated location. A member shall be entitled to one vote only even though he may have mom *u',n one certificate. 10. In me event of a tie vote for delegate or alternate delegate, the election shall be decided by lot by the candidates involved, in the presence of the District Secretary. 11. The names of the elected delegates and alternate delegates together with the names of the ex­­officio delegates shall be published in the WILLIAM PENN LIFE issued directly preceding the General Con­vention. Such publication shall be deemed to be sufficient notice to all members and delegates. Any question regarding these elec­tions should be directed to the respective appointed District Secretary. The Board of Directors, by a majority vote of the entire Board, shall divide the membership of the Association into Delegate Districts, taking into consideration the number of adult benefit certificates in force and any other factors that the Board of Directors may consider material. 2. A Branch, having no less than 500 adult benefit certificates in force shall comprise a Delegate District. 3. Branches having less than 500 adult benefit certificates in force, shall be grouped to form an Area Delegate District or the Board may assign such Branch or Branches to a Delegate District for representation purposes. 4. Each Delegate District shall be entitled to delegates based on the number of adult benefit certificates The William Penn Association is constantly seeking out, in the ranks of its membership, young women and men who are willing to be trained in the field of insurance. If interested please contact: Stephen T. Szilagyi, Vice President— Marketing. in force as of the certification date, which shall be December 31 of the year preceding the General Conven­tion. As of the certification date the Board of Directors shall allot the number of delegates to each Delegate District as follows: Each Delegate District shall be en­titled to elect one delegate for each 500 adult benefit certificates in force in the Delegate District. In ad­dition to the elected delegate each Delegate District shall elect an alter­nate for each delegate to act as delegate should one or more of the elected delegates die or resign before or during the regular meeting of the General Convention, or be declared by the Board of Directors not to be a delegate in good stand­ing. 5. The Board of Directors shall cause to be published in the January issue of the Official Publication preceding the date of the regular meeting of the General Convention, the official certification of the number of delegates to which each Delegate District is entitled. In the same issue the Board of Directors shall direct the National Secretary to publish the number of delegates to be elected in the month of May, the name of the District Secretary for each Delegate District and manner of nominating and electing delegates and alternate delegates. Such publication shall be deemed suffi­cient notice to all members. On Page 12, Section 6 D to read as follows: The vote of a member must be cast in person at a designated loca­tion in the Delegate District to which he is assigned. The rgembers in Area Delegate Districts shall cast their vote by mail. A member shall be en­titled to but one vote, regardless of the number of adult benefit cer­tificates issued to him.
