OFFICIAL NOTICE The Board of Directors of the Verhovay Fraternal Insurance Associa­tion held a special meeting on Saturday, February 19, 1955 to decide cer­tain matters pertaining to this year’s convention. The merger negotiations with the Rákóczi Aid Association brought forth a previous decision from the Boards of Directors of each society that each organization would convene its National Convention on the same date, July 11, 1955, to act upon the Merger Agreement which was agreed upon by the Joint Merger Committee and approved unanimously by the Boaids of Directors of each association. The Rákóczi’Aid Association presented to the Insurance Department of the State of Connecticut its ren.iest that the change of dete of its conven­tion from June 6 to July 11 "he approved. The Insurance Department did not approve the request, pointing out that the insurance laws required the Rá­kóczi Aid Association to hold its convention every fourth year and that the Rákóczi Bylaws did rot give the Board of Directors the right to amend +he Bylaws. As a result, the Rákóczi Aid Association’s National Convention shall convene on Monday, June 6, 1955, at Bridgeport, Connecticut. In view of the afc-restated developments, the Verhovay Board of Directors convened at a special session on February 19, 1955. After due deliberation, the Board of Directory of our Association de­cided it could not call the Verhovay Convention together on June 6. How­ever, with three dissenting votes, it approved having the Merger Agreement submitted to the 1951 National Convention Delegates for a referendum vote, and it also instructed the National President and the National Secre-. tary to carry out its wishes without delay. The Board of Directors further decided that the regular quadrennial convention cf the society be held in Pittsburgh, Pennsylvania, beginning September 12, as per our Bylaws. It is our belief and our hope that the delegates who were members of the 1951 National Convention shall approve the merger and that such approval then would leave the matter up to the Rákóczi Convention for final dis­position. Should both organizations approve the merger, all that shall re main to effect officially the merger is the approval and signing of the Mer­ger Agreement by the Insurance Commissioners of Connecticut and Penn­sylvania. In such event we naturally believe that the Verhovay Convention which shall convene on September 12 will dispose of its business within one or two days, and that on the third dav the delegates of the recessed Rá­kóczi National Convention shall be on hand to proceed jointly with the Ver­hovay delegates under the new banner of the William Penn Fraternal As­sociation. The joint convention shall have to approve the new Bylaws, shall elect the National Officers, Directors and National Auditing Committee Members who were nominated at the convention of each society. It shall also be the duty of the joint convention to lay down the fundamental and gui­ding principles and rules for the ensuing four years.
