February 26,1947______________________________Verhovcty Journal ___________________________________________________________________________________________________________________PAGE MINUTES OF THE BOARD OF DIRECTOR'S SPECIAL MEETING MINUTES taken at the Special Meeting of the Board of Directors of the Vei'hovay Fraternal Insurance Association, held on November 9th- and 10th, Saturday and Sunday, at Hotel Fort Ligonier, Ligonier, Pennsylvania. Present are: John Bencze, Supreme Presi­dent, Joseph Szalay and Albert B. Ari, Vice- Presidents, Joseph Turner, Andrew Dobos, John Körösföy, Julius Macker, John P. Kele­men, Aloysius C. Falussy, Richard Phillips, Charles Smith and Louis Vizi, directors, Colo­­man Revesz, John Szalanczy and John Sabo, Supreme Officers. Joseph H. Prince M.D., director, notifies the Board by telegram that, due to being de­tained by his professional duties, he is unable to attend the meeting. 1. ) The special meeting, called in compli­ance with the resolution adopted by the Board of Directors at their last meeting, is opened at 2 o’clock in the afternoon by Supreme President John Bencze who extends a cordial welcome to the assembly. 2. ) The Board adopts the schedule of business as presented. 3. ) Director John P. Kelemen whose pre­sence was made possible by his recent recovery from serious illness, is given an affectionate welcome by the Supreme President. 4. ) The Board of Directors resolve to at­tend in a body the meetings of the American Hungarian Relief, Inc., and the American Hun-* garian Federation, to be held on Monday and Tuesday resp., in order that they may gain direct satisfaction as to the operations con­ducted up to this date by the directorates of both organizations. Request is being made by the Board of Directors that those attending be granted the privilege of the floor at these meet­ings. 5. ) The Board hears the report of the Supreme Officers on the negotiations conduct­ed in the matter of the proposed merger of the Workingmen’s Sick Benefit Association. The temporary agreements made in this mat­ter by the Supreme Officers are approved and adopted by the Board. The Supreme Officers and the Legal Counsel are authorized by the Board to take all further steps necessary for the completion of this matter. 6. ) An affectionate welcome is given by the Board to Mr. Henry Gross, President, and Leopold Hirsch, Secretary-Treasurer of the Workingmen’s Sick Benefit Association, who are present at this session. The Board of Di­rectors express their sincere hopes that the negotiations will be successfully concluded and that, thereafter, the members of the Working­­menis Sick Benefit Society will be able to pur­sue, within the ranks of the Verhovay Frater­nal Insurance Association, their fraternal pro­gram which they had so nobly realized throughout the history of their excellent So­ciety. 7. ) An affectionate welcome and warm ovation is accorded by the Board to director Aloysius C. Falussy upon his safe return from his mission to Hungary. Director Falussy presents the letter of Zol­tán Tildy, President of the Hungarian Repub­lic in which he conveys, in his own as well as the Hungarian Republic’s behalf, his thanks to the Verhovay Fraternal Insurance Association and its members for their generous contributions to the alleviation of the extreme need of the Hungarian people. Deeply moved, the Board receives the let­ter of the President of the Hungarian Repub­lic with grateful appreciation and solemnly resolves to do everything in its power to re­tain Verhovay’s leadership in assisting the peo­ple of Hungary. 8. ) Director Falussy renders a long and de­tailed report on his travels in Hungary and the terrible destitution of the Hungarian people. The narrative, illustrated by several moving pictures taken in Hungary, lasts for several hours, is followed with utmost attention and received with expressions of sincere gratitude and appreciation by the Board of Directors. The Board is pleased to hear that half a million dollars in cash and half a million dol­lars worth of clothing, altogether one million dollars’ worth of assistance had been rendered to the sick, hungry and destitute people of Hungary by the American Hungarian Relief, Inc., since the inception of the relief-move­­ment. Upon hearing the report the Board of Di­rectors, fully convinced by their own represen­tative as to the increased necessity of the con­tinuation of the relief-movement, resolve to pledge their wholehearted and enthusiastic support to the American Hungarian Relief, Inc. — The Board appeals to the branches as well as the members of the Verhovay Fraternal Insurance Association for their cooperation and requests them to do everything in their power to assure the effectiveness of the Relief-move­ment. 9. ) The Board opens the estimates for the publishing of the official Journal of the As­sociation, submitted by the following publish­ing firms: Associated Hungarian Weeklies, Detroit, Micl^; Rapid Printing Company, Detroit, Mich.; Geza Perey Publishing Co., Cleveland, O. After due consideration of the estimates received, the Board resolves against five dis­senting votes to award the printing and pub­lishing of the official Journals of the Associa­tion to the Rapid Printing Company, Detroit, Mich., effective January 1st, 1947, and authori­zes the Home Office to make a contract with said publishing firm for two years with a one year renewal option. 10. ) Considering the appeal in the matter of a sick benefit claim of Elizabeth Nagy, a member of Branch 36, Detroit, Mich., the Board approves the action of the Home Office. However, in view of fhe circumstances describ­ed in the appeal, the Board rules that the sick benefits be issued. 11. ) The request of Joseph Soltész, “Ap­preciated” member of the Association, former Manager of Branch 180, that his membership in the Maiming Benefit Department be put in force, is deemed reasonable by the Board and the Home Office is instructed to grant the petition of fellow-member Soltész. 12. ) Upon request by Branch 395, McKees­port, Pa., the Board grants a gift of $50,- to fellow-member Alexander Meszar who lost an eye in military service. 13. ) The petition for a scholarship loan of Frances Miller, a member of Branch 369, Al­liance, O., cannot be granted by the Board, due to the petitioner not yet having met the requirment of at least two years’ member­ship in good standing. 14. ) The petition for a scholarship loan of Margaret Adam, a member of Branch 248, Logan, W. Va., cannot be granted by the Board because the petitioner does not pursue her studies at a college or a university. 15. ) Branch 14, Cleveland, O., requests that the Association pay rent for the District Office maintained at the Verhovay Home. The Branch serves notice that in the event this request is not granted the transacting of any other business than that of Branch 14 will not be permitted. The Board is deeply shocked by this at­titude which, totally void of the spirit of Ver­hovay fraternalism, is extremely peculiar, too, in that no consideration has been given to the established usage according to which one of the most important functions of every Ver­hovay Home consists in maintaining an office where the Verhovay membership is to be serv­ed in all official matters. While the Board does not find it possible to grant the request, it earnestly calls upon Branch 14 not to insist on retarding the pro­gress of the Verhovay and the development of cooperation among the branches. In conjunction with above resolution the . Board reaffirms the rule adopted on previous occasions, according to which every branch owning a Verhovay Home is obliged to put, free of charge, a suitable room at the disposal of the Association. . 16. ) The Board grants the request of And­rew Barsi, Manager of Branch 305, and in­structs the Home Office to issue $25.- to the petitioner who, due to the serious illness of his wife, could not attend the 60th Anniversary Celebrations, though, as one of the grand-prize winners of the 60th Anniversary Membership Contest, he was entitled to attend the occasion as a guest of honor of the Association. 17. ) The Board gratefully acknowledges the report of the Sport-Committee (Albert B. Ari, Richard Phillips, Charles Smith,) on the Verhovay National Bowling Tournament to be held next year. Upon recommendation by the Sport-Com­mittee, the Board resolves that the Verhovay National Bowling Tournament be held on May 30, 31 and June 1st, 1947, in South Bend, Ind. — The Committee is authorized to set the rules and regulations and complete the ar­rangements for the Tournament. 18. ) The Board hears the statement of the Supreme Officers who, in view of the high costs of living and of the fact that their salaries had not been increased since January 1, 1944, though since then fraternal societies had granted several salary increases to their of­ficers, request that their salaries be raised. Granting the request, the Board orders that the salaries of the Supreme Officers be increased by 10%, (Ten per cent) effective November 1, 1946. Supreme Auditor John Sabo, expressing his sincere appreciation, announces that in view of having assumed his position only a few months ago he will not accept the salary increase. The announcement being considered entirely fair is acknowledged with appreciation by the Board. On November 10th, Sunday evening at 6 o’clock, Supreme President John Bencze, ex­pressing his sincere thanks for the attention of the members of the Board of Directors, closes the meeting. He urges the directors to attend, if at all possible, the meeting of the American Hungarian Relief, Inc., to be held on the fol­lowing day, and that of the American Hun­garian Federation scheduled for Tuesday, in order that they may gain firsthand informa­tion on the discussions to be held by the Boards of Directors of both organizations.
