take effect immediately upon adoption, unless otherwise specified in the resolution proposing said amendment. All proposed amendments to the By-Laws by a branch shall be forwarded to the Chair of the Board of Directors at least three (3) months before the first day of the Convention. The proposed amendments shall be presented to the Board of Directors for their recommendations. The proposed amendments, together with the respective recommendations of the Board of Directors, shall be mailed to the Convention delegates prior to the Convention. Amendments may only be passed by a two-thirds (2/3) vote of the members of the Convention. Between Conventions, the Board of Directors may submit proposed amendments to the By-Laws to the members of the Convention for consideration and approval, either at a Special Convention called in accordance with the provisions of Section 24 herein or by mail in accordance with such standards and procedures as may be promulgated by the Board of Directors pursuant to the provisions of Section 12 herein. ARTICLE XVIII MERGER AND CONSOLIDATION - DISSOLUTION Merger and Consolidation 96. The Convention shall have the ultimate right to approve any proposed merger or consolidation of the Hungarian Reformed Federation of America with any other organization. Dissolution 97. Whenever the voting membership of the Federation shall diminish to one hundred fifty (150) members or less, a special meeting of the Convention shall be called, whereupon a plan of procedure shall be adopted as to the dissolution or reorganization of the Federation. 98. The dissolution and liquidation of the Federation shall be in accordance with and in compliance with the laws and procedures governing and relating to same of the United States of America and of any State(s) having jurisdiction thereof. CERTIFICATION of the Hungarian Reformed Federation of America, hereby certify that the annexed copy of the By-Laws of the said Federation is a true, exact, and complete copy thereof: the By-Laws having been revised and amended and lawfully adopted by the 38th Convention of the Federation held from September 29 to October 2, 2008, in Ligonier, Pennsylvania.
