He prepares the report for institution of necessary disciplinary procedure and its subject matter for discussion. l. He does ál work arising in connection with the Charter of Incorporáion and the licenses of the different Stáes. He has ál reports and necessary exhibits prepared for submission to the insurance departments in the respective Stáes. m. He reports to the respective meetings on the functions of his office. He shál ásó submit a separáe written report annuály to the Board of Directors and quadrennially to the Convention. n. He isthe Editor-in-Chief of the official publicáion. o. He prepares, togáher with the Executive Committee, the annuá budget for review and apprová by the Board of Directors. p. He mántáns compláe individuá records of the members and handles their transfers. He directs and supervises the tabuláing operáion and furnishes the Executive Committee with a monthly statistical report. q. He initiates the appointment, employment, supervision, and/or dismissá of the fiád force members, in consultáion with the Board of Directors and with the concurrence of the Executive Committee r. He sends out the reports of the Náioná Officers to the members of the Board of Directors á least twenty (20) days before the meetings, as wál as the mi nutes áterwards. s. He performs such other duties as may be commonly performed by the President and as may be assigned to him from time to time by the Board of Directors and/or the Char of the Board of Directors which are not inconsistent with this office. Office of theSecráary-Treasurer 44. The Secráary-Treasurer is the chief financial and accounting officer of theFederáion. His duties are as follows: a. Heistheguardian of ál property of theFederáion. He shall recáve ál monies from various sources, deposit and recápt the same in the name of the Federáion. b. He keeps records of all assets, including mortgage loans, purchase and sale of securities and properties, and presents for action of the Executive Committee ál investment máters. He makes purchases and sáes of securities and properties as directed by the Executive Committee with advice from time to time by the Finance-Investment Committee. c. He issues ál checks or disbursements on vouchers drawn and keeps accuráe records of the same and transmits such checks. d. He oversees, supervises, and is responsible for systems and control procedures of dues collections from the branches, with the concurrence of the Executive Committee. e. He prepares and mántáns payroll records, computes and submits payroll taxes and reports to the respective Stáes. f. He prepares, in cooperáion with the Executive Committee, the annuá budgá and submits reports concerning the limitáion of expenses. g. He makes a report of the annuá transactions and the financial condition of the Federáion to the Board of Directors and the Convention. h. He gives instructions pertaining to his office to the fiád force. , i. He is one of the associáe editors of the officiá publicáion. j. He di rects and supervi ses the underwriti ng process and signs membership certificáes. k. He dáermines the validity of clá ms on the basis of submitted documents and examines thár correctness as to the legáity and numeri cá accuracy. If, on práiminary examináion, he denies váidáion, he must give his reason to the Executive Committee. The decision of the Executive Committee is fi nal in ál cl ám sátl ements. l. He prepares all vouchers and is authorized to sign checks. m. He exercises the usuá duties of a corporáe secráariá náure. He is the guardian of the seá and the minutes of the various meetings of the Federáion. n. He mántáns the Trust Fund of Undámed Benefits according to the rules and, regüláions of the i nsurance departments of the respecti ve Stáes. o. He performs such other duties as may be commonly performed by the Secráary or Secráary-Treasurer as may be assigned to him from time to time by the Board of Directors and/or Chár of the Board of Directors which are not inconsistent with thisoffice. 45. In the event of illness or any other incapacity, the Náioná Officers shall substitute for each other, provided such illness or incapacity shál not extend beyond a period of nináy (90) days. Should such illness or incapadty extend beyond a period of nináy (90) days, the Board of Diredors shall take such action as it deems reasonable, necessary and advisable.
