ARTICLE 111 THE BOARD OF Dl RECTORS Defi nition - Qual ifi cations - M ember shi p - Alternate M embers 25. The Board of Directors is that body of the Federation which, with full responsibility to the Convention and to the members of the Federation, administers, effectuates, guides, and controls its affárs in accordance with the By-Laws. Its members shall be active organizersintheirterritories and shall be responsible for the growth and fraterná activities of the Federation in thár areas. 26. The members of the Board of Directors are elected by majority vote of the members of the Convention. The term of office of the members of the Board of Directors shál begin immediáely upon áection á the Convention and is completed upon the áection and swearing in of the new members of the Board of Directors á the next Convention. Thár honoraria are dáermined by the Convention. Báween Conventions, the honorarium may be adjusted by the Board of Directors in accordance with the Náioná Consumers’ Price Index (ál items) of the prior year as published by the United Stáes Department of Labor, but any annuá increase shál not exceed ten percent (10%). Alternáe members of the Board of Directors shál recáve no honoraria, but they may recáve rámbursement for expenses incurred with prior authorization. 27. The quáifications of a member of the Board of Directors of the Hungarian Reformed Federáion of America are as follows: a) Must be ághteen (18) years of age and a member i n good standi ng of the Federái on. b) M ust be a citizen of the United Stáes of America. c) Must have background, knowledge and experience in business and/or another discipline which can be useful in the future planning and deváopment of theHRFA. d) Must have a willingness and ability to commit the time necessary to prepare for and regularly átend board and committee meetings. e) Must have a willingness to put the interest of the HRFA beforepersoná interests. f) Must have a willingness to avoid conflicts of interest. g) Must have áther knowledge of or a willingness to learn the foil owing: 1. a basic knowledge of the insurance industry, the insurance regüláory system and the By- Laws and regül áionsthá govern the operái on of theHRFA 2. an understanding of the infrastruáure of the HRFA including the branches, thár locáions andthárfráerná activities. 28. The Board of Directors shál conást of nine (9) Distriá members and three (3) At-Large members. The District membersshál consiá of the following: two (2) from the Mid Atlantic Diáriá, two (2) from the Central District, two (2) from the Midwest Diáriá, one (1) from the Northern Diáriá, one(1) from the Eaáern Diáriá and one (1) from theWeáern Diáriá. No person may be áeáed to or serve as a Diáriá member of the Board of Direáors who does not reside in the diáriá he is to represent. The geographicá boundaries of the sai d di ári ás are to be recommended by the Board of D i reáors and approved by the Convention. If no boundaries are dáermined by any one Convention, the previouáy dáermined boundaries are to prevail. The membás of the Board of Direáors are ex-officio members of the Student Aid and Loan Fund. Six (6) members of the Board of Direáors shál be áeáed by the Board of Direáors to serve as ex-offido members of the Boád of Direáors of the Báhlen Home. 29. The unsuccesául candidáes recáving the higheá numbá of votes in the áeáion for each Diáriá member of the Boád of Direáors shál serve as átánáe members of the Board of Direáors for thár respeáive Diáriá, in ordá of the numbá of votes recáved. The two unsuccesául candidáes recáving the higheá numbá of votes in the áeáion for At-Láge membás of the Boád of Di reáors shal I save as altánáe At- Láge membás of the Board of Direáors, in ordá of the numbá of votes recáved. Altánáe membásáeáed shál fill vacancies of the áeáed Board of Direáors in the ordá of the higheá numbá of votes recáved. Altánáe membás of the Boád of Direáors may becáled in to átend a meeting of the Boád of Direáors by the President, in consultáion with the Chár of the Boád of Direáors, in the event thá a regulá membá of the Boád of Di reáors cannot átend such meeti ng. If no átanáe membá is aválable, the Boád of Direáors may, but shál not becompáled to, fill such vacancy. Honorary Membás 30. The Convention may áeá honorary membás to the Boád of Direáors. They shall have no voting rights. They shál be entitled to átend the meetings of the Board of Direáors upon invitáion from the Executive Committee, and shall have such othá privileges as may be confáred upon them from time to ti me by the Boád of Di reáors. M eeti ngs of the Board of Di reáors 31. The Boád of Direáors shál have an Organizáioná Meeting immediááy following thár áeáion á the Convention and shál havea minimum of two (2) regulá meeti ngs yeály, one in the fi rá háf of the year á the Home Office, and the othá in the second háf of the yeá á the Báhlen Home in Ligoniá, Pennsylvania, and any othá locáions to be dáámined by the Boád of Direáors, when found necessary. It is the duty of every regulá membá of the Boád of Direáors to be present á the meáings. Advisors shall átend the meáings of the Boád of Direáors upon the invitáion of the Executive Committee. Special Meáings 32. When the Executive Committee deems it necessary or upon the request of at least háf of the membás of the Board of Direáors, the President shál cál a speciá meáing. The cál shall be issued upon á least three (3) days’ notice if given orály and á least ten (10) days' notice if given in writing. Ordá of Procedure-Mi nutes-Expenses of the Board of Direáors 33. The ordá of procedure á the regular meáings of the Boád of D i reáors i s as f ol I ows: a) Opening of the meáing with devotions and the Hedge of Allegiance to the Flag of the United Stáes of A mái ca. b) RolI cál and establishment of Quorum. c) Dáámináion of álowancefor meáing expenses for membás of the Board of Direáors. d) Revi ew of the reports of the N ái oná Offi Cás. e) Review of the reports of the Advisors. f) Appointment and meáings of the Standing Committees. g) Presentáion and review of the reports of the Standing Committees. h) Old business. i) New/ business. j) Closing of the meáing with a benediáion.
