g. With the concurrence of the Executive Committee and the approval of the Board of Directors, he forms local and district areas for the purpose of effective organization. h. He provides direction for cultural, fraternal, and social activities prescribed by the Charter and By-Laws. i. He prepares and calls the Convention; he attends to all matters pertaining to the election of delegates. j. He prepares and calls the meetings of the Executive Committee. k. He prepares the report for institution of necessary disciplinary procedure and its subject matter for discussion. l. He does all work arising in connection with the Charter of Incorporation and the licenses of the different States. He has all reports and necessary exhibits prepared for submission to the insurance departments in the respective States. m. He reports to the respective meetings on the functions of his office. He shall also submit a separate written report annually to the Board of Directors and quadrennially to the Convention. n. He is the Editor in Chief of the official publication. o. He prepares, together with the Executive Committee, the annual budget for review and approval by the Board of Directors. p. He maintains complete individual records of the members and handles their transfers. He directs and supervises the tabulating operation and furnishes the Executive Committee with a monthly statistical report. q. He initiates the appointment, employment, supervision, and/or dismissal of the field force members, in consultation with the Board of Directors and with the concurrence of the Executive Committee. r. He sends out the reports of the National Officers to the members of the Board of Directors at least twenty (20) days before the meetings, as well as the minutes afterwards. s. He performs such other duties as may be commonly performed by the President and as may be assigned to him from time to time by the Board of Directors and/or the Chairman of the Board of Directors which are not inconsistent with this office. Office of the Secretary-Treasurer — Chief Financial Officer (CFO) 44. The Secretary-Treasurer — Chief Financial Officer (CFO) is the chief financial and accounting officer of the Federation. His duties are as follows: a. He is the guardian of all property of the Federation. He shall receive all monies from various sources, deposit and receipt the same in the name of the Federation. b. He keeps records of all assets, including mortgage loans, purchase and sale of securities and properties, and presents for action of the Executive Committee all investment matters. He makes purchases and sales of securities and properties as directed by the Executive Committee with advice from time to time by the Finance Committee. c. He issues all checks or disbursements on vouchers drawn and keeps accurate records of the same and transmits such checks. d. He oversees, supervises, and is responsible for systems and control procedures of dues collections from the branches, with the concurrence of the Executive Committee. e. He prepares and maintains payroll records, computes and submits payroll taxes and reports to the respective States. f. He prepares, in cooperation with the Executive Committee, the annual budget and submits reports concerning the limitation of expenses. g. He makes a report of the annual transactions and the financial condition of the Federation to the Board of Directors and the Convention. h. He gives instructions pertaining to his office to the field force. i. He is one of the associate editors of the official publication. j. He directs and supervises the underwriting process and signs membership certificates. k. He determines the validity of claims on the basis of submitted documents and examines their correctness as to the legality and numerical accuracy. If, on preliminary examination, he denies validation, he must give his reason to the Executive Committee. The decision of the Executive Committee is final in all claim settlements. l. He prepares all vouchers and is authorized to sign checks. m. He exercises the usual duties of a corporate secretarial nature. He is the guardian of the seal and the minutes of the various meetings of the Federation. n. He maintains the Trust Fund of Unclaimed Benefits according to the rules and regulations of the insurance departments of the respective States. o. He performs such other duties as may be commonly performed by the Secretary or Treasurer as may be assigned to him from time to time by the Board of Directors and/or Chairman of the Board of Directors which are not inconsistent with this office. 45. In the event of illness or any other incapacity, the National Officers shall substitute for each other, provided such illness or incapacity shall not extend beyond a period of ninety (90) days. Should such illness or incapacity extend beyond a period of ninety (90) days, the Board of Directors shall take such action as it deems reasonable, necessary and advisable. ARTICLE V INDEMNIFICATION OF DIRECTORS AND OFFICERS 46. Each director and officer of the Hungarian Reformed Federation of America now or hereafter serving as such, shall be indemnified by the Federation against any and all claims and liabilities to which said person has or shall become subject by reason of serving or having served as such director or officer, or by reason of any action alleged to have been taken, omitted, or neglected by him as such director or officer; and the Federation shall reimburse, to the extent permitted by law, each such person for all legal expenses reasonably incurred by him in connection with any such claim or liability, provided, however, that no such person shall be indemnified against, or be reimbursed for any expenses incurred in connection with any claim or liability arising out of his own willful misconduct or gross negligence. Such indemnification shall also extend to instances where, at the request of the Federation, the individual serves as a director or officer of another enterprise. The foregoing right of indemnification shall not be deemed exclusive of any other right to which such director or officer may be entitled. The amount paid to any director or officer hy way of indemnification shall not exceed his actual, reasonable, and necessary expenses incurred in connection with the matter involved. ARTICLE VI PERSONNEL Home Office 47. The employees of the Home Office shall be insurance members of the Federation. Their salaries shall be determined by the Executive Committee with guidelines determined by the Board of Directors. The President-CEO shall hire or discharge employees upon the recommendation of the Executive Committee and with the approval of the Administrative Committee. Following a probationary period of three (3) months, all full and part- time employees must take the oath administered by the President-CEO orally or signed by the employee in the presence of witnesses. Field Force 48. The field force may consist of one or more of the following: director of sales, field representatives working under contract, and any other personnel appointed or hired by the Board of Directors.
