Presidents and members of the Board of Directors are elected by plurality vote. The Vice Presidents are to be elected at large. The candidate(s) receiving the next highest total of votes for any seat on the Board of Directors shall serve as the altemate(s) for that seat on the Board of Directors, in order of highest number of votes received, to fill any vacancy caused by death, disability, or resignation. The National Officere, Vice Presidents, and members of the Board shall take the oath of office prior to assuming office. Special Convention 23. The President of the Federation, at the request of the branches forming the majority of the membership of the Federation or sixty-five percent (65%) of the members of the Board of Directors, shall issue the call for a Special Convention. The call shall be issued in writing and precede the opening of said Convention by at least thirty (30) days. Such Convention shall be composed of the members of the previous Convention. ARTICLE III - THE BOARD OF DIRECTORS Definition - Membership - Duties - Jurisdiction 24. The Board of Directors is that body of the Federation which, with full responsibility to the Convention and to the members of the Federation, administers, effectuates, guides, and controls its affairs in accordance with the By-Laws. Its members shall be active organizers in their territories and shall be responsible for the growth and fraternal activities of the Federation in their areas. 25. The members of the Board of Directors shall be members of the Federation and shall be United States' citizens. The Board consists of regular and honorary members. In order to assure representation for all members of the Federation, no person may be elected to or serve on the Board of Directors who does not reside in the district he is to represent. The geographical boundaries of the said districts are to be recommended by the Board of Directors and approved by the Convention. If no boundaries are determined by any one Convention, the previously determined boundaries are to prevail. The members of the Board of Directors are ex-officio members of the Board of Directors of the Bethlen Home and the Board of Directors of the Student Aid and Loan Fund. Regular Members a) The National Officers are: President, Secretary, and Treasurer. b) The three Vice Presidents. c) Members of the Board of Directors. Honorary Members 26. The Convention may elect honorary members to the Board of Directors. They shall have no voting rights. Meetings of the Board of Directors 27. The Board of Directors shall have two (2) regular meetings yearly, in the first half of the year in the Home Office, and in the second half of the year at the Bethlen Home in Ligonier, Pennsylvania. 28. It is the duty of every regular member of the Board of Directors to be present at the meetings. Advisors shall attend the meetings of the Board of Directors upon the invitation of the President, with the concurrence of the Executive Committee. Special Meeting 29. When the Executive Committee deems it necessary or upon the request of at least half of the members of the Board of Directors, the President shall call a special meeting. The call shall be issued, in writing, at least two (2) weeks before the date of the meeting. Order of Procedure - Minutes - Expenses of the Board of Directors 30. The order of procedure at the regular meetings of the Board of Directors is as follows: a) Opening of the meeting with devotions and the Pledge of Allegiance to the Flag of the United States of America. b) Reports of the National Officers. c) Reports of the Advisors to the Board. d) Appointment of Standing Committees. e) Examinations by and reports of the Standing Committees. 0 Old business. g) New business. h) Closing of meeting with a benediction. 31. The Board of Directors shall select its own recording secretary from among the National Officers. The minutes shall be communicated to the members of the Board of Directors by the Secretary. 32. The expenses of the meetings of the Board of Directors and the expense allowance of the members present shall be determined by the Executive Committee. Vacancies of National Officers and the Board of Directors 33. The three Vice Presidents and the Board of Directors are elected and their honoraria are determined by the Convention. The honorarium may be adjusted according to the National Consumers' Price Index (all items) of the previous year as published by the Department of Labor, but this may not exceed ten percent (10%) yearly. 34. Upon the death or the resignation of any of the National Officers, the vacancy shall be filled by the Board of Directors in the following manner The President or acting president shall make an announcement in the official publication for applicants at least one month prior to the election. The applicants shall submit their qualifications for the particular office, together with proof of their educational background, to the Board of Directors. The board shall fill the vacancy by majority vote. In the event of illness or any other incapacity, the National Officers shall substitute for each other, provided such illness or incapacity shall not extend beyond a period of ninety (90) days. Should such illness or incapacity extend beyond a period of ninety (90) days, the Board of Directors shall take necessary action. 35. Alternate members: Alternates shall receive no remuneration, except for services rendered. Alternate members elected shall fill vacancies of the elected Board of Directors in the order of the highest number of votes received. An alternate shall be called in to attend a board meeting if a regular board member cannot attend. Standing Committees of the Board of Directors 36. The standing committees of the Board of Directors are as follows: a) Executive and Organization Committee - examines the office of the President. b) Administrative Committee - examines the office of the Secretary. c) Finance and Auditing Committee - examines the office of the Treasurer. 37. Each standing committee is composed of one Vice President and three (3) members of the board. 38. The examinations by the committees shall be made at the first regular meeting of the Board of Directors and the results reported to that meeting. Whenever it may be found necessary, the board may conduct examinations at any time. 39. The Executive and Organization Committee also acts in disciplinary cases. 3
