The Medical Director 48. The Medical Director shall be appointed by and serve at the pleasure of the Board of Directors. He shall inspect the medical exam­iners reports presented for membership. He shall suggest to the medical examiners rules and types of examinations of applicants. He gives his opinion on medical questions when reques­ted. He shall have the right to partake in all discussions. He shall present a written report of his yearly activities to the first regular annual meeting of the Board of Directors and the Con­vention of his activities during the past term. His honorarium is determined by the Board of Directors. The Financial Counsellor 49. The Financial Counsellor shall be a certified public accountant. He shall be ap­pointed by and serve at the pleasure of the Board of Directors. Upon request he shall render opinions in financial matters. He shall prepare the annual statements to the States and Pro­vinces. He shall submit an annual written report to the Board of Directors and one to the Con­vention. He shall have the right to partake in all discussions. His honorarium shall be deter­mined by the Board of Directors. Legal Counsellor 50. The Legal Counsellor shall be a duly licensed attomey-at-law. He shall be appointed by and serve at the pleasure of the Board of Directors. He shall give his opinion on all legal matters. He shall have the right to partake in all discussions. He shall submit an annual writ­ten report to the Board of Drectors and the Con­vention. His honorarium shall be determined by the Board of Directors. ARTICLE V PERSONNEL Home Office 51. The employees of the Home Office do their work according to the instruction and control of the respective National Officers, and under the general supervision of the President. They shall be members of the Federation with membership in the Home Office branch. Their salaries shall be determined by the Board of Directors. The President shall hire or discharge employees upon the recommendation of the re­spective Officers and with the approval of the Executive Committee. Field Force 52. The field force may consist of the fol­lowing: director of sales, field, area, district or section managers, working under contract. a) The director of sales, field and area man­agers cannot be branch managers. b) The President shall recommend to the Executive Committee and Board of Direc­tors the field force members to be invited to the Convention—based upon produc­tion, and administrative services during the four year period prior to the Conven­tion. They have the right to participate in discussions and matters pertaining to pro­motional and organizational work when called upon by the chairman. 53. Compensation of the field force shall be determined by the Board of Directors. ARTICLE VI THE BRANCHES Organization — Administration — Meetings 54. At such places where the President de­sires to form new branches, they may be orga­nized with not less than 25 new members, with the approval of the Executive Committee. Branches with less than 25 members may be merged into the nearest larger branch or their membership transferred to the Home Office branch. Canadian members cannot be transfer­red to branches in the United States. 55. Each branch shall have self-governing powers in its own affairs and may adopt rules and regulations, provided they do not conflict with these by-laws. The affairs of the branch are controlled by its elected officials and the branch manager. 56. The business of the branches shall be transacted at their meetings. Each branch shall hold meetings regularly at a place and time set by the branch. One of the meetings shall be the regular annual meeting. All members of the adult insurance department of the Federation may be present at the meeting of the branch. A member in arrears in dues for 30 days shall not be entitled to vote.
