1 shall be certified to the Committee on Nomina­tions, who shall present the nominees to the Convention. 42. The National Officers constitute the Exe­cutive Committee. They shall have the adminis­trative power during the interim between the Board of Directors meetings and shall pass on all investments of the Federation. In this com­mittee, the President of the Federation shall have voting power. In the event of a tie vote or upon the Committee’s own motion, a subject matter may be referred to the Board of Direc­tors. 43. The National Officers shall be under bond in the amount determined by the Board of Directors and paid for by the Federation. OFFICE OF THE PRESIDENT 44. The President is the chief executive of­ficer and official representative of the Federa­tion. He shall preside over all the conventions, the meetings of the Board of Directors and the Executive Committee. His other official duties are as follows: a) As the Supervisor of the Home Office and organizational departments and employees, he is responsible for the execution of both internal and external activities of the Fed­eration and the rules of administration determined by the Board of Directors. b) He distributes all correspondence and communications to the respective National Officers. c) He handles all matters which by their nature are to be attended by the Home Office, but which are not specifically listed under the jurisdiction or duties of the re­spective offices. He arranges all substitu­tions for the National Officers in the man­ner prescribed in paragraph 33 of these by-laws. d) He controls issuance of membership cer­tificates and documents involving property rights, and validates them with his signa­ture. e) He countersigns disbursements. t) He conducts and directs the nation-wide organizational and promotional work. In concurrance with the Executive Committee and with the approval of the Board of Directors, he forms local and district areas for the purpose of organization. He ap­points, employs, controls and dismisses members of the field force after consulta­tion with the member or members of the Board of Directors of the respective dis­trict and in concurrance with the Execu­tive Committee. g) He provides direction for the cultural, fraternal and social activities prescribed by the charter and by-laws. h) He prepares and calls the Convention; he attends to all matters pertaining to the election of the delegates. i) He prepares and calls the meetings of the Executive Committee and the Board of Directors. j) He prepares the report for institution of necessary disciplinary procedure and its subject matter for discussion. k) He does all work arising in connection with the charter of incorporation and the licenses of the different states and Canada. He has reports and actuarial statements prepared for submission to the insurance departments in the United States and Canada. l) He reports to the respective meetings on the functions of his office. m) He is one of the guardians of the safety deposit boxes containing the securities. n) He is ex-officio President of the Board of Directors and the Board of Managers of the Bethlen Home and the Board of Di­rectors of the Student Aid and Loan Fund. o) He is the Editor-in-Chief of the official publication. OFFICE OF THE VICE PRESIDENT- SECRETARY 45. The Vice President-Secretary is the chief administrative officer of the Federation. His duties are as follows: a) He directs and supervises the underwriting process and signs membership certificates. b) He exercises the usual duties of corporate secretarial nature.
