Minutes — Expenses of the Board of Directors Order of Procedure 28. The order of procedure at the regular meet­ings of the Board of Directors is: a) Opening of the meeting with devotional services. b) Reports of the National Officers. c) Reports of the Advisory Members. d) Examinations by and reports of the Standing Committees. e) Pending matters and motions. f) Closing of the meeting with devotional services. 29. The Board of Directors shall select its own recording secretary from among the National Offi­cers. The Minutes shall be communicated to them by the Secretary of the Federation and to the members of the Federation in a manner prescribed by the Board of Directors. 30. The expenses of the meetings of the Board of Directors and the expense allowance of the Mem­bers present shall be determined by the Board of Directors and paid from the treasury of the Federa­tion. Election — Installation — Vacancies in the Board of Directors 31. The regular Members of the Board of Direc­tors are elected and their honorarium determined by the Convention. The National Officers are elected by majority vote. The three Vice Presidents and the regular members and alternates of the Board by plurality. The Officers and the regular members of the Board shall take the oath of office at the Con­vention immediately after election. 32. Upon the death or the resignation of any of the National Officers, the vacancy shall be filled by the Board of Directors in the following manner: The President shall make an announcement for applicants at least two months prior to the election. The ap­plicants shall submit their qualifications for the particular office together with proof of their educa­tional background to the Board of Directors. In the event of illness or any other incapacity, the National Officers shall substitute for each other, provided such illness or incapacity shall not extend beyond a period of ninety (90) days. Should such illness or incapacity extend beyond a period of ninety (90) days, then the Board of Directors shall take necessary action. 33. Alternate members'. The Convention shall elect an alternate for each member of the Standing Committees of the Board of Directors, who shall fill any vacancy created by death or resignation. Alter­nates shall receive no remuneration, except for ser­vices rendered. Standing Committees of the Board of Directors 34. The Standing Committees of the Board of Directors which are composed of one Vice President and three Members of the Board, are: a) Executive and Fraternal Committee. b) Administrative and Organization Com­mittee. c) Finance and Auditing Committee. 35. The duty of the Executive and Fraternal Committee is to examine the President’s office and affairs of the Bethlen Home. The duty of the Administrative and Organiza­tion Committee is to examine the office of the Sec­retary and the production of the field. The duty of the Finance and Auditing Commit­tee is to examine the office of the Treasurer and the Controller, the management of all finances and in­vestments of the Federation. 36. These examinations shall be made once a year at the spring meeting of the Board of Directors and the results reported to that meeting and to the Convention. Whenever it may be found necessary, they may conduct such examinations at any time with the consent of the President. 37. The Executive and Fraternal Committee also acts in disciplinary cases. Vice Presidents of the Federation Duties and Powers 38. Any of the Vice-Presidents may perform the duties of the President in his absence from meetings, or at his request. ARTICLE IV THE NATIONAL OFFICERS Qualifications — Election — Powers — Duties 39. All the affairs of the administration of the Federation are directed by the National Officers under the Supervision of the President. The National Officers are: President, Secretary, Treasurer and Controller, who are the heads of their respective of­fices. They function according to the directives of the Board of Directors and according to the provi­sions set forth in these by-laws. The terms of their office is from March 15th of the year following their election to the 31st of March, four years hence.
