543. szám. 121 legalább 6 tagból áll. Kifejezetten megállapíttatik, hogy az elnök csak oly esetekben szavazhat, amidőn szavazategyenlőség következtében nem volna döntés. A Brit Magyar végrehajtó bizottsága elnökből és öt tagból áll, amely utóbbiak közül kettő a m. kir. pénzügyminiszter jelölése alapján az általa az igazgatóságba jelölt tagok közül választandó. Az elnököt, akinek nincs döntő szavazata és a többi tagokat az igazgatóság többi, tagjai közül kell választani. 23. A Brit-Magyar alapszabályait, valamint azoknak minden módosítását a m. kir. kereskedelemügyi miniszterrel egyetértően történő jóváhagyás végett a m. kir. pénzügyminiszterhez kell felterjeszteni, amely jóváhagyás okszerűtlenül nem fog megtagadtatni. Ha a m. kir. pénzügyminiszter a szóbanforgó cikkelyek eléje való terjesztésétől számított 30 napon belül nem kíván módosítást, azok jóváhagyottaknak tekintendők. 24. A jelen szerződés 2., 3., 4., 5., 22., 23. és 31. pontjaiban foglalt határozmányokat a Brit-Magyar alapszabályaiba fel kell venni. 25. A Brit-Magyar köteles lesz megtenni a szükséges lépéseket arra, hogy azoknak a bányatelkeknek adományozását, amelyeken gázt és ásványolajat fog kitermelni, az állam részére saját költségén kieszközölje, és mindazok az illetékek, amelyeket a bányatörvény értelmében fizetni kell, a Brit-Magyart terhelik. A jelen szerződés alapján átruházott Minister of Fináncé shall be elected by the General Meeting of fhe British Hungárián. The Board of Directors shall consist exclasive of the Chairman of not more thah 15 and not less than 6 members. Ifc is expressly understood that the öhairman can only vote on occasions where an impasse is created through an equal number of votes. The Executive Committee of the British Hungárián shall consist of a Cbairman and Five members Two of whom are to be elected in accordance with the nomination of the Royal Hungárián Minister of Fináncé from those members of the Board nominated by him The Chairman who will have no casting vote and the remaining members shall be chosen from among the other members of the Board, 23. The Articles of Association of the British Hungárián as well as any modification thereof must be presented to the Royal Hungárián Minister of Fináncé for his ratification in concurrence with the Royal Hungárián Minister of Commerce such ratifica*tion not to be unreasonably withheld. In case the Royal Hungárián Minister of Fináncé shall not have requested aiterations within Thirty days after the said Articles have been presented to him he shall be deemed to have ratified the same. 24. The stipulations contained in Clauses 2, 3, 4, 5, 22, 23 and 31 of this Contract shall be inserted in the Articles of Association of the British Hungárián. 25. The British Hungárián shall take the necessary steps to secure at its own expense the grant to the State of the mining fields on which oil or gas is to be exploited by it and all fees to be paid according to the Mining Law are payable by the British Hungárián.
