Excerpts from the Minutes of the Board of Directors meeting held January 22-23-24,1990 in Pittsburgh, Pennsylvania Page 8, William Penn Life, June 1990 MONDAY, JANUARY 22,1990___________ • Chairman of the Board Joseph P. Arvay opened the meeting at 9:00 a.m. He welcomed the National Officers, Board of Directors and Advisory Board members to the meeting. • Vice Chairman of the Board Stephen J. Ivancso, Sr. led the members in the Pledge of Allegiance to the Rag of the United States of America. • Vice President Zoltán B. Emri offered the invocation. • Secretary of the Board Emeritus Frank J. Radvany called the roll and the following are present: National President Stephen G. Danko, National Secretary E. E. Vargo, National Vice President Zoltán B. Emri and National Treasurer Frances A. Furedy. Directors: Chairman Joseph P. Arvay, Ronald S. Balia, Wiliam J. Bero, Elmer A. Furedy, Michael J. Hrabar, Vice Chairman Stephen J. Ivancso Sr., John S. Molnár, Vice Chairman Roger G. Nagy, Stephen J. Szatmári, Michael F. Tomcsak, Elmer W. Toth and Frank J. Wukovits Jr. Advisory Board members: Frank Bero, Stephen Danko and Frank J. Wukovits Sr. Frank J. Radvany, Secretary of the Board Emeritus. John M. Kish, Esq., General Counsel. Absent: President Emeritus Elmer Charles and Michael Hegedűs, Advisory Board members. There being a quorum present, Chairman Arvay officially called the meeting to order. • The Board commenced discussion of the agenda. • The Board adopted a motion to eliminate the report of John Robertson & Associates from the agenda. • The Board adopted the agenda as amended with the proviso that any matter properly belonging to the meeting may be added. • The Board agreed to waive the reading of the minutes of the Board meeting held Nov. 15, 1989, and accepted same. • Chairman Arvay commenced to review the minutes of the Executive Committee meetings held on Dec. 11 and 12, 1989. • The Board adopted the following resolution pertaining to assets: RESOLVED, that the National Secretary be instructed to prepare and distribute a questionnaire requesting information regarding all deeds and/or holding company documents to be submitted immediately to the National Secretary for filing; AND BE IT FURTHER RESOLVED that a list of all employees or members who are compensated by the branch or any of its subsidiaries be furnished to the National Secretary; AND BE IT FURTHER RESOLVED that the 1989 salaries, compensation of any kind, and bonuses paid to each employee or individual within the branch who received compensation of any kind be furnished to the National Secretary; AND BE IT FURTHER RESOLVED that any and all investments and bank accounts of the branch or subsidiaries (such as clubs within the branch, etc.), the names that they are listed under, also location of depositories addresses and contingency beneficiary, if any, be furnished. The omission of any of these items will indicate that the branch does not have any of these assets. Upon receipt of the questionnaire the branches will have thirty (30) days to respond. • The Board acknowledged the minutes of the Executive Committee meetings held on Dec. 11 and 12, 1989 as corrected. • The Board adopted a motion that the William Penn Association discontinue negotiations for the acquisition of the Youngwood Club. • President Danko reported that he has received a resolution from Branch 500 Detroit requesting to be merged into Branch 18 Detroit. Branch 18 has also passed a resolution approving the merger and accepting Branch 500. The Board adopted a motion that Branch 500 be merged into Branch 18. • The Board adopted a motion authorizing the William Penn Association to advance the annual allotment of $60,000.00 for 1990 to the William Penn Home. • The Board acknowledged the report of management presented by President Danko with sincere thanks and appreciation. • Chairman Arvay recessed the meeting until 9:00 a.m. Tuesday. TUESDAY, JANUARY 23,1990 • Chairman Arvay reconvened the meeting at 9:15 a.m. and same are present. • Secretary of the Board Emeritus Radvany read the minutes of Monday’s meeting. The Board accepted same as read. • National Secretary Vargo commenced to review his report. • The Board adopted a motion ratifying the action of the Executive Committee in selecting Pittsburgh, PA as the site for the bowling tournament in 1990. • The Board acknowledged the report of the National Secretary with sincere thanks and appreciation. • National Vice President Emri commenced to review his report. • The Board adopted a motion to refer the request for a new computer and printer for the Sales Department to the committee for review and final disposition limited to $5,000.00 • The Board acknowledged the report of the National Vice President with sincere thanks and appreciation. • National Treasurer Furedy commenced to review her report. The Board acknowledged the report of the National Treasurer with sincere thanks and appreciation. • General Counsel John M. Kish, Esq., submitted his report to the Board. The Board acknowledged the report of the General Counsel with sincere thanks and appreciation. • The Board acknowledged the written report of Paul T. Kovács, Administrator of the William Penn Home. • The Board adopted the following resolution pertaining to Sárospatak: RESOLVED, that the Board of Directors of the William Penn Association initiate a fund raising drive to help reestablish and reopen Sárospatak Reformed Academy and Theological Seminary in Hungary. At one time Sárospatak provided many of the pastors for parishes in America. It was called Hungary’s Cambridge. In 1951 the state took over the school and made it a secondary school for Hungarian teenagers. Officials removed religious portraits and replaced them with Lenin and Marx. Not surprisingly, theology and English became casualties. BE IT FURTHER RESOLVED that we, the William Penn Association, support this noble endeavor by matching funds raised by the Association. AND BE IT FURTHER RESOLVED that E. E. Vargo and Elmer Toth be named honorary chairmen of this drive. • The Board adopted a motion authorizing a minimum matching fund of $5,000.00 by the William Penn Association to the Sárospatak Fund. • Chairman Arvay recessed the meeting until 9:00 a.m. Wednesday. WEDNESDAY, JANUARY 24,1990_________ • Chairman Arvay reconvened the meeting at 9:00 a.m. and same are present. • Secretary of the Board Emeritus Radvany read the minutes of Tuesday’s meeting.
