to the membership by publishing the same in the official journal, 60 days prior to convening of this Conven­tion, that WHEREAS, the Agreement has been presented and read to the delegates and WHEREAS, the General Counsel has advised the assembled delegates that if the Consolidation Agreement is approved by the William Penn Special Convention and also ap­proved by the delegates of the Hungarian Reformed Federation, also assembled in Special Conven­tion this day, and after signing, fil­ing, and approval by the Commis­sioner of Insurance of the Com­monwealth of Pennsylvania and the Superintendent of Insurance of the District of Columbia with certificates required by law, the Agreement will be in full force and effect under ap­plicable laws of the Commonwealth of Pennsylvania, further that the Charters of the respective societies will be cancelled and a new Charter issued by the Insurance Commis­sioner of the State of Pennsylvania and that the By-Laws of each respec­tive society will no longer be in ef­fect and new By-Laws are to be ap­proved by each respective Conven­tion and subsequently, approved and adopted at a Joint Convention, com­posed of the delegates of each soci­ety and WHEREAS, the Convention Delegates have deliberated the terms and conditions of the Agree­ment and are of the opinion that the Agreement is in the best interests of the members of the William Penn Association and the Convention is desirous of taking the requisite ac­tion to approve the Agreement. NOW THEREFORE BE IT RE­SOLVED, that the Consolidation Agreement between the William Penn Association and the Hungarian Reformed Federation of America as presented and read is incorporated herein, by reference, and the same is approved and adopted this 27th day of November, 1982. It was moved and seconded by Director Albert J. Stelkovics. A roll call vote was requested. It was moved, seconded and adopted to have a roll call vote. Secretary of the Convention, Frank J. Radvany called the roll call vote. There were 1 1 0 yes votes and 0 no votes. Therefore, the Con­solidation Agreement was unanimously adopted. 1 7) It was moved, seconded and authorized that Vice President, Louis L. Varga and Vice President, John P. Balia deliver a message to the Hungarian Reformed Federation Convention that William Penn Association unanimously approved the Consolidation Agreement. 18) Vice President, Louis L. Varga returned after delivering the message and he stated they acknowledged the report with thanks. 19) General Counsel, Gay B. Banes read the Articles of Consolida­tion for the consolidated society. Chairman of the Resolution Commit­tee, Stephen G. Danko read the following resolution pertaining to this subject. RESOLUTION No. 3 Approval of Articles of Consolidation RESOLVED by the Convention that the proposed new Charter for the Consolidated Society, titled Ar­ticles of Consolidation, as presented and read, is incorporated herein by reference, be and the same is hereby approved and adopted this 27th day of November, 1982. It was moved, seconded and the Convention unanimously adopted this Resolution. 20) The delegates proceeded to review the proposed By-Laws page by page. 21) It was moved, seconded and adopted by the convention that an Auditing Committee be included in the proposed By-Laws. This matter will be referred to the Arbitration Committee. 22) It was moved, seconded and adopted to reword Paragraph 609 — Branch Managers. This matter will be referred to the Arbitration Com­mittee. 23) It was moved, seconded and authorized that Article VIII, Paragraph 3-A, Insurance Fund be referred to the Arbitration Commit­tee and Actuary, Robert E. Bruce. 24) It was moved, seconded and the convention adopted the follow­ing Resolution pertaining to the pro­posed By-Laws. RESOLUTION No. 4 Adoption of By-Laws RESOLVED by the Convention that the proposed new By-Laws for the Consolidated Society as presented, reviewed and amended, as suggested to the retention of the Auditing Committee (Paragraph 609), and Article VIII, Paragraph 3-A, Insurance Fund. Properties of the Association for clarification is hereby approved and adopted this 27th day of November, 1 982. 25) President Charles introduced Mr. Coloman Bertalan, the oldest member of this convention, who just arrived. Mr. Bertalan extended best wishes for a successful convention. 26) It was moved, seconded and the convention accepted the follow­ing Resolution. RESOLUTION No. 5 RESOLVED that in accordance with the Consolidation Agreement provisions, the terms of office of the following shall be extended until their successors are elected and qualified at the 1986 General Con­vention: Mr. Elmer Charles, Chairman of the Board Mr. John P. Balia, National Vice- President Mr. Louis L. Varga, National Vice- President Directors: Frank Bero, Stephen Danko, Zoltán Emri, Michael Hegedűs, Albert G. Kertesz, William C. Kohut, Stephen Lang, Steve Lesco, Frank J. Radvany, John Sabo, Joseph Toma and Frank J. Wukovits, Sr. The terms of Directors, John T. Lesko and Paul Molocko shall expire September 30, 1983 and the term of Director Albert J. Stelkovics shall expire December 31, 1983. Alternate Directors: Messrs. Elmer Toth, Roger C. Nagy, Frank J. Wukovits, Jr., Joseph Arvay, Stephen C. Danko, Mrs. Mary Ivancso, Mrs. Barbara Botkin, Michael Tomcsak, William J. Kovach, Walter Stelkovis, Stephen Petruska and Walter Bero. Auditing Committee Members: Mrs. Emma Beganyi, Messrs. Charles Fabian, Louis Fodor, Michael Hrabar, Michael Kara and Mrs. Violet Lenart. Alternate Auditing Committee Members Messrs. James Katona and Julius Yuhasz. All delegates elected to the 1 979 William Penn Association General Convention and their Alternates. 27) Chairman Charles recessed the convention at 4:00 P.M. until 1 0:00 A.M., Sunday, November 28, 1982. 28) The Special Convention was reconvened at 1 0:1 5 A.M. by Chair-27
