(3) He shall direct the policy of the society as prescribed by the Board and consult with the Officers in operations and management. (4) He shall appoint members of all committees not otherwise ordered by the By-Laws. (5) He may delegate powers to the President. (6) Be an ex-officio member of the Bethlen Home Board of Managers and Board of Directors and Board of Directors of the Scholarship Foundation. (7) His remuneration will be fixed by the Board. The Office of the Chairman of the Board will only remain in effect until December 31, 1986. 11. It is further agreed that Imre Bertalan, National President, shall be charged with the responsibility of serving as the National spokesman and Chief Liaison Officer of the Society working in co-operation with the Chairman of the Board of Directors to promote the welfare of the Society among its members and in addition shall have the following powers and duties: (a) Act as an executive officer and have general management and direction of the business of the Society. (b) Perform all the duties of the Chairman of the Board in the absence of the Chairman or because of his disability or inability to act. (c) Sign membership certificates with the National Secretary. (d) Sign and execute in the name of the Society all deeds, mortgages, bonds, contracts and other instruments. (e) Be an ex-officio member of all committees. (f) Prescribe duties for officers and employees which are not otherwise defined. (g) Countersign checks, drafts and orders for payment of money. (h) Employ and discharge all employees and fix their salaries as recommended by the Officers or approved by the Administration Committee and ratified by the Board of Directors. (i) Be responsible for the execution of all decisions and policies laid down by the General Convention, the Board of Directors and the Executive Committee. Appoint and remove Branch Managers deemed necessary, subject to the approval of the Administration Committee ratified by the Board of Directors. (j) Consult with the Chairman of the Board. (k) Prepare reports for disciplinary action by the Board. (l) Be President of the Bethlen Home and of the Scholarship Foundation. (m) Act as Editor-in-Chief of the Official Publication. (n) Direct the cultural, fraternal and social activities of the Society. (o) Direct the preparation of the 1986 Convention. 12. Duties of the office of the National Vice Presidents are: a. The National Vice Presidents shall perform such duties which the National President or Board of Directors may prescribe. 13. Duties of the National Secretary, Elmer E. Vargo are: (a) He shall be the chief administrative officer of the Society and he shall be responsible for and shall keep and maintain all the official records of the Society, the Board of Directors, the Standing Committees of the Society, and all other committees provided for herein, except such records as are specifically exempted under the By-Laws. He shall also perform all administrative duties of the National President in his absence, disability or inability to act. (b) At all meetings of the Board of Directors and Standing Committees, all bills, communications and all other papers shall be read by him, or by someone appointed by the President, except reports of other committees, which may be read by the Chairman or any other member thereof. (c) He shall make a full and complete report of all his transactions to every regular meeting of the Board. (d) He shall make full and complete reports, in the manner and time required by the several state insurance departments and all other government agencies having jurisdiction over any of the affairs of the Society. (e) He shall sign all official documents of the Society requiring his signature, affixing thereto the seal of the Society when necessary; and he shall prepare and certify, under the seal of the Society, all copies of books, records and all other documents of the Society, or portions thereof, which may be required for any purpose. (f) He shall be the custodian of all the supplies, furniture, fixtures and other personal property belonging to the Society, excepting cash and investments, and shall dispose of same only upon proper orders and in accordance therewith, keeping a complete and accurate account of all such purchases, resales and/or exchanges thereof. (g) Direct and supervise the underwriting process, sign membership certificates and maintain complete individual records of members, handle their transactions, direct and supervise computer operations and furnish the other National Officers and the Board with monthly statistical reports. (h) Determine the validity of claims. (i) Prepare in consultation with the other National Officers and the General Counsel amendments to the By- Laws. (j) Prepare all vouchers and co-sign checks with the Treasurer or President or authorized employees. (k) He shall be a member of all Standing Committees of the Society. (l) He shall perform all other duties customarily performed by the Secretary of a Corporation. (m) He shall perform such other duties as may be assigned to him by the Board of Directors and/or the President and any and all other duties imposed upon him elsewhere in the By-Laws. (n) Be one of the Associate Editors of the official publication. (o) Be an ex-officio member of the Bethlen Home Board of Managers and Board of Directors and the Board of Directors of the Scholarship Foundation. 14. Duties of the National Treasurer, Joseph S. Molnár, are as follows: He shall be the chief accounting, auditing and budgeting officer of the Society and shall prepare, make and maintain such records and reports thereabout as may be required of him by the Board of Directors and/or the President as follows: (a) He shall be the custodian of the uninvested funds of the Society.
