Minutes of The Board of Directors Quarterly Meeting Excerpts Of Minutes Of The First Quarterly Meeting Of The Board Of Directors Of The William Penn Association Held On Monday, March 14-17, 1977 In The Board Boom Of The Home Office, Pittsburgh, Pennsylvania. 1) National President and Chairman of the Board of Directors, Elmer Charles, opened the meeting at 10:15 A.M. He welcomed the Board of Directors, National Officers, Auditing Committee members, Mr. Robert E. Bruce, Actuary, and Mr. Andrew Fohl, President of the St. George Catholic Union. He was happy to see the Auditing Committee present at this Spring Board meeting. He also welcomed Mr. Andrew Fohl and invited him to remain as an observer with us for the duration of the Board meeting so he may witness the proceedings of a William Penn Board Meeting. The finalization of the merger of the St. George Catholic Union is still pending, however approval by the New Jersey Insurance Department is expected in the near future. Mr. Charles thanked the Board members who attended the “Fraternalist of the Year” testimonial dinner to Mr. Bernard Luketich, National Treasurer of the Croation Fraternal Union, conducted by the Greater Pittsburgh Fraternal Societies. He also thanked the Board members and their wives who were guests at his home on Sunday, March 13, 1977. Mr. Charles also greeted Mr. Robert E. Bruce, Actuary, who is present at this meeting to submit his report on the operation of the Association for 1976. He stated the Agenda for the meeting is prepared. The following members were hospitalized recently: Director Stephen Lang, Jr., Chairperson of the Auditing Committee Helen Nemeth, and Mrs. Gladys Wukovits, wife of Director Wukovits. Mr. Charles announced the death of the following members: Mrs. Mary Fabian, Mother of Auditing Committee member Charles Fabian. Mr. Paul St. Miklossy, Treasurer of the Hungarian Reformed Federation of America. Mr. Kalman Toth, former President of Branch 51, Passaic, New Jersey. Mr. Frank Benczkober, former Manager of Branch 197, Schnectady, N.Y. Mr. John Préda, former Manager of Branch 130, East Chicago, Indiana. Mr. Anthony Knefely, former Manager of Branch 418, Mansfield, Ohio. The members present stood for a moment of silent prayer in memory of all our deceased members. 2) The Board of Directors, National Officers and Auditing Committee pledged allegiance to the flag of the United States of America. 3) Vice President Louis L. Varga offered the invocation. 4) Michael Hrabar, member of the Auditing Committee, expressed sincere thanks on behalf of the Auditing Committee for the opportunity to be present at this Spring Board Meeting. He thanked the National President for the hospitality that was extended to them at his home. He stated that Chairperson of the Auditing Committee Helen Nemeth is hospitalized and slowly recovering. He hoped she would be present at the next meeting. Mr. Hrabar extended best wishes for a successful meeting to the Board of Directors. 5) Mr. Andrew Fohl, President of the St. George Catholic Union, expressed his sincere gratitude for the invitation extended to him to be present for this meeting as an observer. He stated that he feels very much at home with the William Penn Association, and looks forward to being present at future Board meetings in an official capacity. 6) Charles Fabian, Auditing Committee member, thanked each and every member for the kind condolences he and his family received upon the passing of his mother. 7) The Chairman of the Board excused the Auditing Committee members at this time so they may proceed with their duties. 8) The Secretary of the Board, Frank J. Radvany, called the roll and the following are present: National President Elmer Charles; Vice Presidents Louis L. Varga and John P. Balia; Directors Frank Bero, Zoltán B. Emri, Stephen Danko, Michael Hegedűs, Albert G. Kertesz, William C. Kohut, Stephen Lang, Jr., Steve Lesco, Frank J. Radvany, John Sabo, Joseph Toma, Frank J. Wukovits, Sr.; National Secretary Albert J. Stelkovics: National Treasurer Julius E. Somogyi; General Counsel Gay B. Banes; Vice President Marketing Stephen T. Szilagyi; and Vice President of Membership Services Gus G. Nagy. 9) The Agenda is adopted with the proviso that any matter properly belonging before this meeting may be added thereto during the course of the meeting. 10) The Chairman of the Board introduced the Actuary, Mr. Robert E. Bruce. He was pleased to welcome him and requested him to submit his Report on the Operation of the William Penn Association for the Year of 1976. Mr. Bruce expressed his thanks for the opportunity afforded him to address the Board of Directors, and proceeded to discuss his report page by page. He stated that the Association experienced the best financial year in the history of the Association. He commended the Board of Directors and National Officers for the fine performance they rendered during the past fiscal year. The Board discussed and posed certain questions of the Actuary which he answered in detail. 11) The Board of Directors accepted the Report of the Actuary in its entirety with sincere thanks and appreciation for a thorough report of the Association’s operation for 1976 and requested same be placed in file. 12) Moved, seconded, and the Board accepted the Annual Statement as filed with the various Insurance Departments and expressed sincere thanks and appreciation to the National Officers and Home Office Employees who participated in the preparation of this Statement. 13) The Board reviewed and discussed the latest development in the American Fund litigation. National Secretary Albert J. Stelkovics read a letter from Counsel William Knepper indicating the possibility of a compromse between the parties involved in this litigation. Since this litigation has been in the process for thirteen years, it was the Board’s decision to explore the possibilities of a settlement. 14) Chairman Charles recessed the meeting until Tuesday, March 15, 1977. 15) Chairman of the Board, Elmer Charles, reconvened the meeting and the same are present. He reminded the members that March 15 is a very important date in Hungarian history, this date commemorated the 1848 Hungarian revolution led by Louis Kossuth. He requested the members present to rise and recite “Talpra Magyar”. The Board of Directors resolved that the William Penn Association send the following resolution via telegram to President Carter. 16
