Gay B. Banes, Legal Adviser, asks Stephen Matasy to express his opinion in writing- concerning the questions of a legal nature which he brought up yesterday. This opinion will be forwarded to the Insurance De­partment for a final consideration. Delegate Matasy then requests Legal Adviser Banes to have a joint written opinion of the Rákóczi and Verhovay counsel, in which they express their legal viewpoint on the matter in question. The Convention acknowledges the above actions. 89. The Chairman orders the continuation of the point by point discussion of the Merger Agreement. 90. Section 4, upon the duly seconded motion of Anthony Knefely, is unanimously adopted. 91. James Készéi makes a motion, which is duly seconded, that Section 5 be accepted. The motion is unanimously carried. 92. Director Falussy puts forth a request to the assembled delegates that, before Section 6 is discussed for adoption, the Merger Committee of the Rákóczi Aid Association be called in for the possible necessity of en­lightenment. This request is granted by the Convention. 93. Chairman Radvany declares a five minute recess. 94. After the recess, Director Falussy requests that the Rákóczi Merger Committee members be heard. The Convention approves. . 95. The members of the Rákóczi Merger Committee are represented by Director Ladislaus Fishbein, Supreme Secretary Albert Stelkovics and former Supreme Secretary Joseph Vasas, who make explanatory speeches and in detail acquaint the Convention both with the Rákóczi and their own personal opinions as to the various points. They answer various queries directed to them by the Verhovay delegates. 96. With the completion of the above enlig-htening comments and explanations, the Chairman orders the reading of Section 6 of the Merger Agreement in both English and Hungarian. Speeches in reference to Section 6 are made by the Rákóczi Merger Committee members and the following' Verhovay members: National Auditor John Sabo, National'President John Bencze, Vice President Julius Macker, Directors Aloysius C. Falussy, Mike Korosy, Coloman Kolozsvary, Stephen Lang, Louis Vizi and Albert Ibos, and delegates Moses Bokor, Julius Danch, George Tokár, Jr., Stephen Matasy, Joseph Heck, Martin Szeges, James Kovács, John Zakopcsan, Frank Balogh, Sr., Stephen Houser, John Balia, Auditing Committee Chairman Caspar Papp, and delegates Bela Takacs and Stephen Lang, Jr. 97. Director Falussy makes a motion of urgency to the effect that in Section 6 of the Merger Agreement the parts concerning the National Field Manager and the National Investment Manager should be omitted. A written request is received by the Chairman, requesting a roll call vote on Director Falussy’s motion of urgency. The motion is passed that in the Merger Agreement in point 6 the parts relating. to the National Field Manager and the National Investment Manager are to be omitted. 98. After the voting, the Chairman recesses the meeting for a lunch period until 2:00 P.M. 99. At 2:05 P.M. Chairman Radvany reopens the meeting and requests the Convention Secretary to read the roll, and all the delegates are present. 100. Next are greeted the representatives from the American Life Insurance Association, as follows: Dr. Francis Ujlaky, Peter Suta and Stephen Szegedy. Dr. Ujlaky and Mr. Suta warmly address the Convention, expressing their wishes that in the future the new and stronger association will continue its harmonious relationship with the American Life Insurance Association as it has in the past. The speeches are applauded. (See correction Point #116.) 101. The Chairman reads telegrams of greeting from Louis Tokár and John Pataky. 102. Chairman Radvany orders the resumption of the point by point discussion of the Merger Agreement. 103. The duly seconded motions of Director Albert Ibos, Stephen Sutch, Jr. and Valentine Konyha, Jr., relative to the acceptance as written of points 7, 8 and 9, respectively, are unanimously approved. 104. Point 10 in the English version, upon motion made and duly seconded-, is unanimously approved by the Convention. In the Hung-arian version changes are made to conform exactly to the English version. 105. Point 11 is brought up. Many questions are directed to National Auditor John Sabo and Legal Adviser Gay B. Banes for clarification. After brief debating, John J. Inglesby makes a motion, which is duly seconded, for the acceptance of point 11. The motion is unanimously ap­proved. 106. Those delegates, who during the course of the discussion of point 11, made speeches to the effect that they are opposed to this point upon the recommendation of their respective branches and districts, request of the Chairman that their names go on record, who are: .Joseph Miller, Jr., George Tokár, Jr., Joseph Hegedűs, George Pogány, Jr., Martin Szeles, Moses Bokor, Julius Danch, Joseph Szalay, Frank J. The Legal Adviser requests that the Resolution which relates io the above point be voted upon now, which is the wish of the Insurance De­partment. RESOLUTION RESOLVED THAT­WHEREAS, the Verhovay Fraternal Insurance Association and the Rákóczi Aid Association of Bridgeport, Connecticut, have conducted ne­gotiations to merge the two societies, and WHEREAS, the Rákóczi Convention has approved the terms of th> merger and the Verhovay by mail ballot of its 1951 Convention delegates approved the terms of the merger, subject to ratification by the 1955 Con­vention of the Verhovay; and WHEREAS, Joseph Vasas, SecYetary and Stephen Kundrath, Treasurer of the Rákóczi and John Bencze, National President and John Szalanczy, National Treasurer of the Verhovay have indicated their desire to facilitate the merger by surrendering their right to be candidates for national offices and to waive all other rights on condition that they receive lifetime pensions from their respective .associations and have executed an Agreement among themselves to this effect: and WHEREAS, the Connecticut Insurance Department has directed that the terms of the Pension be approved by respective Conventions of the Associations; and WHEREAS, the Verhovay Convention desires to facilitate the merger by granting a pension to John Bencze and John Szalanczy and certain other benefits. NOW THEREFORE, BE AND IT IS HEREBY RESOLVED by the Verhovay in regular convention assembled at Pittsburgh, Pennsylvania, be ginning September 12, 1955, that the following form of Pension Agreement with the terms and conditions expressed therein between John Bencze. National President and John Szalanczy, National Treasurer, be and is hereby approved and a pension of Three Hundred Dollars ($309.00) with other benefits as expressed therein is authorized and granted, said form of Agreement reading as follows: AGREEMENT BETWEEN the Verhovay Fraternal Insurance Association, a Pennsyl­vania corporation, with its principal office at 436 Fourth Avenue, Pittsburgh, Pennslyvania, hereinafter called “Verhovay”, party of the first part, and John Bencze, National President of the Verhovay Fraternal Insurance Association, party- of the second part: WITNESSETH, That in consideration of the covenants, promises and recitals herein contained^ the parties do agree with each other as follows, intending to be legally bound hereby. 1. It is the intent and purpose of this Agreement to recognize the contributions made by John Bencze to the successful operation and conduct of the Verhovay Fraternal Insurance Association during his twenty-five 125) years of service with the Association as an officer and the untiring and unselfish devotion to his duties in many capacities and to reward these contributions by granting to the said John Bencze a pension and other benefits for the term herein expressed under the conditions stated. 2. In consideration of the contributions hereinbefore expressed from and after the effective date of this Agreement, Verhovay covenants ana promises to pay to John Bencze the sum of Three Hundred Dollars ($300.00) on the first day of each month for and during the term of his natural life, subject to the following conditions, to-wii: A. The monthly payment of Three Hundred Dollars ($300.00) required to be paid by Verhovay shall be reduced by the amount of the monthly payment made to John Bencze by the Employees’ Pension Fund of Verhovay, since it is the intent and purpose of this Agreement that the said John Bencze receive a total monthly pension of Three Hundred Dollars ($300.00) from Verhovay sources, including payments from those funds to which Verhovay and John Bencze have made contributions, exclusive of Social- Security Benefits. B. John Bencze covenants, promises and agrees to refrain from being a candidate for any national office, board office, or taking any other position or employment with or without remuneration with the Verhovay F'raternal Insurance Association or with any other fraternal association or life insurance company. 3. In the event of the death of John Bencze within three (3) years after the effective date of this Agreement, then and only then, Verhovay covenants and promises to pay to his widow, or, if no widow survives, to Ms estate, the lump sum of Thirty-six Hundred Dollars ($3,600.00), provided this Agreement is in full force and effect on the date of death. Receipt by the widow of Widow’s Retirement Pension payments under the option from Fmployees’ Pension Fund of Verhovay shall not effect the lump sum payment due the widow under this section. 4. No benefits payable under this Agreement shall be subject in any manner to any transfer or encumbrance and any attempt to transfer and encumber the same shall be void, nor shall any such benefits be in any manner liable for or subject to the debts and liabilities of the said John Bencze or his surviving spouse nor to any fb iicial pröcess to levy upon or attachment of the same for payment of any debts, contracts or engagements of any beneficiary of this contract. 5. All payments and benefits due and payable under this Agreement are general obligations of the Verhovay Fraternal Insurance Association
