The chair, after explaining his reasons for his action to the satis- i faction of the assembly rules that the district managers and local organizers shall remain until the end of the convention. 167. ) The discussion of the amendments to the by-laws is the next item of business before the assembly. The articles of the by-laws are seriatim considered and the following amendments are made: 168. ) Chapter I. § 3. The Convention. The members of the Convention shall be elected by the District Sessions. The Board of Directors shall determine the number of Districts based on membership, in a manner that, as far as possible, no District shall embrace less than 400 members. The Board of Directors shall assign the Branches to Districts. If a Branch has sufficient members to form a District, such Branch shall elect its representatives by direct ballot of its members. If the membership of the Branches constituting a District shall grow to such an extent that it could be divided into two or more districts, such District shall elect as many representatives as it is entitled to under these By-Laws, unless branches having sufficient membership to organize a District shall ask for a division of the original District, excepting those branches which have at least four hundred members and which shall form a separate district each. The plan of the division of districts shall constitute an appendix to the By-Laws and any changes therein must be published in the official organ of the Association. Should the membership of any District increase between Conventions, representatives to the Convention shall be elected on the following basis: for 400 members one representative and for every additional 400 members one additional representative. Should there be a decrease in membership between Conventions, the same principle shall be applied downward until a District reaches the minimum of 400 members. The latter, however, shall still be entitled to send a representative as long as it is not merged in another District, with due consideration to the circumstances, by the Board of Directors. /' 169. ) The above amendment is adopted by a majority of 93 over 54 votes. 170. ) Chairman Coloman Kolozsvary adjourns the meeting at 1:10 P.M., until Monday morning. Convention of the Verhovay Fraternal Insurance Association, on September 15th, 1947, in the English Room of the Fort Pitt Hotel in Pittsburgh, Penna. 171. ) Chairman Coloman Kolozsvary calls the meeting to order at 8:30 A.M., and orders the roll call at which every delegate reports present. 172. ) Chairman calls upon Charles Uray, recording secretary, to read the minutes of the previous sessions. The minutes, checked by .Frank Molnár and Mrs. Stephen Paul, are unanimously approved by the convention and signed by the attestants. 173. ) Chairman reads telegrams conveying greetings to the convention from the following: Joseph Prokopovitsh, Branch 89, Homestead, Pa.; the Rev. Stephen Szíjártó, Columbus, O., and Mrs. Stephen Szabó, Branch 361, Cleveland, O. The greetings and good wishes of the above are duly acknowledged by the assembly. 174. ) Chairman announces that Stephen Nyers, chairman of the Committee of Appeals, requests the Convention to excuse the members of the Committee in order that they may withdraw for the reading and approval of their minutes. The request is granted by the assembly and the members of the Committee of Appeals withdraw. 175. ) Continuing the discussion of the amendments to the by-laws the following amendments are enacted: 176. ) § 4: The Convention Representatives. The fifth paragraph of this article shall read: “American born members, or those who have attended American elementary schools, and who are in good standing, are eligible to be representatives in the English speaking Districts. Every veteran who, due to illness or injury suffered in World War II., could not be reinstated in the Sick Benefit Department, is eligible to be a representative to the convention.” 177. ) The seventh paragraph of this article shall read: “Members of the Board of Directors, the Auditing Committee, Supreme Officers and those having a contract with the Verhovay Fraternal Insurance Association from which they derive their main income are ineligible to become delegates to the National Convention.” 178. ) § 6: The Organization of the Convention. The following, appearing on page 9, line 13-16, shall be omitted: “The Supreme President shall have one vote and the Supreme Officers also shall have one vote to be cast by an officer chosen by the officers.” 179. ) § 7: Jurisdiction of the Convention. Section a.) shall read as follows: “resolutions changing or amending the Constitution and By-Laws, or any parts thereof, shall take effect only if they have been approved by the majority of the branches. When counting the votes of the branches, the number of the members of each branch shall be taken as the number of votes cast by the branch. The following shall be omitted from section d.): “who shall also serve as chairman of the Board of Directors”. 180. ) Section 1.) line 10 shall read: “written request of at least 15 delegates . . .” 181. ) Chapter II, § 8: The District Sessions. The first two paragraphs of this article are amended to read: “Delegates of the Branches shall constitute the District Sessions. Each Branch having at least 25 members shall have the light to send one delegate to the District Sessions. Branches having a larger membership shall have the right to send representatives to the District Sessions on the following basis: one delegate from 25 to 199 members, two delegates from 200 to 299 members, and three delegates from 300 to 399 members. Branches which constitute Districts by themselves/shall exercise all rights of the District at their own Branch meetings.” 182. ) The above amendments to the By-laws have been adopted by the great majority of the assembly. 183. ) The meeting is adjourned for the lunch recess at 1 P.M., by the chairman. 184. ) The meeting is called to order by chairman Coloman Kolozsvary at 2 P.M. 185. ) Chairman requests Ernest Palos, recording secretary of the Committee of Appeals, to read the minutes of the Committee of Appeals. 186. ) However, before this could be commenced, Supreme^ Secretary Coloman Revesz moves that the meeting be resolved into a Committee of the Whole for the discussion of the case of Joseph Darago 187.) After a lengthy debate the motion is put to a vote by the chairman. A secret ballot is taken and the motion that the case of Joseph Darago be discussed by the convention as a Committee of the Whole is carried by a majority of 61 over 39 dissenting votes. 188. ) Following the closed session Chairman Coloman Kolozsvary announces that the Convention has decided by a majority of 76 over 69 votes not to recognize Joseph Darago as a duly elected delegate. 189. ) It is unanimously resolved by the assembly to surrender the records and documents pertaining to the case to the Home Office with the instruction that they be sealed and placed in the vaults of the Mellon National Bank. 190. ) The meeting is adjourned until the next morning at 6:50 P.M., by the chairman. Copies of the minutes checked by Julius Kerekes and Joseph Czeiszperger. 193. ) The entry of the following corrections is ordered by the convention: 194. ) The following text is to be inserted alter paragraph d.) ef article 7 of the By-laws: “The Board of Directors elect their own chairman from among the members of the Board.” 195. ) It is moved that a vote of thanks, given to the chairman and the members of the Committee of Appeals, be entered in the minutes. The minutes are approved as corrected, and signed by the above named attestants. 196. ) Chairman Coloman Kolozsvary announces that he received a letter from Joseph Subits which he refers to the Home Office as its subject matter cannot be disposed of by the convention. His action is approved by' the assembly. 197. ) The amending of the By-Laws continues and the following amendments become the order of the convention: 198. ) The third paragraph of ■§ 8 is amended to read: “Branche,'; which for any reason whatsoever shall fail to send a delegate to the District Sessions, and Branches having less than 25 members, shall have the right and privilege to communicate their remarks or motions in writing to the District Sessions to which they belong.” 199. ) The following is to be inserted in the fourth paragraph of the same article: “The names of the delegates of the Branches to the District Sessions must be submitted to the Home Office.” 200. ) In the same paragraph tie present text shall be replaced with the following: “Every member of the Association who is in good standing, is an American citizen, has attained the age of 21 on or before the day of the election, has been a member of the death and sick benefit classes of the Association for at least two years and holds at least a five hundred dollars’ certificate in the death benefit class, is eligible to be representative or alternate representative to the District Sessions. In the English speaking branches those members of the respective branches who are American born or who have attended American elementary schools, and who are in good standing, arp eligible as District delegates. Every veteran who, due to illness or injury suffered in World War II., could not be reinstated in the Sick Benefit Department, is eligible to be a representative to the District Sessions. 201. ) The following shall be inserted after the fourth paragraph of the same article: “Members of the Board of Directors, the Auditing Committee, the Supreme Officers and those having a contract with the Verhovay Fraternal Insurance Association from which they derive their main income, are ineligible to become delegates to the District Sessions.” 202. ) The first sentence of the fifth paragraph in the same article is amended to read: “A delegate who has permanently moved 25 or more miles away from the site of his branch ceases to be a delegate.’” 203. ) The following shall be omitted from the next paragraph of the same article: “and the second meeting in November of the same year for the purpose of ratifying the amendments to the Constitution and By-Laws adopted at the Convention.” 204. ) The following shall be inserted following the above paragraph: “The recommendations of the Board of Directors pertaining to the amendments to the By-Laws shall be mailed to the branches in the month of December preceding the year of the Convention. In the event these recommendations are approved by the majority of branch-meetings, the number of the members of each branch being taken as the number of votes cast by the branch-meetings, and subsequently adopted by the Convention, they shall become effective. Only new recommendations adopted by the Convention shall be submitted to the branches for approval after the Convention." 205. ) In the following paragraph of the same article the text “on tfie date designated by the Board of Directors” shall be replaced with “at least 60 days prior to the opening date of the Convention.” 2C6.) On page 15, line 9, the word “two” shall be omitted. 207. ) On line 15 of the same page “sjx (6) hours” shall be replaced with “eight (8) hours”. 208. ) The following shall be inserted in the same paragraph: “Travelling time, by train, in excess of eight hours shall be compensated for by .$1.50 per hour.” 209. ) Chairman suspends the meeting for a 10 minute recess. 210. ) The amending of the By-Laws continues after the recess. The following amendments are enacted: 211. ) Chapter III., § 9, The Organization of the Board of Directors. The last sentence in the first paragraph, “The President shall be the chairman of the Board of Directors”, shall be replaced with the following: “The Board of Directors elect their own chairman from among the members of the Board.”
