34. The Board of Directors shál appoint its own recording secretary from among its members. The Board of Directors may ásó appoint such dericá staff as it deems necessary and advisable to assist the recording secretary in the taking and preparáion of the minutes of the meetings of the Board of Directors. The minutes shall be communicated to the members of the Board of Directors by the Executive Committee. 35. The álowance for meeting expenses of the members of the Board of Directors, the Advisors and the invited guests present shá I be determined by the Executive Committee. Standing Committees of the Board of Directors 36. The Standing Committees of the Board of Directors are as follows: a) Administrative b) Fi nance and I nvestment c) Sáes and M arketi ng d) Fráerná Activities e) Church and Cl ergy Rel ati ons f) Audit and Examináion The members, including the Chármen, of the various Standing Committees shál be appointed by the Char of the Board of Diregtors at the first regular Board of Directors meeting after each Convention. The membership of the Standing Committees shál remain intact until the next Convention, subject to the right of the Chár of the Board of Directors, in consultáion and in concurrence with the Board of Directors, to change Standing Committee appointments from time to time as may be deemed necessary or desirable. Individuásother than members of the Board of Directors may ásó be appointed to serve on Standing Committees, upon such terms and conditions as may be established by the Board of Directors. Each Standing Committee shall appoint a recording secretary from among its members. Each Standing Committee shál present an annuá written report to the Board of Directors á the regular Spring Board of Directors meeting. Executive Committee 37. Between meeti ngs of the Board of Di rectors, the affá rs of the Federáion shál be managed by the Executive Committee. The Executive Committee shál conást of the Náioná Officers and the Chair of the Board of Directors. Chair of the Board of Directors - Duties and Powers 38. The Chár of the Board of Directors shál be dected by the Board of Directors from among its members á the Organizationá Meeting after the Convention and, thereafter, annuály á the Spring Board of Directors meeting. The Chár of the Board of Di rectors shal I: a. Serve as a member of the Executive Committee. b. Presi de á al I Board of Di rectors meeti ngs. c. Appoint the membership of ál standing committees of the Board of Directors. d. Presided the Convention. e. By virtueof hisoffice, serve as Chár of the Boards of Directors of the Bethlen Home and the Student Aid and Loan Fund. f. Represent the Federáion fráerná ly in accordance with such guidelines and directives as may be promulgáed by the Board of Directors from time to time. g. Perform such other duties as may be assigned to hi m by the Board of Di rectors from ti me to ti me. Vice Chairs of the Board of Directors-Duties and Powers 39. The Board of Di rectors may i n its di scrái on from ti me to ti me áect from among its members one or more Vice Chárs to serve in the absence of the Chár of the Board of Directors and to perform such other duties as may be assigned to him from time to ti me by the Chá r or the Board of Di rectors. Advisors to the Board of Directors 40. The Board of Directors may in itsdiscráion from timeto time employ, upon such terms and conditions as the Board of Directors may deem appropriáe and advisable, such Advisors to assist the Board of Directors in the performance and discharge of its duties as the Board of Directors may deem necessary and advisable. By way of illustration and not of limitáion, such Advisors may, but need not, include any one or more of the following: Medical Advisor, Finandá Advisor, Legá Counselor, Accountant, Actuary. ARTICLE IV THE NATIONAL OFFICERS Definitions-Duties 41. The Náioná Officers of the Federáion are the President and the Secráary-Treasurer - who shall be hired by the Board of Directors for such period and upon such terms and conditions not inconsistent with these By-Laws as the Board of Directors may deem prudent, reasonable and advisable. 42. The Náioná Officers shál be under bond in an amount dáermined by the Board of Directors and pád for by the Federáion Office of the President 43. The President is the chief executive officer and offidá representáive of the Federáion. He shál átend ál meáings of the Board of Directors and be entitled to vote on all máters. His other official duties are as follows: a. As the supervisor of the Home Office and organizáioná departments and employees, he is responsible for the execution of both interná and externá activities of the Federáion and the rules of administráion dáermined by the Board of Directors b. He distributes ál correspondence and communi cái ons. c. He handles ál máters which by thár náure are to be átended by the Home Office, but which are not specifically listed undá thejurisdiáion or duties of the respecti ve off i ces. d. He controls the issuance of membership certificáes and documents involving property rights, and váidáesthem with hissignáure. e. He countási gns di sbursements and á I vouchás. f. He conduás and directs the náionwide organizáioná and promoti oná work for the purpose of securing na« members. g.
