FRATERNITY Page 13 RESOLUTIONS PASSED at BOARD OF DIRECTORS MEETING MARCH 30 through APRIL 3, 1992 The meeting of the Board of Directors was opened by President Bertalan at 9:30 a.m. with Psalm 90, “Te Benned bíztunk eleitől fogva”. Then he quoted from Luke verse 15. With this biblical parable, he reminded the members of the Board that they are responsible for the flock (membership) of the Federation, and also for its financial welfare. Although the Federation By-Laws are somewhat vague about the responsibilities of the Board of Directors, yet it is clear that as a District representative, they are partially responsible for the membership decline and also the lack of fraternal activities in their Districts. The President closed his remarks with a short prayer eulogizing the late Reverend Gabor Csordás, wishing well to Sam Vespremi who could not be here because of his heart by pass operation and welcomed Elvira Petry as a new Director. The President also thanked the Home Office staff who were dismissed from the meeting after his opening remarks. Director John K. Morey was asked by the Chair to recite the Allegiance to the Flag followed by “Hiszek egy Istenben” recited by Vice President Bishop Dezső Abraham. Roll Call: Called by National V.P.-Secretary George Dózsa. All members present with the exception of Dir. Sam Vespremi. Then Elvira Petry took the oath of her new office, administered by Pres. Bertalan. On the recommendation of the Treasurer, seconded by V.P. Bishop Abraham, the Board of Directors voted on the following compensation for travel expenses: Two travel days $195.00/day Five meeting days 220.00/day Reimbursement for mileage by car @ 28 cents/ mile + tolls For Advisors (Legal and Financial): Two travel days Three meeting days and mileage with same compensation rate as Board Members. The agenda was accepted by the Board as it was presented by Pres. Bertalan. With correction, the minutes of the Fall Meeting of the Board of Directors of 1992 were accepted. Motion was made by Dir. Priscilla Hunyady and seconded by Dir. John K. Morey to refer the President, V.P.-Secretary and Treasurer’s reports to the appropriate committees. Motion carried. The following resolutions were passed:- The year 1991 faced the Federation with an unprecedented phase in the history of our society. Three members of Branch 2 of the Federation (Stephen T. Szilagyi, Edward Szabó and Joseph Kovach) instituted a lawsuit against the President, the two National Officers, and some, but not all, members of the Board. With proper guidance, the law firm Vorys, Sater, Seymour & Pease was selected, and Terry Miller Esq., chosen as our defense lawyer. Therefore, a motion was introduced by Director Rev. Nicholas Novak and seconded V.P. Bishop Dezső Abraham that this Board recommend to the Convention to approve all actions up to this point taken by the Board of Directors in regards to the lawsuit and to indemnify all defendants. Motion carried.- A Motion was made by Dir. John K. Morey and seconded by Dir. Reverend Novak: “That this Board, in behalf of the Convention, give authorization to our Legal Counselor to consult with the ‘Chubb’ attorney to compromise and come up to an agreement on the allocation of legal fees. If an acceptable decision cannot be reached, he is given the authority to proceed with arbitration and, if necessary, with a lawsuit. The cost to the Federation is not to exceed $ 10,000.” Motion carried.- The Executive and Organizational Committee recommends the following donations for fiscal year 1992: Hungarian Reformed Church Youth Camp $2,000 Calvin Synod Youth Camp $2,000 American Hungarian Foundation $1,000 Hungarian Boy Scouts $1,000 Kolozsvár Choir Fund $ 800 Refugee Resettlement, Youngstown, Ohio $ 500 Refugees from Yugoslavia in Hungary $ 500 The Committee’s recommendation was moved and seconded by Dir.
