Page 6 TESTVÉRISÉG NOTICE TO MEMBERS OF THE HUNGARIAN REFORMED FEDERATION OF AMERICA It had been determined that the Hungarian Re­formed Federation of America and the St. George Greek Catholic Union, domiciled in New Jersey, be merged. The combined societies would have member­ship of about 20,000 members. New market territory for the Federation would be opened at no additional operational cost. Numerous meetings have been held by the represen­tatives of the Federation and of the Union. The respective attorneys of the two (2) societies have met and have exchanged a number of documents and letters of information. The form of the agreement and the manner of preparation and presentation to the heads of the insurance departments of the District of Columbia and the State of New Jersey has been determined by the laws of the two places of domicile. The approval of said agreement as to form and content must be obtained from: (a) Commissioner of Insurance of the State of New Jersey. (b) Superintendent of Insurance of the District of Columbia. (c) Two thirds (2/3) of the Delegates to the last Convention of the Federation. (d) Two thirds (2/3) of the Delegates to the last Convention of the Union. Notice of said agreement must be given to members of both societies. This notice must contain the entire agreement with an explanatory letter. The notice must be given at least sixty (60) days prior to the date the vote of ratification is taken. Please note that the Federation will merge in to itself the Union with all the Union's assets and liabilities. The business is to be continued under the name of the Hungarian Reformed Federation of America. Certificates to the members of the Union in good standing will be issued no later than three (3) months following the agreement advising them that they are members of the Federation with full rights and privileges subject to the terms of their Certificates, to the merger agreement, and to the by-laws and charter of the Federation. The Union shall continue as the St. George District of the Federation until at least the 1992 Convention of the Federation. Approximately sixty (60) days after the publication of the agreement, copies of said agreement along with a ballot shall be forwarded to the elected delegates to the 33rd Quadrennial Convention of the Hungarian Reformed Federation of America which was held in Ligonier on September 19 through September 23,1988. The delegate or, in the event of death of a delegate, his/her elected alternate, must cast his ballot regarding the agreement. The delegate's vote must be either "yes" or "no". Upon approval by two-thirds (2/3) of the membership of the Convention, or 44 members, the agreement along with other necessary documenta­tion will be submitted to the two (2) concerned insurance departments for approval. MERGER AGREEMENT THIS AGREEMENT made this ___________ day of _____________________ , 1989, BY AND BETWEEN HUNGARIAN REFORMED FEDERATION OF AMERICA, a Fraternal Benefit Society incorporated by an Act of the Congress of the United States of America on March 2, 1907, and having its office and principal place of business at 2001 Massachusetts Avenue, N.W., Washington, D.C. 20036-1011, and acting herein by IMRE BERTALAN, its National President and GEORGE DÓZSA, its National Vice President-Secretary; and hereinafter referred to as "FEDERATION", AND ST. GEORGE HUNGARIAN GREEK CATHOLIC UNION, a Fraternal Benefit Society organized and existing under the laws of the State of New Jersey, having its office and principal place of business at 175 Smith Street, Perth Amboy, New Jersey 08861, and acting herein by JOHN KRILLA, its Supreme Presi­dent and HELEN DUSKA, its Supreme Secretary- Treasurer, hereinafter referred to as "UNION". WITNESSETH: WHEREAS, the FEDERATION was organized in the State of New Jersey and incorporated by an Act of the Congress of the United States of America on March 2, 1907; and WHEREAS, the UNION was organized in the State of New Jersey and incorporated as a fraternal insur­ance society on May 10, 1914; and WHEREAS, the respective merger committees and officers of the FEDERATION and the UNION have met from time to time to explore the possibilities of merging the two (2) societies, and it now appears that the interests of the members of both societies can best be served by merging the UNION with the FEDERA­TION; and
