OFFICIAL SECTION: THE BY-LAWS — Continued from Oct., Nov., Dec. 1972 issue. — Legal Counsellor 51. The Legal Counsellor shall be a duly licensed attorney-at-law. He shall be appointed by and serve at the pleasure of the Board of Directors. He shall give his opinion on all legal matters. He shall have the right to partake in all discussions. He shall submit an annual written report to the Board of Directors and one to the Convention. His honorarium shall be determined by the Board of Directors. ARTICLE V PERSONNEL Home Office 52. The office force of the Home Office pursues its work according to the instructions and control of the respective National Officers, and under the general supervision of the President. They shall be members of the Federation with membership in the Home Office branch. Their salaries shall be determined by the Board of Directors. The President shall hire or discharge employees upon the recommendation of the respective Officers and with the approval of the Executive Committee. Field Force 53. The Field Force may consist of the following: field, district or section managers, working under contract. a) Field and district managers cannot be branch officers. b) The Board of Directors may select and authorize the Secretary to call—based upon production conservation and administrative services during the four year period prior to the Convention, representatives of the field-force to the Convention, with or without the right to partake in discussions in matters concerning promotional and organizational work. 54. Members of the field-force, while attending meetings or on promotional and organizational trips away from home on behalf of the Federation, shall be entitled to travel expenses and per diem expenses as determined by the Board of Directors. ARTICLE VI THE BRANCHES Organization — Administration — Meetings 55. At such places where the Federation desires to form new branches, they may be organized with not less than 25 new adult members, with the approval of the Executive Committee. Branches with less than 25 members may be merged into the nearest larger branch or their membership transferred to the Home Office branch. Canadian members cannot be transferred to branches in the United States. 56. Each branch shall have self-governing powers in its own affairs and may adopt rules and regulations, provided they do not conflict with these by-laws. The affairs of the branch are controlled by its elected officials or the branch manager appointed by the Secretary. 57. The business of the branches shall be transacted at their meetings. Each branch shall hold meetings monthly at a place and time set by the branch. One of the monthly meetings shall be the regular annual meeting. All members of the adult insurance department of the Federation may be present at the meeting of the branch. A member in arrears in dues for 30 days shall not be entitled to vote. Branch Officers — Expenses 58. In order to transact its business, every branch shall elect a set of officers from the adult members of the insurance department of the Federation, by a majority of the members present and voting at the annual meeting of the branch. These officers consist of a president, vice president, secretary, treasurer and controller. Persons who are officers or agents of other similar associations cannot be elected branch officers. 59. The president of the branch shall conduct its meetings. Special meetings, when necessary, shall be called, provided notice thereof is given one week prior thereto. No other matter may be considered at this meeting except that contained in the notice. 60. In case of the absence of the president, his rights and duties shall be assumed by the vice president. 61. The secretary of the branch shall take the minutes of the meetings and preserve them in proper form, and submit them to the Secretary of the Federation. He shall summon regular and special meetings by written notices. He shall take care of all correspondence pertaining to the branch. He is the guardian of the seal of the branch. 62. The treasurer of the branch shall handle the money of the branch and is responsible for it. He shall keep such records as prescribed by the Home Office and shall transmit to the Federation all money collected, except permissible deductions, no later VIII.
